TERM SHEET — PROPOSED SETTLEMENT — O'SOYLE/GULF STRF AM
I. Monetary Consideration - Please see the attached Schedule which sets forth all of
the costs (some of which are estimated) incurred by Mr. O'Boyle in connection
with, inter aha, the attempted approval of the retrofit of his home at 23 North
Hidden Harbour Drive, Gulf Stream, Florida; the litigation that ensued as a
result of the denial by the Town Commission of the improvements of his home;
the legal fees and other costs in connection with the Federal Civil Rights law suit,
the costs incurred by Mr. O'Boyle and others in connection with the various
Public Records law suits which are currently active.
WE NEED TO REVIEW THE VARIOUS LINE ITEMS AND REACH
AGREEMENT AS TO THE AMOUNT EFFECTIVE ON JULY 15, 2013. AS WE
DISCUSSED, THERE ARE (AND WILL LIKELY BE) CONTINUING COSTS
UNTIL A SETTLEMENT IS MADE. IN OTHER WORDS, THE AMOUNT
AGREED TO AS OF JULY 15, 2013 WILL ESCALATE.
2. Zoning - As part of any settlement, Mr. O'Boyle would want the "setback issue"
fixed, so that the setback would be from the property line and not as it currently
is provided for in the Code.
WE ARE CONCERNED THAT THIS MAY BE A LONG LEAD ITEM.
CONSEQUENTLY, WE WOULD ASK THAT YOU OR SOMEONE IN YOUR
OFFICE LOOK AT THIS ISSUE AS SOON AS POSSIBLE; AND PROVIDE
US WITH A BLUEPRINT. OF COURSE, I AM HERE TO ASSIST YOU.
NOTE: AT YOUR REQUEST, I INCLOSE A COPY OF A RECENT SURVEY
PREAPRED BY OBRIEN, SUITER & OBRIEN, DATED 1/2/7.3.
3. Indemnity for Hurricane - Since Mr. O'Boyle is unable to obtain hurricane
insurance as a result of the Towns conduct in connection with the
approval/ disapproval of his proposed improvements, he would be looking for
an indemnity from the Town in the unlikely event that a hurricane were to hit his
home and cause material damage.
AS DISCUSSED, THIS ISSUE COMES WITH MUCH DIFFICULTY IN
REACHING A SATISFACTORY RESOLUTION. MR. O'BOYLE WILL BE
MAKING INQUIRY AS TO THE AVAILABILITY OF A BUILDER'S RISK
POLICY WITH HURRICANE INSURANCE. NORMALLY, A BUILDER'S
RISK POLICY IS FOR PROPERTIES UNDER CONSTRUCTION AND
WHICH ARE VACANT. PROCEEDING IN THIS DIRECTION WILL LIKELY
REQUIRE THE FURNITURE AND FURNISHINGS TO BE REMOVED FROM
THE DWELLING, WHICH IS ALREADY CONTEMPLATED, BUT WAS
INADVERTENTLY LEFT OFF OF THE SCHEDULE (LISTING OF COSTS
DATED JULY 15, 2013). WE APPRECIATE THE TOWN'S OFFER TO PAY

FOR HALF OF THE COSTS. WE WILL FURTHER INVESTIGATE TO TRY
TO REACH SPECIFIC DOLLAR AMOUNTS AND ANY CONDITIONS
WHICH WOULD BE REQUIRED TO BE SATISFIED.
4. Alternate Use - Mr. O'Boyle would like confirmation that a "Sober House" is
permitted on his property. In that regard, Mr. O'Boyle has made inquiry to Mr.
Thrasher on more than one occasion; and Mr. Thrasher has refused to respond.

5. Retrofit - Although Mr. O'Boyle's current intentions are not to upgrade and
retrofit his home as originally contemplated, I believe it is in his best interest as
well as in the Towns best interest to provide Mr. O'Boyle the requisite approvals
necessary so that either he or a prospective buyer could retrofit the house
consistent with the beautiful rendering that was presented to the Town
Commission
WE WOULD ASI< YOU TO BEGIN WORKING ON THIS IMMEDIATELY,
AS WE ARE CONCERNED THAT THIS MAY BE A LONG LEAD ITEM.
Resignation - Of extreme importance to Mr. O'Boyle is that someone be held
accountable to the taxpayers for the costs incurred; and the personal
consternation that Mr. O'Boyle has gone through over the last several months as
a result of the matter surrounding his home and the poor judgment of the Town
Officials. In addition, substantial amounts of time have been taken away from
Mr. O'Boyle's business, which, as a result, has caused him to suffer financially.
Mr. O'Boyle believes that the genesis of the issues we are now dealing with
emanate from ineptness, incompetency and/ or the government just plain not
looking and relying on Mr. Thrasher and Mr. Minor. Mr. O'Boyle believes that
the accountable person should resign effective immediately. Mr. O'Boyle
believes that the accountable person should be either the CEO of the Town (Mr.
Thrasher) or the Chairman of the Board of the Town (Ms. Orthwein).
THIS ITEM IS OPEN FOR DISCUSSION. MR. O'BOYLE'S FEELINGS WERE
MADE CLEAR. MR. ELMORE'S FEELINGS SEEMED TO CLEAR AS WELL.
7. Apology - Mr. O'Boyle will demand a written apology.
WE APPRECIATE THE TOWN AGREEING TO AN APOLOGY. WE WILL
DETERMINE THE ULTIMATE FORM AS WE WORK THROUGH THIS
PROCESS.
