Box 3,New Paris, Ohio, 45347 (hereinafter referred to as "Contractor"). WHEREAS, City and Contractor entered into Contract No. 29-2022 on March 9, 2022; and WHEREAS, City wishes to continue to retain Contractor to continue to provide services in connection. with maintenance for the heating and air conditioning (HVAC) systems located at Richmond Fire Stations 1, 2, 3, 4, 5 and the Izzy David Edelman Police and Fire Training and Physical Fitness Center located at 1740 South 8th Street, for the City of Richmond Fire Department, as set forth within the scope of Contract No. 29-2022, NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 2.9-2022, on March 9, 2022, which Contract is incorporated herein by reference. Pursuant to Contract No. 29- 2022, Section IV Term of Agreement, the City has an option to renew the Agreement for the 2023 calendar year, which option is exercised pursuant to this Addendum. Pursuant to Section XI. Miscellaneous, the Parties may alter the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth said changes. 2. Contractor shall continue to provide the maintenance for the heating and air conditioning (HVAC) systems located at Richmond Fire Stations 1, 2, 3, 4, 5 and the Izzy David Edelman Police and Fire Training and Physical Fitness Center located at 1740 South 8th Street for the Richmond Fire Department, as identified within Contract No. 29-2022 for the 2023 calendar year. Additional heaters to be repaired at Station Number 4 and the HVAC located at the Izzy Center no longer being under warranty have resulted in increased costs. Such services to the equipment and the updates to the serviceas outlined herein shall be performed in a manner consistent with Contract No. 29-2022, which is hereby incorporated by reference and made a part hereof. 3. Compensation paid to Contractor as described in accordance with Section III (Compensation) of said Agreement for the Agreement services and said additional services described herein shall he increased for the 2023 calendar year as reflected by Contractor's updated quotes which are dated January 4, 2023, and which updated quotes are attached hereto as Exhibit A to this Addendum, and which quotes are incorporated herein by reference. The new total amount to be paid to Contractor under the Agreement for the 2023 calendar year shall be an amount not to exceed Seven Thousand Three Hundred Thirty-two Dollars and Zero Cents ($7,332.00). City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 29-2022, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number I, in which case this Addendum Number 1 shall be controlling. 5. Both parties hereby agree that with the exception of the extension of the contract date of termination pursuant to the exercise of the option to renew the contract for the 2023 calendar year arid the additional compensation as described herein and as reflected on the updated quote sheets, Contract No. 29-2022 shall remain intact and unchanged and in full force and effect. 6. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
