Home My Public Portal AboutAddendum No. 1 to Contract No. 160-2023 - Fire - Evapar - Generator Inspector , ADDENDUM 0,7 JATHIS ADDANDIN, (Number 1 to Contract No. 160-2022) is made and entered into this day of , 2023, by and between Richmond, Indiana, a municipal corporation acting through its oard of Public Works and Safety with its office at 50 North 5' Street, Richmond, Indiana, (hereinafter referred to as "City"), and Evapar, Inc., 9000 North Kentucky Avenue, Evansville, Indiana, 47725 (hereinafter referred to as"Contractor"). WHEREAS, City and Contractor entered into Contract No. 160-2022 on November 30, 2022; and WHEREAS, City wishes to continue to retain Contractor to continue to provide services in connection with professional and consulting services which shall include, but shall not he limited to, the comprehensive inspection and evaluation of the generator and automatic transfer switch and taking a fuel sample to be submitted for third-party analysis and reporting for the generators located at Fire Stations No. 1 (101 South 5th Street, Richmond, Indiana), for the City of Richmond Fire Department, as set forth within the scope of Contract No. 160-2022. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The ty and Contractor executed and entered into Contract No. 160-2022, on November 20, 2022, which Contract is incorporated herein by reference. Pursuant to Contract No. 160-2022, Section IV Term of Agreement, the City has an option to renew the Agreement for the 2023 calendar year, which option is exercised pursuant to this Addendum. Pursuant to Section X Miscellaneous, the Parties may alter the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth said changes. 2. Contractor shall continue to provide the professional and consulting services which shall include, but shall not be limited to, the comprehensive inspection and evaluation of the generator and automatic transfer switch and taking a fuel sample to be submitted for third-party analysis and reporting for the generators located at Fire Stations No. i (101 South 5th Street, Richmond, Indiana) for the Richmond Fire Department, as identified within Contract No. 160-2022 for the 2023 calendar year. Contractor's updated estimate is attached hereto as Exhibit A and incorporated herein by reference and made a part hereof. Said quote includes mileage and labor Such services for the 2023 calendar year shall be performed in a manner consistent with Contract No. 160-2022, which is hereby incorporated by reference and made a part hereof. 3. Compensation paid to Contractor as described in accordance with Section III (Compensation) of said Agreement for the Agreement services and said additional services described herein shall be increased for the 2023 calendar year as reflected by Contractor's updated quote attached as Exhibit A. The new total amount to be paid to Contractor under the Agreement for the 2023 calendar year shall be an amount not to estimated not to exceed Two Thousand Four Hundred Twenty-three Dollars and Forty- nine Cents($2,423.49). City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 160-2022, shall be applicable to the work performed pursuant to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1 shall be controlling. 5. Both parties hereby agree that with the exception of the extension of the contract date of termination pursuant to the exercise of the option to renew the contract for the 2023 calendar year and the additional compensation as described herein and as reflected on the updated quote, Contract No. 160-2022 shall remain intact and unchanged and in full force and effect. 6. Both parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
