THIS AD DU 'N mb- 1 to Contract No. 55-2023) is made and entered into this
day of 023, by and between Richmond, Indiana, a municipal
corporation acting ugh its .I3oa. . of Parks and Recreation with its office at 50 North 5th Street,
Richmond, Indiana,.,47374 (hereinafter referred to as "City"), and Wilson Outdoor Solutions, 6604
South 100 F, Cutler, Indiana, 46920 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 55-2023 on March 28, 2023, which
Agreement retains Contractor to provide deep-tine aeration services upon the
greens at the Highland Lake Golf Course for the Richmond Parks Department; and
WHEREAS, The Parties wish to amend said Agreement to add the Glen Miller Golf Course
location to the scope with a corresponding increase the total "not to exceed" annual
payment amount estimated to be paid to Contractor pursuant to said Agreement.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 55-21'123, on.
March 28, 2023,. which Agreement is incorporated herein by reference. Pursuant
to Contract No. 55-2023, Section XI (Miscellaneous), the Parties may alter or
amend the Agreement in whole or in part at any time by filing with the Agreement
a written instrument setting forth such changes signed by both Parties. The Parties
agree that during the effective 2023 calendar year, the Contractor shall also perform
said deep-tine aeration. services at the Glen Miller Golf Course location for an
additional estimated amount to he paid to Contractor and not to exceed the amount
of7fhree Thousand Dollars and Zero Cents ($3,000.00). The services provided by.
Contractor shall be performed in a manner consistent with Contract No. 55-2023
for the term of the Agreement, which Agreement is hereby incorporated by
reference and made a part hereof. The new annual not to exceed amount to be paid
to Contractor for services rendered under Contract No. 55-2023 and this
Addendum is estimated not to exceed Seven Thousand Nine Hundred Dollars
and Zero Cents ($7,900.00) for the term of the Agreement.
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 55-2023 shall be applicable to this Addendum, unless
such term, condition or covenant conflicts with,this Addendum Number 1, in which
case this Addendum Number 1 shall be controlling.

3. Both Parties hereby agree that with the exception of the additional services at the
Glen Miller Park location and the corresponding compensation increase, Contract
No. 55-2023 shall remain intact and unchanged and in full force and effect.
4. Both Parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
