/74 THIS ADD LN U , (Number 2 to Contract No. 29-2022) is made and entered into this
day of " , 2023, by and between Richmond, Indiana, a municipal corporation
acting through its Board of Public Works arid Safety with its office at 50 North 5' Street, Richmond,
Indiana, (hereinafter referred to as "City"), and Wallace Heating and Air, Inc., 111 Melody Lane, P.O.
Box 3, New Paris, Ohio, 45347 (hereinafter referred to as"Contractor").
WHEREAS, City ad Contractor entered into Contract No.29-2022 on March 9, 2022; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide services in connection
with maintenance for the heating and air conditioning (HVAC) systems located at
Richmond Fire Stations 1, 2, 3, 4, 5 and the Izzy David Edelman Police and Fire Training
and Physical Fitness Center located at 1740 South 8th Street, for the City of Richmond
Fire Department, as set forth within the scope of Contract No. 29-2022.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including
the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 29-2022, on March 9,
2022, which Contract is incorporated herein by reference. Parties also entered into
Addendum No. 1 to said Agreement on March 29, 2023, for the previous option to
renew. Pursuant to Contract No. 29-2022, Section IV Term of Agreement,the City also
has an option to renew the Agreement for the 2024 calendar year, which option is
exercised pursuant to this Addendum. Contractor shall continue to provide the on-site
maintenance services for the Richmond Fire Department, as identified within Contract
No. 29-2022 and as modified in Addendum No. 1 to said Agreement, for the 2024
calendar year. Such services shall be performed in a manner consistent with Contract
No. 29-2022, which is incorporated herein by reference and made a part hereof.
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in Contract No. 29-2022, shall be applicable to the work performed pursuant
to this Addendum, unless such term, condition or covenant conflicts with this Addendum
Number 2, in which case this Addendum Number 2 shall be controlling.
3. Both parties hereby agree that with the exception of the extension of the contract date of
termination pursuant to the exercise of the option to renew the contract for the 2024
calendar year, Contract No. 29-2022 shall remain intact and unchanged and in full force
and effect.

4. Both parties agree that any person executing this Addendum in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to execute
this Addendum.
IN WITNESS WHEREOF, this Addendum No. 2 to Contract No. 29-2022 is executed and
approv-d by the undersigned representatives of the City and Contractor this / et day of
