Box 281, Richmond, Indiana, 47375 (hereinafter referred to as "Contractor"). 'WHEREAS, City and Contractor entered into Contract No. 148-2023 on August 22, 2023, Which. Agreement retains Contractor to provide services ...for the installation of flooring in the Richmond Police Department squad room and squad office located on the first floor of the municipal building for the City of Richmond, Indiana; and 'WHEREAS, 'The Parties have agreed the Contractor shall also install additional flooring in the traffic division office, the report-writing room and its adjacent office, and in the women's locker room all located on the first floor. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, including the above stated recitals, City and Contractor hereby agree as follows: 1. The City and Contractor executed and entered into Contract No. 148-2023, on August 22, 2023, which Agreement is incorporated herein by reference. Pursuant to Contract No. 148-2023, Section XI (Miscellaneous), the Parties may alter or amend the Agreement in whole or in part at any time by filing with the Agreement a written instrument setting forth such changes signed by both Parties. The Parties agree the Contractor shall also install additional flooring in the traffic division office, the report-writing room and its adjacent office, and in the women's locker room all located on. the first ...floor in accordance with the scope of said Agreement. Said purchase shall be completed and delivered in a manner consistent with Contract No. 148-2023, which is hereby incorporated by reference and made a part hereof Compensation paid to Contractor as described in accordance with Section III (Compensation) of said Agreement for said additional services shall be increased by an amount not to exceed Seven Thousand Nine thindred One.Dollars and Forty-for Cents ($7,901.44) reflected within Contractor's quote, dated December 8, 2023, and attached hereto as Exhibit A to this Addendum, which quote is incorporated herein by reference. The new total amount to be paid to Contractor under the Agreement shall be an amount, not to exceed Twelve Thousand Four Hundred Ninety-two Dollars and Thirty-nine Cents ($12,492.39). 2. City and Contractor expressly agree that all other terms, conditions, and covenants contained in Contract No. 148-2023, shall be applicable to this Addendum, unless such term, condition or covenant conflicts with this Addendum Number 1, in which case this Addendum Number 1. shall be controlling. Both Parties hereby agree that with the exception of the additional services to include the installation of additional flooring in in the traffic division office, the report- writing room and its adjacent office, and in the women's locker room all located on the first floor, and with the exception of the corresponding compensation increase, Contract No. :1.48-2023 shall remain intact and unchanged and in full force and effect. 4. Both Parties agree that any person executing this Contract in a representative capacity hereby warrants that he or she has been duly authorized by his or her principal to execute this Addendum.
