THIS ADDENDUM, (Number 2 to [REVISED] Contract No. 60-2021) is made and
entered into this 2o0-- day of , 20 23 by and between Richmond, Indiana, a
municipal corporation acting through its Board of Public Works and Safety with its office at 50
North 5th Street, Richmond, Indiana, (hereinafter referred to as "City"), and ESO Solutions, Inc.,
11500 Altura Parkway, Suite 100,Austin, Texas, 78758 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into [REVISED] Contract No. 60-2021 on June 15,
2021; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide subscription,
licensing, and professional support services for the Richmond Fire Department, as set
forth within the scope of[REVISED] Contract No. 60-2021.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into [REVISED] Contract No. 60-
2021, on June 15, 2021, which Contract is incorporated herein by reference. The'
Parties also entered into Addendum No. 1 to said Agreement on February 15, 2023,
for the option to renew previously exercised for 2023. Pursuant to [REVISED]
Contract No. 60-2021, Section IV Term of Agreement, the City has an option to
renew the Agreement for the 2024 calendar year, which option is exercised pursuant
to this Addendum. Contractor shall continue to provide subscriptions, licensing, and
professional support services for the Richmond Fire Department as identified within
[REVISED] Contract No. 60-2021 for the 2024 calendar year. Such services shall
be performed in a manner consistent with [REVISED] Contract No. 60-2021, which
is hereby incorporated by reference and made a part hereof.
2. City and Contractor expressly agree that all other terms, conditions, and covenants
contained in [REVISED] Contract No. 60-2021, shall be applicable to the work
performed pursuant to this Addendum, unless such term, condition or covenant
conflicts with this Addendum Number 2, in which case this Addendum Number 2
shall be controlling.
3. Both parties hereby agree that with the exception of the extension of the contract date
of termination pursuant to the exercise of the option to renew the contract for the
2024 calendar year, [REVISED] Contract No. 60-2021 shall remain intact and
unchanged and in full force and effect.

4. Both parties agree that any person executing this Contract in a representative capacity
hereby warrants that he or she has been duly authorized by his or her principal to
execute this Addendum.
IN WITNESS WHEREOF, this Addendum No. 2 to [REVISED] Contract No. GO-2021 is
exec d and approved by the undersigned representatives of the City and Contractor this_.. -- -day
