THIS ADDENDUM, (Number 1 to Contract No. 171-2023) is made and entered into
this Z.3(c/ day of , 2024, by and between the City of Richmond, Indiana, a
municipal corporation acting by and through its Board of Parks and Recreation, with its office at
50 North 5th Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Joe
Augustin, 714 Peacock Road, Richmond, Indiana, 47374 (hereinafter referred to as
"Contractor"),
WHEREAS, City and Contractor previously entered into Contract No. 171-2023 on
November 20, 2023, which contract is for professional services of a performance
booking agent for the Richmond Parks Department; and
WHEREAS, The Parties wish to exercise the option to renew the Agreement for the 2024/2025
season as set forth within the scope of Contract No. 171-2023 with an increase
and correction of scope to permit the professional services to be performed for a
variety of park-wide events and to include additional compensation as agreed
upon by the Parties.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
I. The City and Contractor executed and entered into Contract No. 171-2023, on
November 20, 2023. Pursuant to Contract No. 171-2023, Section 4 (Term of
Agreement), the Parties have retained an option to renew said Agreement for the
2024/2025 season. Pursuant to Section 11 (Miscellaneous), the Parties may also
alter or amend the Agreement in whole or in part by filing with the Agreement a
written instrument setting forth the agreed-upon changes. The Parties agree that
Contractor shall be retained to provide performance booking services for the
Parks Department for the extended season, with said services to be within the
scope of Contract No. 171-2023. Such services shall be performed in a manner
consistent with Contract No. 171-2023, which is hereby incorporated by
reference and made a part hereof and the scope shall include the same
professional services for additional park-wide events in addition to the events held
during the Winter Farmer's Market Season. The Parties have agreed to increase
the total not-to-exceed amount payable to Contractor by Five Thousand Dollars
for said extended term. As such, the new total amount payable to Contractor for
the duration of the extension of the term of the Agreement pursuant to this
Addendum No. I shall not exceed the total amount of Ten Thousand Dollars
and Zero Cents ($10,000.00) for satisfactory performance of the professional
services.

2. City and Contractor expressly agree that all other terms, conditions, and
covenants contained in Contract No. 171-2023, shall be applicable to the work
performed pursuant to this Addendum, unless such term, condition or covenant
conflicts with this Addendum Number 1, in which case this Addendum Number 1
shall Ix controlling.
3. Both Parties hereby agree that with the exception of the compensation increase,
the update to the scope, and the extension of the term of the Agreement •for the
2024/2025 term to be concluded no later than the end of the spring of 2025 for the
services of the professional booking services to be performed by Contractor,
Contract No. 171-2023 shall otherwise remain intact and unchanged and in full
force and effect.
4. Both Parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum No. 1 to Contract No. 171-2023,

approved by the undersigned representatives of the City and Contractor this Z.23" day of
