Board: Mayor Fran Cook; Mayor Pro-Tem Steve Sumrall; Trustees: Peggy Smith,

Mayor Cook called the meeting to order at 7:08 p.m.
1. Workshop: 2012 Budget

Line Sharing Agreement
3. Regular Meeting: Roll Call
4. Approval of Agenda:
Trustee Smith moved, and Trustee Shapiro seconded the motion to approve the
Agenda. Motion carried: 7-0.
Consent Agenda:
a) Minutes October 5, 2011
Trustee Smith moved, and Trustee Shapiro seconded the motion to approve the
consent agenda. Motion carried: 7-0.

8. Executive Session: Trustee Brent moved, and Trustee Shapiro seconded the motion
to open the Executive Session for a conference with the Town's Special Counsel for a
conference with the Town's Special Counsel for the purpose of receiving legal advice on
specific legal questions under C.R.S. Section 24-6-402(4)(b) and for the purpose of
determining positions relative to matters that may be subject to negotiations, developing
strategy for negotiations, and/or instructing negotiators, under C.R.S. Section 24-6-
402(4)(e) regarding an annexation agreement and to include SC Ferguson, TP Trotter,
PW Nordin, TC Berger and TM Durbin. Motion carried: 7-0.
Trustee Shapiro moved, and Trustee Hoyhtya seconded the motion to close the
Executive Session. Motion carried: 7-0.
Attorney's Opinion Required by C.R.S. 24-6-402(2)(d.5)(11)(13).
As the attorney representing the Town of Fraser, I am of the opinion that the entire
Executive Session, which was not recorded, constituted a privileged attomey-client
cation.

carried: 6-0. Meeting adjourned at 8:50 p.m.
