hereby certify that the above is a true and correct copy of a resolu—
tion duly adopted by the Board of Directors of the District by the
above vote at a meeting thereof duly held and called on the above

RESOLUTION OF THE BOARD OF DIRECTORS OF
THE MIDPENINSULA REGIONAL PARK DISTRICT
ACCEPTING GIFT OF REAL PROPERTY AND
AUTHORIZING PRESIDENT TO EXECUTE CERTIF-
ICATE OF ACCEPTANCE WITH RESPECT THERETO
The Board of Directors of the Midpeninsula Regional
Park District does resolve as follows:
Section 1. The Board of Directors of the Midpeninsula
Regional Park District does hereby accept, with gratitude, the
gift of real property described on Exhibit A, affixed hereto
and by this reference made a part hereof, and conveyed by that
certain gift deed from Paul M. Chesebrough and Nessie E. Chese-
brough to the Midpeninsula Regional Park District dated September
28, 1974.
The President of the Board is authorized to execute
a certificate of acceptance with respect thereto.
Section 2. By its acceptance of said conveyance, the
Midpeninsula Regional Park District covenants and agrees that the
property described therein shall be held in perpetuity as open
space, and grantee shall not erect or allow to be erected thereon
any permanent buildings or other structures (except fences and
similar structures necessary or appropriate to the protection of
the property as determined by the Board of Directors).
This covenant may be specifically enforced by grantors,
their heirs, successors and assigns, by bringing appropriate
proceedings for that purpose in the Superior Court of the State
of California in and for the County of Santa Clara.

EXHIBIT A
All that real property in the County of Santa Clara, State
of California, described as follows:
Lots 6 and 7 and the East one-half of the Southwest
one -quarter of Section 6, Township 8 South, Range 2
West, Mount Diablo Base and Meridian.
Excepting therefrom all that portion of the above
described property lying within the boundaries of
Santa Cruz County.
