AN ORDINANCE OF THE CITY OF CARSON GRANTING
A PIPELINE FRANCHISE TO XTRA ENERGY CORPORA-
TION, DBA: XEC
THE CITY COUNCIL OF THE CITY OF CARSON DOES ORDAIN AS FOLLOWS :
Section 1. The City Council hereby grants a franchise
to XTRA Energy Corporation, dba: XEC, a Texas corporation, for a
period of 25 years from and after the date upon which this franchise
shall become effective, to lay or construct from time to time and to
operate, maintain, renew, repair, change the size of, abandon in
place and/or remove pipelines for the transportation of casing gas ,
carbon dioxide, pressurized carbon dioxide, water and crude oil and
other substances not more dangerous than the aforementioned sub-
stance, together with all appurtenances and service connections
necessary or convenient to properly maintain and operate pipelines ,
including cathodic protection facilities , and also including appur-
tenances and equipment for power and communication lines necessary
or convenient for the Franchisee' s business , in ,under, along or
across any streets , highways , roads , alleys or other public places
within the City of Carson, approved from time to time by Resolution
of the City Council.
Section 2. Franchisee shall pay to the City of Carson:
(A) A base granting fee of $7 , 450. 83 ;
(B) A base annual fee per linear foot of pipe for
pipelines with an internal diameter of eight (8) inches or
less and an additional fee per inch of internal diameter
per foot of pipe for each inch or portion thereof in .excess
of eight (8) inches computed on' a base of twelve cents
($0: 12) for 8" diameter and two cents ($0. 02) for each
additional inch adjusted in accordance with the Wholesale
Price Index changes since December 31 , 1977 ;
(C) A base construction charge computed on a base
of $1, 500. 00 adjusted in accordance with changes in the
Wholesale Price Index since December 31 , 1977.
The amounts payable under Subsections (B) and (C) hereof shall be
adjusted annually in accordance with the provisions of Subsection
D of Section 6830 of Section 1 of Ordinance No. 78-428. The City
Council is currently considering changing the franchise fees required
by Section 6830 of Section 1 of Ordinance No. 78-428 to be paid by non-public
utility pipeline franchisees . The City Council hereby reserves the
right to adjust the annual fee to be paid by XTRA Energy Corporation
to an amount equal to the new rates established by the City Council
to be of general application to non-public utility pipelines . Said
adjustment shall be accomplished by an amendment to this ordinance
and the new fee shall be changed beginning with the effective date
of such ordinance. Any such adjustment shall be considered as one
of the five (5) adjustments permitted under Section 6830-B-3 of
Section 1 or Ordinance No. 78-428.
Section 3. This franchise is granted upon the terms and
conditions of Ordinance No. 78-428, as may be amended from time to
time, which is incorporated herein by this reference.

hereby certify that the whole number of members of the City Council of said City
is five; that the foregoing ordinance, being Ordinance No. 82-610 passed first
reading on August 2, 1982, was duly and regularly adopted by the City Council of
said City at a regular meeting of said Council, duly and regularly held on the
16th day, of August, 1982 , and that the same was passed and adopted by the
following roll call vote:
