The conse nsus from the Commission during the June meeting was that the School should follo w
the Town Code and the Develo per's Agreement in co nstructing a building matching the
architectural style of the school. The School has provided a ro ugh drawing of a building that fits
those criteria in its mo st recent submissio n. Ho wever, staff ask that additio nal info rmation be
provided during the meeting rega rding the colors and materials to be used, ro of height, a nd ex act
dimensio ns.
The Amendments to the Developer's Agreement were vo ted on and approved, so the o nly item
before the Town Commission is a Level 3 A rchitectura l/Site Plan Review fo r the building. The
info rmation fro m the June staff repo rt is provided to yo u belo w.

the Sch ool. The ARPB also discussed the inadequacy of the l andscape plan presented . Town Staff
noted that the Scho ol Administrati on were c ounseled during an initial pre -applicati on meeting
in 2022 that the cooler/dry storage unit wo uld need to match the architecture of the sch ool.
The ARPB suggested that the pref abricated cooler/ dry st orage unit be enclosed, and architectural
elements be added on the outside with a pitched or tiled ro of to match the architecture of the
schoo l, per the Town Code relating to min or access ory structures and other buildings (Please
note: this building is too large under the T own's Zoning Code to qualify as a min or access ory
structure). D uring the May meeting, no significant changes were pr oposed from the prior
submission.
The A rchitectural Review and Planning Board recommended approval of the Level III
Architectural/Site Plan Review 4-1 over staff objecti on that the pref abric ated cooler/dry st orage
unit wo uld need to meet the criteria set forth in T own Code Secti on 70-105. Garages and access ory
buildings. It reads as fo llo ws:

The applicant stated that the prefa bricated co oler/ dry sto rage unit was no t co rrugated metal but
co uld no t describe what the material was, o ther than it "loo ks like a co ntainer but not a POD
[po rtable sto rage unit]." Gulf Stream Schoo l Headmaster G ray Smith stated that "it is pro bably
some type of a luminum, but it looks like drywall."
In additio n to the o utright pro hibition of "metal sto rage sheds" in Sec 70-105(2), Staff has
previously counseled applica nts that garages and ancillary structures are required to match the
architectural style of the ho me, although the code reads that this is "preferred. " While the
structure sits comfo rta bly inside the property, it will likely be visible fro m A 1A to passing
vehicles.
Prio r to reco mmending approval of the Applicatio n, the A RPB discussed buffering the
prefabricated co oler/ dry storage unit with landscaping and how this wou ld be the most cost-
e ffective so lution. Staff would like to emphasize tha t co st-effe ctive ness is not a criteria in the
Co de. Former Town C lerk Rita Ta ylor often criticized the use of landscaping to shield less than

ideal structures or features, st ating that ov er time landscaping may die, leaving the T own with
something that otherwise may n ot have been appr oved.
Part of the appr oval of the prefabricated c ooler/dry st orage unit includes amending an agreement
with the Town that has been in place f or nearly 30 years. Town St aff's e xpectati ons are in line
with direction given by the ARPB during the April m eeting, which is a building or structure
matching the a rchitectural style of the scho ol that reflects p ositively on the T own and the many
visitors who enro ll their children at the school .

The Gulf Stream School wholeheartedly believes that a hot, fresh, nutritious
lunch for students, faculty and staff is essential not only to the nutritional well-b eing
of the school's community but the social - emotional wellness that comes with eating
together as a community and having the same food and amount of fo od a vailable to ev eryone.
Gulf Stream School is a well -respected school in the neighborhood, the county and beyond
and as such, should be prov ide,at a minimum, a hot lunch program like other public and private
schools across the nation. This program will only help strengthen the reputation of the sch ool and the Town of Gulf Str eam
The unit will not be notice able to the community at large and will provide the necessary food st orage for the lunch program.

Hello Tre y, Greg, and Rene e,
In preparation for our me eting, I am sending you this short rationale for increasing Gulf Stream
School's e nrollment cap to 300 students. I covered the two areas that Trey referenced in his
message, facilitie s and traffic, and I included our budgetary reasons for seeking a higher
enrollment number. Please give this a read befor e we meet and I will be prepared to provide
additional conte xt and answer any questions .

During the COVID pandemic, South Florida independent schools benefited from an influx of
families relocating to the state, and in -state families seeking an alternative to public sch ools.
Gulf Stream School was no exception. Schools also experienced a higher " yield" rate, famili es
accepting a school's offer of admission. GSS's yield is typically high, but ov er the past two
admissions cycles it has been as high as 94%. In March of 2022, Board President JD
Dickenson and I met with Town Mayor Scott Morgan to inform him about the increasing demand
for Gulf Stream School, and our gro wing enrollment.
Our 3 Pre -K classrooms are all built within the State's mandatory guidelines of 20 square feet
per child, and our other classrooms are built within the State's recommendations for space. We
se ek to enroll 3 sections of Pre -K and 2 sections in all other grades, K-8. See the model below
for grade -level capa cities:

This is to say that we are co mfortably accommodating 293 students within our current facility,
and could easily accommodate 7 more students, reaching a total enrollment of 300.
We do not have the need to erect additional buildings, however we do intend to make the most
of the space that we have. Here are some projects we are considering:
6 Convert the Pre -K courtyard into an outdoor classroom
® Convert the space gained from removing the silt tanks into an outdoor learning/play area
O Convert the Crocker Pavilion to a " cooking kitchen" in order to provide dining services
® Convert the Clough Chapel to a performing arts center
All of these projects can be don e within the current footprint of th e campus and facilities .
To meet the needs of a larger number of students, more faculty/staff were hired. This year, th e
School has 63 total employees . On campus, there are 94 parking spaces, easily
accommodating our employees, with 31 spots left over . Adding 7 students will not command
hiring additional personnel .
Traffic
In May, 2022, the School employed Simmons/White to evaluate our traffic patterns on campus
and on Gulf Stream Road. As you know, we have split the morning drop-off to incorporate two
traffic patterns. Vehicles with students in Grades 4-8 only enter at the Gulf Stream Road
e ntrance and proceed east toward the Clough Chapel steps where they unload. Those vehicles
exit through the A1A gate. Vehicles with any other combination of students ent er at the Gulf
Stream Road gate and proceed north, unloading along our curb, and exiting through the Gulf
Stream Road exit gate. These patterns have resulted in a morning arri val that concludes before
8:15 and has relieved morning traffic back-up on Gulf Stream Road, to which the presiding
GSPD officers can attest.
We are using the same new traffic pattern for our heaviest dismissal times as w ell, 4:15 on
Monday through Thursday, and 2:20 on Friday. Monday through Thursday the school day ends
for children in grades PK-4 at 2:20. However, 70% of those children remain on campus for our
After School Program, which ends at 4:15. Students in grades 5-8 are also dismissed at 4:15,
which means we manage approximately 230 students at the 4:15 dismissal .
However, we average 16 daily absentees, another 16 students are faculty childr en who are not
in vehicles in our carline, approximately 20 students walk to and from school (or their parents
walk them), and 14 students ride the bus. Once we factor in siblings who ride in the same
vehicle and those who carpool, we are looking at a range of only 55-65 vehicles in the carline at
4:15 dismissal, Monday to Thursday.
We now offer ASP on Fridays. About 50 students take part, who are picked up at 4:15, not at
2:20. Friday ASP participation, combined with the factors noted above, reduces the number of
vehicle s at Friday's 2:20 dismissal. While there are more vehicles in Friday's carline, it has not
exceeded approximately 70 vehicles.
Since the beginning of school, we have regularly timed our 4:15 and 2:20 dismissals, achieving
a range between 10 to 18 minutes, start to finish. The GSPD can attest that it moves smoothly
and efficiently.
As you can see, there are a lot of laye rs to deducing exactly how many ve hicles will be in the
carline at a time. Howeve r, we fe el that adding 7 students will not result in a material increase to
the number of ve hicles on campus or town roads.
f3udget
Gulf Stream School has been stewarded well for many years by a Board that practices
conservative budgeting and spending policies . While we ar e fortunate to hav e an outstanding
endowment, our Board seeks to m eet our budget through revenu e, that comes in the form of
tuition and fundraising .
In the nearly three decades since the enrollment cap was last raised, a l ot has changed in
education. Technology, campus security, health, and socialemotional wellness ar e just some of
the major areas in which the School has invested substantial funding. For example, in 1994,
when the cap was established at 250, the School did not hav e a technology budget. This y ear's
technology budget is over $300,000 .
We have hired and maintained a full-time armed security professional, have und ergone a costly
security audit for our campus, and re -invested in our gates, locks, cameras, windows, and
doors. During the pandemic, we hired a full-time sch ool nurse who has become indispensable to
day-to-day operations and will remain a member of the faculty . We partner with The Social

This is not to mention the rising cost of operations . For example, in 1994 the School paid
$42,376 for campus insurance, this year the cost is $298,000. There is a nation-wide shortag e
of te achers. In orde r to hire and retain the best we have to offer compensation packages that
are more and more attractive, to stay compe titive in the market . For perspective, even at 293
students, we are projecting only a modest end -of -year budget surplus.

on Exhibits B and J, and (ii) fo r ea ch sq ua re foot of B uilding A rea
in exces s of 400 square f eet that is added, the School removes one
squ are foot of either Buildi ng Area or Covered W alkway a nd Covered
Open Structure Area. The pa rties agre e th at the only vari ances
fro m which School is being given reli ef pur su ant to thi s Agreeme nt
are those var iances concerning: a) setback or l ocation al
requiremen ts , b) the s ize of structures, and c) the expansion of a
no ncon forming use or the addition of a building which does not
replace or substitu te an existing st ru cture . Moreov er, the S chool
mus t co mply with the arc hitectural a nd sit e plan review proc ess es
and other requiremen ts of the Town p revailing at the tim e of th e
expan sion proposal. A dditionally, Env elope 1 contains an i nner
e nve lope, ide ntified as Enve lope 1(A), to d epict a pos sible future
second story area. It is agreed that Envelope 1(A) shall not
utiliz e mo re than 6,000 squ are feet of the pe rmitted 10,000 square
feet for the s ec on d s tory. In the eve nt a seco nd sto ry is added,
it shall not be close r to any lot line than o ne -hu ndred twenty
(120) fe et.
The parties agr ee that neither the fieldho use and/or
auditorium renovatio ns shall be constructe d, nor shall any oth er
buildin gs be ere cted or e xpan ded within the En velope, unless all of
tho se site improve ments de scribed in Exhibits B through G,
inclusive, and Exhibit I ("Site Improvements") of this Agreement
a re c ompleted befor e or simulta neou sly with said constructio n.
Provide d, ho we ver, an d notwithstanding anything containe d in thi s
Agree men t to the c ontra ry, the To wn agr ees tha t the Sc hool may add
up to 400 squ are feet of the permitted 10,000 squ are fee t prior to
the constru ction of the Site Improveme nts withou t the requirement
of o ne square foot remo ved per square foot added being e nforced.
F urthermore, nothing in this Agreeme nt shall prec lude the ere ction
of new buildings or addition s within the Envelope prio r to the
construc tion or completion of the fie ldhouse and/or au ditoriu m
reno va tions if the Site Improve ments a re co mpleted before or
simultane ously with s aid erections or additions.
Finally, the parties agree that the Traffic Contro l Pla n
descr ibed in Exhibit G shall no t go into effec t un til the Site
Impro vemen ts are comple te d.
4. M is cellan eous Pr ovisions.
A. Compliance With Legal Requireme nts. The Town ha s
reviewed the con struction of the propose d fac ility a nd

renovations and believes the same to be consistent with its
c ompr eh ensive pl an and land d evel opment regulation s and that
no reservations or dedications of land by the School are
nece ssary for the Town's purpose s at the pr es ent time, except
tho se easeme nts g enerally indicated on Exhibit F.
Furtherm or e, the Tow n does not believe th at the s ame will
cause any d etriment to the Tow n or to it s citizens' public
health, safety or welfare. The p arties agree and ack nowledge
that the failure to addr ess in this Agreement any particular
conditi on, t erm or r estriction shall not relieve the Sch ool of
the nec essity of complying with a ny law gover ni ng s aid
requir ed condition, t erm or restriction.
B. Recordatio n of Agreement . The parties agree that
this Agreeme nt shall be recorded in th e Public Records of Palm
Beach Co unty, Florida within fo urtee n (14) days of exec ution
by all the parti es.
C. Enfo rc ement. Eith er p arty may fil e an action for
specific perf ormance and/or injunctiv e r eli ef in the Circ uit
Court in and for Palm B each Cou nty, Flo rid a, in order to
enforce the terms of thi s Ag reement . The Town shall n ot be
required to show irrepar able h arm in order to enfo rce the
terms of this Agreeme nt through injunctive relief . In
addition, in the event of a brea ch of the terms of Sections 1,
3 or 4 (I) or (J) of this Agreement, the S chool shall pay to
the Town a penalty of $500.00 per day of each d ay th at said
breach occurs.
D. Binding effect . This Agr eement shall be bi nding on
the successors in interest to the Scho ol a nd the Town.
Provide d, however, in the event th e School does not constr uct
the mu ltipurpose fieldhouse or th e renovatio n or expa nd any
bu ildings pu rsuant to Paragraph 3 above, and in accord ance
with the time cons traints of Par agraph 4(H) b elow, then this
Agreement shall be deemed null a nd void and of no furth er
force and effect. In such event the Scho ol shall continue to
be a n onconfor ming use under the Town's zoning cod e, subject
to all of the provisions c ontained herein . Additionally, in
the event the Scho ol ma ke s no Site Improvements or
co ns truction of any type on the premises prior to Ja nu ary 1,
1998, the School ma y request a termination of this Agre em ent
an d the T own a grees to join in the execution of a reco rdabl e
documen t evidencing said te rmin ation .
E. Litigation. In the event of any litigation ari sing
hereunder , jurisdiction and ve nu e shall be in Palm Beach
County, Flor ida, an d the prevailing party sha ll be entitled to
reco ver re as onable attorneys' fee s and cos ts, including those
fees and costs in appella te proc ee dings.
F. Complete A gree ment. There are no re presentations,
agree ments, arran gements or u nde rs tandings, oral or wr itten,
between the parties relating to the su bject matte r of this
Agree ment which are n ot fu lly expre ss ed in this A gr eement.
This Agreement cannot be chap ed or to
ate dan y manner other than by a writte n agreet ex e ut dl by or in
both
pa rties. The above no twithstan din g, modific ation s to the
c ons truction or plans re feren ced in Exhibits B throu gh G,
inclusive, of this Agree men t may be autho rized by the T own, by
and through the approval of its Town Ma na ger, without the

permit for all those Site Improvements shown in Exhibits B -

application with th e Town by th at d ate, then thi s Ag reement
shall be of no furth er fo rce and effe ct. Provided how ever,
the School may construct the fieldho use and renovate the
a udit orium, subject to th e t erm s of this Ag reeme nt, if an
application is mad e for a building p ermit by Jan uary 1, 2000
to constru ct the fieldhouse and/ or renov ate the auditori um, if
application for the b uilding p ermit for th e Site Imp rovements
ha s been so ught by Ja nu ary 1, 1998 and said improvements have
b ee n completed by January 1, 1999. If the Scho ol has not made
application by January 1, 2000 for a buildi ng permit to
construct the fieldh ouse and/or renovate th e auditorium, then
the sit e plan approval gr ant ed by the T own, for th e fieldho us e
and a uditori um sh all expire.
I. La nds caping Specifi cations. Th e Scho ol agree s that
all existi ng and p roposed landscaping will be maintain ed in a
conditio n and size eq ual to or exceedi ng th e specifications
indicated on Exhibit I.
J. Use of Ho uses of the Premises . Th e one (1) story
wood res idence adjacent to Ol eander Way shall be us ed as a faculty
r esidence or as an office . The remai ning two on e (1) story
s tr uctures shall be u sed only as re siden ces for f aculty, empl oyees
and their gue sts. The School ag rees to mai ntai n th e residential
appearance of these stru ct ure s.

Recommendation:
If the Board finds that the 8 mandatory v ariance criteria are met and the prop osed additions
are approved, the following co nditio ns are re commended for the site plan appr oval (three
sepa rate mo tions to recommend approv al or denial are requ ired, o ne for each of the approv als
requested).
1. The student enro llment shall be perma nently capped at 250, as limited by the existing
de velopers a gree ment.
No additiona l after-hours functions shall be held at the Schoo l o ther than those allowed
by the existin g develo pers agreement.
3. The private schoo l campus shall not be expanded onto existing single-family lo ts, as
dictated by RS -C zoning district use regulation s.
4. The school shall submit an updated long-ran ge master plan to the To wn prio r to building
permit.
5. A Construction Tra ffic Management Pla n sha ll be submitted prior to the issu ance of a
building permit application. This plan shall be rev iewed and Appro ved by the To wn
Manager and followed during constru ction.
6. The hedge alon g Gulf Stream Road shall be su pplemented with additiona l plants to fill in
existing gaps, replace dead or dying materials, and create a denser hedgerow.
7. The drainage pla n submitted with the application shall be fo llowed.
8. The School shall reimburse the Town for a ll advertising and To wn lega l fees associated
with this application.

9. The sch ool is respectfully requested to dedicate a 9' utility easement across the entire
frontage of AlA, to be used exclusively for fut ure under -grounding of p ower, phone and
utility lines . (A long-term T own goal)
Backgr ound:
A chronol ogy of school co nstruction du ring the past 50 years and related T own regulations
is attached.
Over the last two decades, the school's facilities and curriculum have e volved to keep pace
with educational standards and p arental expectations, while the absolute enrollment has
remained capped at 250 stude nts. Both the scho ol and the Town have put forth gre at effort
to ensure that the school can m aint ain high ed ucational standards and respond to st udent
needs with out inappr opriately impacting the surrounding single-family homes .
Particularly with the site impr ovements c onducted in 1997 (drainage, landscaping, sewer
connection, new parking layout, relocated basketball area), the sch ool has endeavored to be
a better neighbor. Additi onally, the headmistress a nd school president have made
themselve s available to Town officials a nd have immediately addressed any r equest fr om
the Town . For example, last year the school p articipated in a 50% cost sh are drainage
improv ement project, when requested by th e Town.
The school has made a commitment that additio ns will n ot increase enrollme nt or traffic
impacts. However, the mutual efforts to be compatible neighbors must continue. The
conditions recommende d above should assist in this regard.

Dear G ulf Stream Neighbors:
As you may ha ve read in the newspaper last month, Gulf Stream
School is considering how best to provide our students with enhanced
space in which to study the Fine Arts. We are pla nni ng also for several
classrooms to accommodate smaller secti ons of certain classes . We
have no plans to increase the student body.
We are designi ng our plans in accordance with the Developer's
A greement entered into with the Town of Gulf Stream in 1994. And we
are taking great care to ens ure that the understated charm and beauty of
ou r campus remain to benefit not o nly those of us working and studying
here, bu t also those who live in this very special community.

AMENDMENT TO DEVELOPE R'S AG REEMENT
THIS AGREEMENT is entered into on the date shown below between the TOWN OF GULF
STREAM, FLORIDA, and GULF STRE AM SCHOOL, INC., herei nafter referred to as "parties,"
WIT NESSETH:
WHERE AS, the p arties hereto entered into a Developer's Agreement, dated J une 10, 1994,
and recorded in Official Record Book 8311, Page 630, public records of Palm Beach C ounty,
Florida; and
WHEREAS, the parties wish to amend said Agreement to provide f or the abolishment of the
requirement that certain covered walkways be removed whe n certain co nstruction is performed; and
WH EREAS, it is in the best interests of the childr en of the Gulf Stream School that said
walkways remain in place, despite the new construction that is planned at the Scho ol; and
WH EREAS, the School agrees to continue to use the Premises as an indepe ndent day school
in accordance with the accreditation requirements of the Florida Council of Independe nt Schools or
similar accreditation entity a nd in accordance with the terms of this Agreement; a nd
WHEREA S, the agreement that the maximum number of students, b oth seasonal and full-
time, that may be enrolled in said school at one time shall not exceed two hundred fifty (250)
students is affirmed. It is additionally affirmed that the Premises will n ot be used for any activity
other than for School an d commu nity ev ents in volv in g the residents of the Tow n of Gulf Stream,
Florida, the students attending the Gulf Stream Schoo l, and the families and frie nds of those
students. The remainder of the Developer's A • reement is affirmed , except to the extent of the
amendments included herein; and
WHEREAS, the Gulf Stream School, in recogn ition of the extraordinary ser vices pr ovided
it by the Town of Gulf Stream, volunta rily agrees to pay to the Town annually on October 1st of
each ear the sum of Ten Thousand Do llars ($10.000. 00) as lon g as said extraordinary services
continue to be pro vided by the Town. This c on tribution shall be tied to the terms of the Consumer
Price Index and shall be subject to amendment u pon a .royal of the School and the Town
Commission.

NOW, THEREFORE, in consideration of the foregoing and the m utual agreement of the
parties, the Developer's Agreement is hereby amended as f ollows:
1. Paragraph 3, Site Buildi ng E nvelope, is deleted in its entirety and replaced with the
followi ng:
"3 A. Site B uilding E nvelope. Exhibit J reflects broken lines around the
proposed o ne (1) story fieldhouse, the existing one (1) story chapel and the e xisting
educational facility (E nvelope 1 .) No buildings shall be erected or expa nded outside
of this En velope. Sit e B uilding En vel ope calculations f or the existi ng building
footprint area and f or the total building footprint area (new construction included) are
reflected for En velope 1 on Exhibit J.
In order to eliminate the need for the School to seek a variance from the
Tow n each time c onstruction (in addition to the fieldhouse a nd a uditorium
re novations) is desired in Envelope 1, the parties agree that a varian ce will not be
necessary for such construction provided that (i)the Total B uilding Area in E nvelope
1 is not increased by more than 10,000 square feet over that on Exhibits B and J -end
The parties agree that the only varia nces from
which School is given relief pursua nt to this Agreeme nt are those varia nces
con cerning: (a) setback or locational requirements; (b) the size of structures, and (c)
the expansion of a nonconforming use or the addition of a building which does not
replace or substitu te an existing structure. Moreover, the School must comply with
the architectu ral and site plan review processes and other req uirements of the Town
prev ailing at the time of the expansion proposal .
Additionally, Envelo pe 1 contains an i nner envelope, identified as En velope
1(A ) to depict a possible future second story area . It is agreed that E nvel ope 1(A)
shall not utilize more than 6,000 squ are feet of the permitted 10,000 square feet for
the secon d story. In the event a second story is added, it shall not be closer to a ny
lot line than one -hundred twenty (120) feet.
The parties agree that n either the fieldhouse and/or auditorium renovations
shall be constructed, nor shall an y other buildings be erected or expanded within the
Envelope, unless all of those site improv ements described in Exhibits B through G,.
inclu sive, and Exhibit I ("Site Improv ements" ) of this A greement are c ompleted
befo re or simultaneously with said con struction. Provided, howe ver, a nd
notwithstanding anything co ntained in this Agreement to the co ntrary, the Town
agrees that the School may add up to 400 square feet of the permitted 10,000 square
feet prior to the co nstruction of the Site Improvements without the requirement of
on e square foot remove d per square foot added bein g en forced. Furthermo re, nothing

in this Agreement shall preclude the erectio n of new b uildings or additions within the
E nvelope prior to the c onstructio n or completi on of the fieldhouse and/or auditorium
renovations if the Site Impr oveme nts are completed before or simultaneously with
said erectio ns or additions.
Finally, the parties agree that the Traffic Co ntrol Plan described in Exhibit G
shall not go i nt o effect u ntil the Site Improvements are completed.
3B . The G ulf Stream School , in recognition of the extraordinary services
pro vided it by the T own of G ulf Stream, v oluntarily agrees to pay to the Town
a nnually on October 1st of each year the sum of Ten Thousand Dollars ($10,900 .00)
beginning Oct ober 1, 2001 , as lo ngas said e xtr aordi nary services contin ue to be
provided by the Town . This contribution shall remai n fi xed f or a period of three
years . Beginning October 1, 2004, this co ntribution shall be tied to the Cons umer
Price I ndex and shall be subject to amendment upon approval of th e School and the
Town Commissi on. Increases in the annual contribution shall be in pr oportion to
yearly i ncreases in the Cons umer Price I ndex as reported by th e U .S . Departme nt of
Labor, B urea u of Labor Statistics, "All Items" for "All Urban Consumers ." The Base
CPI shall be the twelve month average for the calendar year 2004 . The Adjusted CPI
shall be the twelve month average f or the calendar year preceding each a nnu al
adjustment, The annual contribution begi nning_ October 1. 2004 , and every ye ar
thereafter shall be comp uted under the followi ng formula:

THIS SECO ND AMENDMENT TO DE VELOPER'S AGREEMENT (the "Seco nd
Amendment") is entered int o on this 14 . " day of April 2013, by a nd between the TOWN OF
GULF STREAM, FLORIDA, a Florida m unicipality (the "Town"), and GULF STREAM
SCHOOL, INC., a Florida corporation not -for-profit (the "School") (the Town and the School
are collectively referred to herei n as "parties") .
WIT NESSET H:
WH EREAS, the parties hereto entered into a De veloper's Agreement dated June 10, 1994
and recorded on June 20, 1994 in Official Records B ook 8311, Page 630 of the Public Records
of Palm Beach Co unty, Florida , as amended and m odified by that Amendment to Developer's
Agreement dated April 9, 2001 and recorded on April 13, 2001 in Official Records Book 12458,
Page 1563 of the Pu blic Records of Palm Beach County (as amended, the "Agreement") .
Capitalized terms u sed herein but not defi ned shall have the same meaning as set forth in the
Agreement; and
WHEREA S, in order to better provide for the needs of the students of the School the
School filed with the To wn on or about November 15, 2012 that Applicati on for Development
A pprov al (for Demolition Permit, Site Plan Review -Le vel III and Variance Review)(the "2012
Application") and requested that the To wn approve the demolition of the existing o ne story
pavilion that is presently located within Envelope 1A and the constructi on within En velope lA
of a new, two story pavilion/classroo m building, covered walkway, stairs and related
improvements (the "New Pavilion/Classroo m Improvements"); and
WHEREAS, su bject to the conditions fu rther described herein on January 11, 2013 the
Town granted its approval to the 2012 Application; and
WHEREAS, the parties wish to further amend the A greement to pr ovide for the matters
herein addressed.
NOW, THEREFO RE , for and in consideration of Ten Dollars ($10.00) in hand paid, the
foregoing and for other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged by each of the parties, an d based upon the mutual agreement of the p arties,
the Agreement is hereby amended and modified as follows:
1. Recitals. The foregoing recitals are true an d correct and are incorporated herein by reference .

2. Ame ndments . The parties hereby agree that the Agreement is amended as follows:
a. The 2012 Application included the following requests, all of which have bee n
approved by the Town:
1. Request f or issua nce of a demolitio n permit to demolish the e xisting one story
pavilio n consisting of 1,681 square feet;
ii. Request for Level 3 Architectural/Site Plan Review to permit constructi on of the
New Pavilion/Classroom Buildi ng, consisting of a total of 4,875 square feet, withi n
E nvelope 1A;
iii. Request for variance to permit an increase to the total allowable floor area at the
Premises, pursuant to the Agreeme nt, of 61,737 square feet by 1 ,617 sq uare feet — for a
total allowable flo or area at the Premises of 63,354 square feet; and
iv. Request for varia nce to permit an increase to the tot al allowable second floor area
within Envelope 1 A, pursuant to the Agreement, of 6,000 square feet by 1,765 square
feet — for a total allowable seco nd floor area within E nvelope IA of 7,765 square feet.
b. The 2012 Application was approved with the following additional conditions to those
already established and ongoing pursuant to the Agreement, as modified by this Second
Amendment:
i. The Schoo l shall provide to the Town a yearly certification that enrollment at the
School does not exceed the maximum stude nt e nrollment of two hu ndred fifty (250)
students, as esta blished in Section 1(B) of the Developer's Agreement dated June 10,
1994;
ii. The School's campus shall not be expanded f urther i nto existing single-family
lots adjacen t to the Premises an d located in the Town's RS -C (Gulf Stream Core District)
and RS -0 (Residential Sin gle -Family — Ocean West) Districts.
iii. The School shall submit a Construction Traffic M anagement Plan to the Town
prior to the Town's issuance of a bu ilding permit for construction of the New
Pavilion/Classroom Improvements;
iv. The School shall reimbu rse the Town for all advertising and Tow n leg al fees
associated with the 2012 Application , not to exceed $5,000.00; and
v. As reasonably requ ested in the futu re by the Town, the School shall dedicate a
non-exclusiv e 9' utility easement across the entire eastern fron ta ge of the Premises at and
alon g the right-of-way fo r State H ighway A -1-A , subject to the following: (A) the
Town's usage of su ch area shall be limited to location, placement and installation of and
facilitation fo r under -grou nd lines and condu it for tran smissio n of power, phone and
other u tilities, and (B) implementation of such usage by the Town shall not cause
removal or relocation of existing landscaping or improvements, e.g., fences or gates, as
presen tly located upon the Premises.

c. The remaining pro visions of the Agreement shall remain unaltered.
3. Miscellaneo us,
a. The terms contained in this Seco nd Amendment shall govern in the event of a ny conflict
betwee n the terms hereof and the terms contained in the Agreement .
b. Except as herein modified, all of the terms and pro visi ons of the Agreement sh all remai n
in full force a nd effect.
c. The parties agree that this Second Amendment shall be recorded in the Public Records of
Palm Beach County, Florida, withi n fourteen (14) days of execution by all parties .
d. This Seco nd Amendment m ay not be ame nded or modified, nor sh all a ny w aiver of any
provision hereof or thereof be e ffective, e xcept by an instrument in writing executed by the
parties .
e. This Second Amendme nt shall be bi nding upon the parties and their respecti ve legal
representatives, s uccess ors and assigns .
f. The provisions of this Sec ond Amendment sh all be construed in accorda nce with the laws
of the State of Florida .
g. This Secon d Amendment may be e xecuted in any number of counterparts each of which
sha ll be considered an original and o ne a nd the same document. A f acsimile copy of this Second
A mendmen t and any signatures hereon shall be co nsidered for all purposes as originals.

I have figured out part of the problem.
Because the property lines, it jogs, and the fence are not parallel the dimensions while shown correctly, may not have
added up to what Renee was seeing.
Keryn, I am going to suggest you bring copies of the attached to hand out to clarify .
My apologies for not understanding the issue sooner .

Plant full-grown, mature Clusia hedges around the unit on all 4 sides so that the unit is hiddenbehind the shrubs. Clusia produce a dense hedge
of thick leaves and can grow easily 20-25 feet tall and 10-12 feet wide but be trimmed to our liking. Many, if not all of the homes in Gulf Stream
have Clusia hedges surrounding their properties to provide privacy. This option would match existing landscaping on campus and in the Town.

Proposal/Picture 2 :
Build an aluminum/steel fence -like screen wall around the cooler unit that will be white like the rest of the buildings on cam-
pus and will look similar to the structure that encloses the trash dumpsters. It will be built to our specifications for this par-
ticular project. It will enclose the unit on all 4 sides only leaving an opening to access and exit the unit. To the best extent
possible, we will plant greenery/flowers around that fence to make it more "natural" looking. However, adding the fence de-
creases the space we have to work with so the landscaping might be more limited.
Alternate shown below with fence and simple ground cover. Steel and aluminum, painted.
