Board: Mayor Fran Cook; Mayor Pro -Tem Steve Sumrall; Trustees: Peggy Smith,

Mayor Cook called the meeting to order at 6:10 p.m.
1. Regular Meeting - Roll Call
2. Approval of Agenda Trustee Sumrall moved, and Trustee Naill seconded the motion
to approve the Agenda. Motion carried: 7-0.
3. Executive Session: Trustee Smith moved, and Trustee Sumrall seconded the motion
to open the Executive Session for a conference with the Town's Attorney for the purpose
of receiving legal advice on specific legal questions under C.R.S. Section 24-6-402(4)(b)
and for the purpose of determining positions relative to matters that may be subject to
negotiations, developing strategy for negotiations, and/or instructing negotiators, under
C.R.S. Section 24-6-402(4)(e) regarding water matters and to include TA McGowan, PW
Nordin and TM Durbin. Motion carried: 7-0.

Trustee Shapiro moved, and Trustee Sumrall seconded the motion to close the
Executive Session. Motion carried: 7-0.
Attornev's Opinion Required by C.R.S. 24-6-402(2)(d.5)(II)(B).
As the attorney representing the Town of Fraser, I am of the opinion that the entire
Executive Sessio whic as not recorded, constituted a privileged attorney-client
communication.

g) Resolution 2011-12-18 Adopting the 2012 Town of Fraser Personnel
Handbook
h) Authorizing the Mayor to enter into an employment agreement with
Jeffrey L. Durbin as Town Manager

7. Public Hearings:
a) 2012 Budget Hearing
Trustee Naill moved, and Trustee Hoyhtya seconded the motion to open the public
hearing on the 2012 Budget Hearing. Motion carried: 7-0
FM Havens outlined the budget for the Board.
Trustee Hoyhtya moved, and Trustee Naill seconded the motion to close the public
hearing on the 2012 Budget Hearing. Motion carried: 7-0
8. Discussion and Possible Action Regarding:
a) Resolution No. 2011-12-02 Adopting the Police Budget for 2012.
Trustee Sumrall moved, and Trustee Hoyhtya seconded the motion to approve
Resolution No. 2011-12 02 Adopting the Police Budget for 2012. Motion carried: 7-0.
