A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD
AUTHORIZING THE MAYOR TO EXECUTE AN EXTENSION TO THE AGREEMENT
WITH CALIFORNIA CONSULTING, LLC TO PROVIDE GRANT WRITING SERVICES
TO THE CITY UNTIL JUNE 30, 2016
WHEREAS, on September 3, 2013, the City Council amended the City's prior
agreement (Amendment No. 1) with California Consulting, LLC to extend grant writing
services for another year at a monthly compensation rate of $3,000; and
WHEREAS, Amendment No. 2 of the consulting services agreement expired on
September 3, 2014; and
WHEREAS, on September 2, 2014, the City Council authorized the one year
extension to the agreement (Amendment No. 3) with California Consulting, LLC; and
WHEREAS, Amendment No. 3 of the agreement expired on September 2, 2015.
The agreement allows for a continuance on a month -to -month basis. If a new
agreement is not entered into within three months following the termination date,
services will terminate on December 2, 2015; and
WHEREAS, staff requests that the agreement be extended to June 30, 2016.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF LYNWOOD DOES
HEREBY RESOLVE AND DETERMINE AS FOLLOWS:
Section 1. The City Council approves California Consulting LLC to continue to
provide grant writing services to the City until June 30, 2016 subject to a thirty (30) day
cancellation notice.
Section 2. The Mayor is authorized to execute an extension to the agreement
with California Consulting LLC approved as to form by the City Attorney.
Section 3. The City Council authorizes the City Manager or designee to make
the following funds appropriations and transfers:

Section 4. This Resolution shall become effective immediately upon its adoption.
Section 5. The City Clerk shall certify as to the adoption of this City Council
Resolution.

AMENDMENT NO. 4 TO CONSULTING SERVICES AGREEMENT WITH
CALIFORNIA CONSULTING, LLC
This Amendment No. 4 to Consulting Services Agreement (herein "Amendment
No. 1") is made and entered into this 24th day of November 2015 by and between the
City of Lynwood, a municipal corporation, ( "City ") and California Consulting, LLC
( "Consultant ").
RECITALS
WHEREAS, on February 21, 2012, the City and Consultant entered into that
certain Consulting Services Agreement for grant writing services ( "Agreement "); and
WHEREAS, on September 18, 2012, the City and Consultant entered into a First
Amendment to the agreement to extend the term of the agreement for one (1) year and
reduce the monthly compensation rate from $4,000 to $3,000 for service provided to the
City.
WHEREAS, on September 3, 2013, the City and Consultant entered into a
Second Amendment to the agreement to extend the term of the agreement for one (1)
year at a monthly compensation rate of $3,000 for service provided to the City.
WHEREAS, on September 2, 2014, the City and Consultant entered into a Third
Amendment to the agreement to extend the term of the agreement for one (1) year at a
monthly compensation rate of $3,000 for service provided to the City.
NOW, THEREFORE, the parties hereto agree as follows:
1. Exhibit "A ", at Sections 1, 2 and 3 attached to the Agreement, as amended
under Amendment No. 2, entitled "Time of Performance and Compensation Schedule"
shall be amended and replaced with the following language to show the extended term
of the agreement to perform service for City.
"A. SCOPE OF SERVICE, TIME OF PERFORMANCE AND
COMPENSATION SCHEDULE
Section 1, Scope of Services shall be amended in its entirety to read as follows:
1. Scope of Service.
Consultant shall provide the City with grant writing services. The Consultant will
comply with all state, federal and local laws and regulations related to grant
writing and assure that the grants are prepared in accordance with such laws and
regulations. It is understood and acknowledged by the parties that the value of
the Consultant's advice is not readily quantifiable, and that Consultant shall
render advice upon request of the City, in good faith, but shall not be obligated to
spend any specific or pre -set amount of time in doing so. Consultant's duties
may include, but will not necessarily be limited to:
a. Grant research, identification, and writing at direction of the City for federal
state and private foundation grants;
b. Communicating with key persons in the state government, state agencies,
local government, community leaders, community organizations, and
business persons to further the goals of the City;
c. Arranging and /or attending meetings on behalf of the City and for the
furtherance of the stated goals of the City; and
d. State lobbying and governmental affairs services as requested by the City.
e. Identify and dedicate a grant writer or a team of grant writers that will be
obligated to the City for at least one full year.
2. Time of Performance.
The initial term of this Agreement commenced on February 21, 2012 (the
"Commencement Date" and terminated on August 21, 2012. The initial
agreement was amended ( "Amendment No. 1") extending the term of the
agreement until September 18, 2013. The agreement was further amended
( "Amendment No. 2) extending the term of the agreement for an additional year
until September 3, 2014. The agreement was amended again (Amendment No.
3) extending the term of the agreement until September 2, 2015 (the
"Termination Date "). The agreement allowed for a continuance on a month -to-
month basis. Following the approval of Amendment No. 4, the term is extended
until June 30, 2016 (the "Termination Date "), subject to a thirty (30) day
cancellation notice.
3. Compensation Schedule.
Consultant was compensated at the rate of $3,000 per month upon the
commencement of the term of this Agreement until September 2, 2015. For
services performed beginning September 3, 2015, until the termination of this
Agreement, Consultant shall perform and provide grant writing services to the
City of Lynwood, at a maximum of $30,000 for 10 months (capped at $3,000 per
month, which is inclusive of all costs and expenses).
2. Exhibit "A" shall be further amended to supplement the grants to be pursued by
Consultant to include those additional grant opportunities described in Exhibit "A"
attached hereto, which Exhibit shall be a supplement to Exhibit "A" in the Agreement.

3. Section 2 of the Agreement, entitled "Term of Agreement" shall be amended to
extend the term for ten (10) month from the date of this Amendment, for a total of five
(5) years from the effective date of the Agreement and terminating on the Termination
Date, as set forth in Section A.2 of Exhibit "A ", as amended herein. Except as
specifically amended herein, all other provisions of Section 2 shall remain unmodified
and in full force and effect.
4. Section 3.13 of the Agreement, entitled "Compensation" shall be amended to
add the following additional language to read as follows, with all other provisions of
Section 3 remaining unmodified and in full force and effect:
"3. Compensation
B. Beginning with the services provided on September 3, 2015,
total payment to Consultant pursuant to this Agreement shall
be set at a maximum compensation of $30,000 for 10
months, which shall be payable for services provided on a
monthly basis, as prorated pursuant to Section A.3 of Exhibit
"A ", as amended herein."
5. Full Force and Effect. The parties further agree that, except as specifically
provided in this Amendment No. 3, the terms of the Agreement shall remain unchanged
and in full force and effect.
