We have completed the audit of the Joint Facilities Operating Committee (the "JFOC plant operations as
part of the audit of the Fraser Sanitation District for the year ended December 31, 2008. We are
providing you this letter to assist in providing assurance that all member financial obligations were
properly disclosed, handled in a fair and transparent manner, and comply with the financial provisions of
the Upper Fraser Valley Wastewater Treatment Agreement (the "Agreement

Expenditures totaling $10,141 were approved by the JFOC Board as "capital" replacement
reserve expenses.
All JFOC funds were insured by FDIC, PDPA (the public deposit protection act), or were invested
in ColoTrust (a Colorado Local Government Investment Pool).

Consent to Assignment of
Upper Fraser Valley Wastewater Treatment Agreement
THIS CONSENT OF ASSIGNMENT AGREEMENT "Agreement is made and entered
into this day of 2009, by and between the FRASER SANITATION
DISTRICT, the address of which is P.O. Box 89, Fraser, CO 80442 "FS WINTER PARK
RANCH WATER AND SANITATION DISTRICT, FORMERLY KNOWN AS WINTER PARK
WEST WATER AND SANITATION DISTRICT, the address of which is P.O. Box 1390, Fraser,
CO 80442 ("WPR GRAND COUNTY WATER AND SANITATION DISTRICT #1, the address
of which is P.O. Box 3077, Winter Park, CO 80482 "GC and the TOWN OF FRASER, the
address of which is P.O. Box 120, Fraser, CO 80442 "Town
RECITALS
WHEREAS, FS, WPR, and GC entered into an agreement in 2001 known as the Upper
Fraser Valley Wastewater Treatment Agreement "Joint Facilities Agreement attached hereto
as Exhibit A, to cooperate in the joint construction, maintenance and operation of joint
interceptor sewer lines and joint sewage treatment facilities in a manner which would promote
the harmonious and efficient provision of service to their residents and accomplish the
objectives of each;
WHEREAS, the assignment of the Joint Facilities Agreement and any of the rights and
liabilities thereunder shall be made only after written consent of a majority of the members of the
Board of Directors of each District;
WHEREAS, FS is both a party to the Joint Facilities Agreement and the Joint Facilities
Manager, as that position is defined in the Joint Facilities Agreement;
WHEREAS, FS has decided to dissolve and begun the dissolution process;
WHEREAS, the Town, subject to election and certification of election results, will have
the legal authority and capacity to continue the services provided by FS upon its dissolution and
intends to continue those services;
WHEREAS, FS, WPR, GC and the Town, for the purpose of providing for the
continuance of the Joint Facilities Agreement, and the services provided under it, after the
dissolution of FS desire to enter into this Agreement;
NOW, THEREFORE, be it resolved by the Board of Directors of the Fraser Sanitation
District, the Board of Directors of Winter Park Ranch Water and Sanitation District, formerly
known as Winter Park West Water and Sanitation District, the Board of Directors of Grand
County Water and Sanitation District #1, and the Board of Trustees of the Town of Fraser that:
1. FS may assign all of its rights and obligations associated with and required by
the Joint Facilities Agreement.
2. The Town accepts all of the rights and obligations associated with and required
by the Joint Facilities Agreement, effective as of the date a final order of dissolution for FS is
entered by the District Court of Grand County "Effective Date
3. The Town shall assume FS' responsibilities as Joint Facilities Manager under the
Joint Facilities Agreement as of the Effective Date.
4. The terms and conditions of the Joint Facilities Agreement shall be binding upon
the Town as of the Effective Date
5. WPR, GC and FS agree that the Town will have the powers and duties of the
Joint Facilities Manager as defined in the Joint Facilities Agreement and no separate contract is
needed between the parties under Section 4.7.1.1 of the Joint Facilities Agreement to amend
those powers and duties.
6. JFOC assets JFOC Funds held in ColoTrust and Grand Mountain Bank
currently held in the name of Fraser Sanitation District will be changed to be in the name of the
Town of Fraser The title to the Upper Fraser Valley Wastewater Treatment Plant property,
currently in the name of the Fraser Sanitation District, Grand County Water and Sanitation
District #1, and Winter Park West Water and Sanitation District, will be transferred to the Town
of Fraser, Grand County Water and Sanitation District #1, and Winter Park Ranch Water and
Sanitation District. The JFOC has no other assets that are subject to transfer as a result of this
assignment.
7. There shall be an audit upon dissolution of Fraser Sanitation District, which shall
provide to all parties information with regard to all Joint Facility accounts and assets transferred
in connection with the dissolution.
8. The management fee paid to the Joint Facilities Manager by the members as
approved by the JFOC shall not change until such time as a change is approved by the JFOC
as part of the annual budget process. Any proposed changes to the management fee will
include an analysis of the proposal, a comparative analysis of the proposed fee to the fee
charged by the Joint Facilities Manager in the immediately prior year specifically identifying and
discussing any increases or reductions therefrom and an outline of the basis for the proposed
changes.
9. The Town Manager, Wastewater Treatment Plant Department head, GC District
Manager, and WPR District Manager will meet at least monthly to review current management
concerns, operational issues, financials, and/or any other pertinent matters.
10. The Plant Superintendent's Responsibilities shall be as shown on Exhibit
attached hereto.
11. The Joint Facilities Manager shall segregate all expenditures related to
operations and management of the Joint Facilities (as provided by the Upper Fraser Valley
Wastewater Treatment Agreement) from all other expenditures and only those expenditures
applicable to the operations and management of the Joint Facilities as provided by the Upper
Fraser Valley Wastewater Treatment Agreement shall be billed to the members in accordance
with the Upper Fraser Valley Wastewater Treatment Agreement. The Joint Facilities Manager
shall establish a Wastewater Treatment Plant Department for all operations and management of
the Wastewater Treatment Plant. Employees of the Wastewater Treatment Plant Department
shall not be assigned any job duties or responsibilities unrelated to the operation and
management of the Joint Facilities (except as may be agreed upon by managers of the member
entities). Management and operations of water distribution and wastewater collections shall be
via a separate department. As provided by the Joint Facilities Agreement, accounting, financial
and billing records maintained by the Manager are available for review and inspection at any
time during normal business hours; the Manager agrees to provide additional records and /or
documentation as reasonably deemed necessary to ensure compliance with the provisions of
this paragraph.
12. The Joint Facilities Manager shall establish a program that provides for training
and sharing of personnel from all three members for the operations of the Joint Facilities. The
members recognize that the Joint Facilities Manager bears the responsibility for the proper
operations of the Joint Facilities and therefore agree to enter into separate agreement with the
Joint Facilities Manager (including such items as reporting relationships, accountability, liability,
etc) as provided by the Joint Facilities Manager prior to any participation in the program. Any
expenditures related to this program shall be in compliance with the approved budget.

13. Section 5.1.2 of the Joint Facilities Agreement shall be amended to read as
Procedure 2. The matter will be presented at a publicly noticed regular or special
meeting of the Town Board and both District Boards to be held not earlier than 10
days nor later than 30 days after the matter is submitted to the Boards for
consideration. The Boards will review the matter and decide how to resolve the
matter. The decision of the Joint Boards must be made by a quorum of at least
ten Board Members based on the table below and including a minimum of not
less than two (2) affirmative notes from the Town and each District, except in the
instance when the Town or a District fails to attend the meeting. Failure to attend
a meeting shall cause the Town or District failing to attend to forfeit its right to
vote on the issues at that meeting:

Any District may request continuation or rescheduling of the meeting of the
Boards in accordance with the procedure identified in Section 4.6.5.4 above.
14. This Assignment together with any exhibits or documents referred to within or
supplied pursuant to the terms of this Assignment (all of which are incorporated in this
Assignment by this reference), contains the entire agreement between the parties and
supersedes any and all prior oral representations, covenants, understandings or other
agreements between the parties.
15. Facsimile signatures will be accepted and have the same force and effect as
original signatures.
16. This document may be executed in counterparts and such execution will have
the same force and effect as if the document was executed simultaneously.
IN WITNESS WHEREOF, the Fraser Sanitation District, Winter Park Ranch Water and
Sanitation District, formerly known as Winter Park West Water and Sanitation District, Grand
County Water and Sanitation District #1, and the Town of Fraser have executed this Consent of
Assignment Agreement as of the date first mentioned above.

DISTRICT OPERATIONS SUPERINTENDENT
Job Description /Exempt Position
General Statement of Duties: This professional, administrative, and managerial position is
responsible for management and operations of the Upper Fraser Valley Wastewater Treatment
Facility. Work involves the responsibility for the overall operation of the facility, ensuring
efficiency and effectiveness of operations and that operations are in accordance with
established policies and compliance with all applicable federal, state, and local regulations. The
position is responsible for departmental staff training, development, and reporting. Work also
entails representing facility activities and policies to officials of regulatory agencies, representing
Joint Facilities Operating Committee (JFOC) interests in matters of concern to operation of the
facility, and communicating matters of interest and/or concern to the JFOC and its members.
Employee performs with considerable independence, and reports directly to the Town Manager.
Essential Duties of Position: This employee is responsible for daily and overall administration,
operation, maintenance, and supervision of the wastewater treatment plant and related
processing systems to ensure that standards required by the discharge permit are met and that
all Colorado Department of Health and Federal EPA regulations are complied with in the most
efficient and economic manner.
Required Knowledge, Skills and Abilities:
Thorough knowledge of the theories, principles and practices of all aspects of
wastewater treatment.
Must have considerable knowledge and understand the processes for operation and
maintenance of wastewater treatment plants, pumping operations, chemical processing
and purification.
Must know and implement federal, state, and municipal rules, regulations and
ordinances pertaining to wastewater treatment and discharge permit requirements.
Must have considerable knowledge and experience with routine wastewater sampling
and testing procedures and formulate implement program objectives for wastewater

Must have mechanical aptitude to recognize and repair equipment failures.
Must have the ability to read and understand maps, plans and profile design drawings,
and as- builts of collection systems, treatment plant and related facilities.
Must have ability to develop and implement long -range capital plans related to growth
and development and direct maintenance, repairs, replacement and upgrades to the
treatment plant and related facilities as needed.
Must understand the concepts and practical considerations related to budgeting.
Knowledge of the principles and techniques of effective management.
Skill in the planning, assigning, supervising, coordinating, and evaluating the work of
departmental employees.
Tasks for the position include, but are not limited to:
Responding to emergencies and call outs as needed.
All aspects of inspection, repair and maintenance of the treatment plant facilities.
Collect wastewater samples and perform other routine and daily tasks for operation of
the wastewater treatment plant and related facilities.
Make adjustments for the treatment of wastewater as needed to assure compliance with
State Regulations and Standards are followed and met consistently.
Write and maintain records of operational activities and progress reports.
Assist Town Manager in preparation of the annual operations and maintenance budget
and monitor and administer budget throughout the year.
Coordinate with JFOC members regarding matters of interest or concern, meet monthly
with District Managers and Town Manager.
Hire, train, plan, supervise and evaluate daily work of employees.
Establish work standards, operation and safety procedures.
Attend Town Board, Winter Park Ranch Water and Sanitation District Board, Grand
County #1 Water and Sanitation District Board meetings regularly, and regularly attend
other meetings to represent JFOC and/or Treatment Plant Facility interests.
Environmental and Physical Conditions:
Lift and carry up to 75 pounds on a regular basis.
The job requires that the employee has the ability to perform physical activities requiring
walking, sitting, standing, climbing stair and ladders, crawling, bending, stooping,
kneeling and reaching.
The work environment requires tasks to be completed in and around wastewater
treatment plant and laboratory facilities where the employee is exposed to noise,
chemicals, bacteria and odorous fumes.
Safety Requirements:
Must wear protective hand, footwear, eye and hearing protection and any other
protective clothing or equipment as appropriate and develop and implement best safety
practices.
Must agree to obtain and maintain current required vaccinations to guard against
infectious disease.
Responsible for developing, implementing, and following all safety rules and procedures
at all times, to familiarize all employees and visitors with locations of first aid and
eyewash stations throughout the treatment plant facilities and ensure compliance with all
rules and regulations, including those for confined spaces.
Must work around and must be diligent about the safety of oneself and other employees
and any person who may come in contact with electrical and mechanical equipment both
on and offsite.
Supervision Received: Works under the general supervision of the Town Manager.
Supervision Exercised: Wastewater treatment plant laborers and operators, and /or other staff
as directed.
Certification, Licenses and Experience:
Must have and is required to maintain a Class B or better State of Colorado Wastewater
Certificate, and Class 2 State of Colorado Collection System Certificate.
Considerable administrative and supervisory experience.
High school diploma or equivalent.
Knowledge in areas of civil engineering, chemistry, and public health.
Must have and maintain a valid State of Colorado motor vehicle license.
