FIRST AMENDMENT TO AGREEMENT FOR CONSULT ANT SERVICES FOR
BUILDING CODE ADMINISTRATION AND
PUBLIC WORKS/ENGINEERING SERVICES
BETWEEN
THE CITY OF TEMPLE CITY, CALIFORNIA
AND
TRANSTECH ENGINEEIUNG, INC.
This First Amendment to Consultant Services ("First Amendment"). which is dated for reference
as indicated on the cover page, is hereby entered into by and between the CITY OF TEMPLE CITY, a
California charter city ("City"), and TRANSTECH ENGINEERING, INC. a California corporation
("Consultant"), as follows:
RECITALS
A. City and Consultant entered in a Consultant Services Agreement on July 1s', 2012
("Agreement"). The Agreement provides that Consultant will provide building code
administration and public works/engineering services.
B. Section 2 and Exhibit "A" of the Agreement provide the Scope of Services to be performed by
Consultant.
C. Section 4 and Exhibit "B" of the Agreement provide the compensation percentage and hourly
rates.
D. This First Amendment modifies Section I extending the term through June 30, 2016, and
modifies Exhibit "B" to provide the City a monthly credit for building services provided by
Consultant.
OPERATIVE PROVISIONS
NOW, THEREFORE, in consideration of the promises made and recited herein, the parties do
hereby enter into this First Amendment which modifies and amends the Agreement as follows:
1. AMENDMENT. The Agreement is hereby modified and amended as follows:
1.1 Section 1 'TERM OF AGREEMENT." shall be extended for three (3) years commencing
July 1, 2013, subject to early termination as provided in Section 20 "Termination of
Agreement" of this Agreement. The term may be extended by mutual agreement of the
parties memorialized in a written amendment to this agreement.
1.2 Exhibit "B" Section I "TRANS TECH ENGINEERS, INC. STANDARD HOURLY RATES"
shall be modified as follows:

Reimbursable direct expenses are billed at cost plus 10% for
administration fee.
Credit on Building Official Services: Based on 24 hrs. /week office
presence of Building Official, 14 hrs. /month from Building Official
hours will be credited to the City for over the counter plan check fees
paid to Transtech at 55% of the fees collected by the City. In case the
office hours are for Building Official for over the counter services
increased or decreased, the credit amount will be prorated
accordingly.

2. GENERAL PROVISIONS.
2.1 Remainder Unchanged. Except as specifically modified and amended in this First
Amendment, the Agreement remains in full force and effect and binding upon the parties.
2.2 Integration. This First Amendment consists of pages 1 through 5 inclusive, which
constitute the entire understanding and agreement of the parties and supersedes all
negotiations or previous agreements between the parties with respect to all or any part of
the transaction discussed in this First Amendment.
2.3 Effective Date. This First Amendment shall not become effective until the date it has
been formally approved by the City Council and executed by the appropriate authorities
of the City and Consultant.
2.4 Applicable Law. The laws of the State of California shall govern the interpretation and
enforcement of this First Amendment.
2.5 References. All references to the Agreement include all their respective terms and
provisions. All defined terms utilized in this First Amendment have the same meaning as
provided in the Agreement, unless expressly stated to the contrary in this First
Amendment.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Agreement on the date and year first written above.
