RESOLUTION NO. 04-096
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF CARSON, CALIFORNIA, CONSENTING TO THE ASSIGNMENT (BY MERGER)
OF THE TOSCO CORPORATION NONPUBLIC UTILITY PIPELINE FRANCHISE TO
CONOCOPHILLIPS COMPANY, AND DELINEATING CERTAIN LOCATIONS FOR
THE INSTALLATION AND OPERATION OF ADDITIONAL PIPELINES OR OTHER
FACILITIES IN CONNECTION WITH THE FRANCHISE
The City Council of the City of Carson hereby finds and resolves:
Section 1. Recitals.
A. On November 16, 1999, the City Council adopted Ordinance No. 99-1176
granting to Tosco Corporation ("Tosco" herein) atwenty-five year franchise ("Franchise
herein) to lay or construct from time to time, and maintain, operate, renew, rep ,
change the size of, remove or abandon in place p ipes and pipelines for the collection,
transportation or distribution of oil, gas, gasoline, petroleum, wet gas, hydrocarbon
substances, water, wastewater, mud, steam and other liquid substances not more
hazardous than the aforementioned substances, together with all manholes, valves,
appurtenances and service connections necessary or convenient for the operation of

such pipes or pipelines including conduits, cathodic protection devices, wires, cables
and other appurtenances necessary or convenient for the exercise of the franchisee s
business, in, under, along or across any and all streets within the City of Carson, as
approved from time to time by Resolution of the City Council.
B. On November 2, 1999, the City Council adopted Resolution No. 99-092
delineating the locations for the installation and operation of pipelines and appurt enant
facilities in connection with the Tosco Franchise.
C. On January 1, 2003, Tosco merged with and into ConocoPhillips
Company, a Delaware corporation ("ConocoPhillips" herein). Pursuant to Carson
Municipal Code Section 6818, no owner of a pipeline franchise shall assign or trans fer
such franchise except with the consent of the City Council.
D. On December 11, 2003, ConocoPhillips acquired a 12-inch diameter
petroleum products pipeline from SFPP, L.P. (aka Santa Fe Pacific Pipeline L.P.) with
1,282 linear feet of the pipeline located within the public streets of the City of Carson.

E. ConocoPhillips has requested that the City Council consent to the
assignment (by merger) of the Franchise from Tosco, and approve the addition of the
pipeline acquired from SFPP, L.P.
Section 2. Consent to Assignment. The City Council has considered the
request from ConocoPhillips and has determined that the assignment of Tosco's
Franchise to ConocoPhillips is in the public interest. Pursuant to Carson Municipal
Code Section 6818, the City Council hereby consents to the assignment (by merger) of
the Tosco Franchise to ConocoPhillips. Except for the approval of the assignment to
ConocoPhillips, the provisions of the Franchise shall continue in full force and effect.
Section 3. Location of Pipelines, The City Council finds that the public
interest would be served by allowing the installation and operation of additional
pipelines and appurtenant facilities limited to those certain streets, highways, roads,
alleys and other public places dedicated to public use shown on the map attached
hereto as Exhibit "A" and legally described as set forth in Exhibit "B" attached hereto.
Exhibit "A" and Exhibit "B" are incorporated herein by reference.
Section 4. Footage of Pipelines. The City Council finds that the public
interest would be served by allowing the installation and operation of additional
pipelines and appurtenant facilities limited to the sizes and lengths described in Exhibit
"B" (a total of 1,282 feet of an existing 12-inch pipeline).
Section 5. Approval of Installation. The installation and operation of pipelines
as nonpublic utility pipelines is approved within the limitations stated in Sections 3 and
4, above. The pipelines authorized herein are in addition to the pipelines and
appurtenant facilities authorized by Resolution 99-092.
Section 6. CEQA. The pipeline which is the subject of the amendment was
previously owned and operated by SFPP, L.P. under Ordinance Number 89-885. The
franchisee will continue use of the pipelines as previously approved. Therefore, this
pipeline authorization is exempt from the requirements of California Environmental
Quality Act as a Class 1 Categorical Exemption, Existing Facilities, pursuant to Section
15301 of the CEQA Guidelines.
