RESOLUTION OF THE BOARD OF DIRECTORS OF THE
MIDPENINSULA REGIONAL OPEN SPACE DISTRICT
AUTHORIZING ACCEPTANCE OF AGREEMENT TO PURCHASE
REAL PROPERTY, AUTHORIZING OFFICER TO EXECUTE
CERTIFICATE OF ACCEPTANCE OF GRANT TO DISTRICT,
AND AUTHORIZING GENERAL MANAGER TO EXECUTE ANY AND
ALL OTHER DOCUMENTS NECESSARY OR APPROPRIATE TO
CLOSING OF THE TRANSACTION (LONG RIDGE OPEN SPACE
PRESERVE -LONG RIDGE RANCH PROPERTY)
The Board of Directors of the Midpeninsula Regional Open
Space District does resolve as follows:
Section One. The Board of Directors of the Midpeninsula
Regional Open Space District does hereby accept the offer contained.
in that certain letter with attached purchase agreement between
Robert Sackman, et al, and the Midpeninsula Regional Open Space
District dated April 21, 1978, a copy of which is attached hereto
and by reference made a part hereof, and authorizes the President
and appropriate officers to execute the Agreement on behalf of the
District.
Section Two. The President of the Board or other appropriate
officer is authorized to execute a certificate of acceptance to any
deed granting title to said property.
Section Three. The General Manager of the District shall cause
to be given appropriate notice of acceptance to the seller. The
General Manager further is authorized to execute any and all other
documents in escrow necessary or appropriate to the closing of the
transaction, including any holding agreement with respect to all or
any portion of the property, provided that any authority to convey
such property to any third person shall be expressed only by a
resolution of the Board of Directors of the Midpeninsula Regional
Open Space District.
Section Four. The General Manager of the District is authorized
to expend up to $5,000 to cover the cost of title insurance, escrow
fees, and other miscellaneous costs related to this transaction.

We are writing this letter as authorized representatives
of the owners of that certain 390 -acre parcel of land
located in San Mateo and Santa Cruz Counties and common-
ly described as Long Ridge Ranch.
This is to represent and warrant to you that we have
been authorized to offer to you the acquisi.ion of the
Long Ridge Ranch property upon the terms and conditions
set forth in the form of agreement attached hereto.
Because of the substantial number of signatures we must
obtain for necessary legal documents, and your desire to
have this on the agenda for your meeting of April 26th,
we are submitting this offer to you in this form, with
the further representation and assurance that the under-
signed will be responsible for obtaining all necessary
signatures for the close of escrow to the satisfaction of
your title insurance company and as provided in the
agreement.

PURCHASE AGREEMENT
THIS AGREEMENT, made this day of
1978, by and between the undersigned individuals, hereinafter
referred to as "SELLERS", and the MIDPENINSULA REGIONAL OPEN
SPACE DISTRICT, a Public District, hereinafter referred to as
"DISTRICT".
WITNESSETH:
RECITALS:
i
(A) SELLERS are the equitable owners of that certain real
property., partly within the County of San Mateo and partly within
the County of Santa Cruz, State of California, and being more
particularly described in Exhibit "A" and depicted on Exhibit "B"
which are attached hereto and by this reference incorporated here-
in and made a part hereof:
(B) The DISTRICT desires to purchase and SELLERS are will-
ing to sell said property to the. DISTRICT for the consideration
and upon the terms and conditions hereinafter set forth. This is
the whole of their Agreement and the performance of this.Agree-
ment constitutes the entire consideration for said purchase.
(C) SELLERS, out of the desire to promote public welfare,
and share the natural and scenic beauty and enjoyment of their
property with the citizens of Midpeninsula area, hereby agree
to make a gift of a portion of the property described in Exhibit
"A" upon the conditions and for the consideration set forth herein.
NOW, THEREFORE, IT IS MUTUALLY'UNDERSTOOD AND AGREED as
follows:
1. PURCHASED PROPERTY. On the terms and subject'.to' the
conditions set forth herein, SELLERS agree to sell and convey
the property described in Exhibit "A" and depicted on Exhibit "B",
comprising approximately 390 acres, generally referred to as all,
of San Mateo County Assessor's Parcels 085 -*140-010 and' 080-410--040
and all of'Santa Cruz County Assessor's parcel.88-011-03, to the
DISTRICT, and the DISTRICT agrees to purchase said property .
from SELLERS.
• 2. PURCHASE PRICE, AND CONDITIONS. The -purchase price of
the property described in Exhibit "A" shall be the sum of FIVE .
HUNDRED THOUSAND AND NO/100 DOLLARS ($500,000.00) payable.
contemporaneously with delivery of Grant Deed. *DISTRICT shall.
pay all escrow and recording fees incurred in this transaction,
including title insurance premium.' Evidence of.title shall be .
in the.form of a standard policy of title insurance issued -by
First American Title Insurance Company.
•3. CONDITION OF TITLE. SELLERS shall convey said property

to the DISTRICT by Grant Deed, .free and clear of all .liens and
encumbrances, taxes and assessments, penalties and costs, easements,
rights -of -way, bonds and any and all restrictions and reservations
of record, other than current taxes, as described below, and
exceptions numbered 3, 4 and 5 in the Preliminary Title Report
No. 252929 issued to DISTRICT by First American Title Insurance.
Company (Redwood'City) under date of May 12, 1977; and exceptions.
numbered 2 and 3 in the preliminary title report no. 48716-7 issued
to District by First American Title Insurance' Company (Santa Cruz)
under date of May 13, 1977; said Preliminary.Title Reports are.
labeled Exhibit "C" which is attached hereto and by this reference.

4. LEASES AND RENTAL AGREEMENTS. SELLERS warrant that there.
are no oral or written leases or rental.agreernents on all or any
portion, of subject property, and SELLER agrees to hold, the DISTRICT
harmless and reimburse the DISTRICT for' any and all liability,
losses and expenses occasioned by reason of any lease or rental
agreement on the property.
5. PROPERTY TAXES. SELLER shall pay all due and unpaid
taxes, which shall be prorated as of the date of'close of escrow.
6. BARGAIN SALE. It is acknowledged by the DISTRICT and
SELLERS that the purchase price being paid for the property is •
less than the property's fair.narkei value, and that the difference..
in the price being paid by DISTRICT and the property's fair-
market value is being donated to DISTRICT as part of this'.

7. AGREEMENT CONDITION. SELLERS and DISTRICT understand
that proposition 13 (Commonly known as the Jarvis --Gann initiative)
will be decided by the voters of this State on Tuesday, June 6,
1978;. it is, further 'understood that• passage of said proposition
would materially reduce the tax revenue of DISTRICT; therefore,
it is agreed that in the event said proposition is approved by
the voters, DISTRICT may, at its discretion, terminate and declare
void the whole of this agreement without any obligation. or liability
whatsoever. In this event, DISTRICT will deliver to. SELLERS, in
writing, on or before June 30, 1978 notice of.cancellation and
termination hereof..' If said notice is not delivered within the
above stated time period, this purchase agreement shall remain in
full force and effect. •
8; • RELOCATION. SELLERS acknowledge and confirm that.
they do not qualify, either individually or collectively, for any
benefits.of any nature whatsoever, under the Comprehensive
Relocation Assistance Law (Government Code Sections 7260 thru
7274 inclusive and Title 25,. Part I, Chapter 6 of the California.
Administrative Code) . •
. 9. ACCEPTANCE. The DISTRICT shall have a period of thirty
(3 0) days from and after the date hereof within which to accept .
and execute' this Agreement, and during said period.o2 thirty (30). •
days this contract shall constitute an irrevocable offer by SELLERS
to enter into.a contract with the DISTRICT on the terms and
conditions set forth herein, and in consideration of:which DISTRICT
has paid, and SELLERS acknowledge receipt of the'sum of Ten Dollars
($10.00) .
10. CLOSING. The purchase and sale shall be closed on or
before July 6, 1978, subject to the condition specified in
paragraph 7 of this agreement, through an escrow as above
mentioned.
11. SUCCESSORS AND ASSIGNS. The provisions hereof shall
inure to the benefit of and bind respective successors, heir
and assigns of the parties hereto.
