T IS ADDENDUM, (Number 1 to Contract No. 166-2011) is made and entered into
this �`, day of , 2012, by and between Richmond, Indiana, a municipal
corporation acting thr gh its Board of Public Works and Safety with its office at 50 North 5th
Street, Richmond, Indiana, (hereinafter referred to as "City"), and LWC, Incorporated, 4440
Garwood Place, Richmond, Indiana, 47374 (hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 166-2011 on February 23, 2011;
and
WHEREAS, City wishes to retain Contractor to provide revisions and modifications to the
previously prepared bid documents for the Rose View Transit (RVT) office
building for the City of Richmond RVT Division as set forth within the scope of
Contract No. 166-2011 (which project will be re -bid) and said revisions and
modifications of the bid documents shall be reviewed and approved by the
Director of Public works and Engineering.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 166-2011, on
February 23, 2011, where the City previously agreed to pay Contractor a sum not
to exceed Thirty Thousand three Hundred Sixteen Dollars and Zero Cents
(S30,316.00) as a fixed fee for the AIE services work items, in addition to
reimbursable expenses as set out in Section III Compensation of the Agreement,
for a total not to exceed Thirty Eight Thousand Three Hundred Sixty-six Dollars
and Zero Cents ($38,366.00) as set forth in that Agreement.
2. Pursuant to Contract No. 166-2011, Section IX Miscellaneous, Contract No.
166-2011 may be altered or amended in whole or in part at any time by filing with
the Agreement a written instrument setting forth the changes signed by both
parties.
3. The parties agree that Contractor shall be retained to provide revisions and
modifications to the previously prepared bid documents for the RVT office
building (which project will be re -bid) for the agreed upon price not to exceed the
additional amount of Fifteen Thousand One Hundred Ninety-eight Dollars
and Sixty-three Cents ($15,198.63) for a new total contract amount not to
exceed Fifty-three thousand Five Hundred Sixty-four Dollars and Sixty-three
Cents (53,564.63).

4. Both parties hereby agree that, with the exception of the additional contract sum
to be paid in connection with the bid document revisions and modifications (as
reviewed and approved by the Director of Public Works and Engineering) as set
forth above, Contract No.166-2011 shall remain intact and unchanged.
IN WITNESS WHEREOF, this Addendum is executed, and Approved by the undersigned
