ORDINANCE NO.
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH THOMAS P.
RACKERS CONSULTING L.L.C.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to
execute an agreement with Thomas P. Rackers Consulting L.L.C. for lobbyist services.
Section 2. The agreement shall be substantially the same in form and content
as the agreement attached hereto as Exhibit 1 .
Section 3. This Ordinance shall be in full force and effect from and after the date
of its passage and approval.

LEGISLATIVE CONSULTAN'r AGREEMENT
This agreement made and entered into between the City of Jefferson, Missouri, hereinafter
known as the City and Thomas P. Rackers Consulting, L.L.C, hereinafter known as
Consultant.
1. The City desires to employ Consultant as an independent contractor lobbyist to provide
the following services:
A. Monitor and take appropriate action, as directed, on legislation as reasonably
relates to the City of Jefferson and similar Missouri municipalities as well as other
legislation as may be mutually agreed upon. it is agreed and understood that the
following services will be included: attendance at hearings concerning legislation
on which the City has taken a position; monitoring of the progress of the legislation
and other tasks that are incident to the passage or defeat of legislation of concern
to the City generally.
B. Track and make a periodic written reports on legislation before the Missouri
General Assembly dealing with issues of interest to the City.
C. Attend, upon proper notice where Consultant does not have a prior commitment,
meetings of the City. The City agrees to pay any direct expenses, (meals, lodging
and incidentals) involved with attendance at said meetings.
D. Comply with all state statutes regulating lobbying and campaign expenditures.
Consultant shall provide advice to City (but not to individuals associated with the
City) regarding its compliance with such laws. This contract shall terminate
automatically if Consultant, or one of Consultant's employees, is no longer a
registered lobbyist.
E. Represent the interests of the City before executive offices and administrative
agencies as requested.
2. Consultant neither warrants nor promises any specific result but agrees to use his best
efforts to carry out the aims and objectives of the City as specified in this agreement.
3. The City agrees to compensate Consultant in the amount of Fifteen Thousand Dollars
($15,000.00) said sum to be paid in equal monthly installments beginning with initial
payment on November 30, 2004 and continuing thereafter until paid. The City will

compensate Consultant for expenses undertaken on behalf of the City with the prior
agreement of the City Counselor of the City or his designee. 'The City agrees and warrants
not to make any expenditures to or on behalf of any member of the General Assembly or
any public official without notifying Consultant of the expenditure and providing him with
sufficient information to complete lobbying reports.
4. The City agrees to provide specific municipal related material, statistics and witnesses
as the Consultant may require.
5. Neither Consultant nor any subcontractors, employees or agents shall be deemed to
be employees or agents of the City. It is understood and agreed that Consultant is an
independent contractor for all purposes and at all times. Consultant is solely responsible
for the withholding or payment of all federal, state and local personal income taxes, Social
Security, unemployment and disability insurance and other payroll taxes.
6. This contract constitutes the entire agreement between the parties and shall not be
amended or modified without specific written provisiun to that effect, signed by both
parties. No oral statements of any persons shall, in any mariner or degree, modify or
otherwise affect the terms and provisions of this agreement.
7. The City Counselor of the City is designated by the City as the primary contact person
on all matters. It is agreed and understood that by contacting the City Counselor,
Consultant may assume that information and reports of importance to the City will be
passed onto the appropriate parties. It is further agreed that statements made by the City
Counselor as to the position of the City on issues that from time to time might arise may
be relied on by Consultant as the correct and accurate position of the City.
B. This agreement is for the period November 1, 2004 through August 30, 2005. The
agreement may be renewed by the mutual agreement of the parties annually for four
additional one year (twelve month) periods. The City may terminate this agreement if any
key personnel of Consultant cease to be employed by Consultant. If the agreement is
terminated before its expiration, Consultant shall be paid pro rata to the date of termination.
IN WITNESS WHEREOF both parties have executed this Agreement in duplicate.

RENEWAL OF THE LEGISLATIVE CONSULTANT AGREEMENT
WHEREAS, the City of Jefferson, Missouri, a municipal corporation, in Jefferson City, Missouri,
hereinafter designated"City,"entered into an Agreement with Thomas P. Rackers Consulting, L.L.C.,
with offices in Jefferson City,Missouri, hereinafter referred to as"Consultant," on November 1,2004.
WHEREAS,the Agreement was for lobbyist services;
WHEREAS,both parties wish to extend the agreement for the first of four additional one-year renewal
periods as stipulated in Item 8, dated November 1, 2004; and
WHEREAS, both parties agree to amend Item 3 of the agreement dated November 1, 2004, to reflect
compensation-of Twenty-Thous and Dollars ($20,000.00)for the first year's renewal.
NOW,THEREFORE,be it agreed by the parties that the agreement is hereby renewed for the first of
four renewal periods ending August 30,2006,and to increase compensation to Twenty Thousand Dollars
($20,000.00).

RENEWAL OF THE LEGISLATIVE CONSULTANT AGREEMENT
WHEREAS, the City of Jefferson, Missouri, a municipal corporation, in Jefferson City, Missouri,
hereinafter designated"City,"entered into an Agreement with Thomas P. Rackers Consulting, L.L.C.,
with offices in Jefferson City,Missouri,hereinafter referred to as"Consultant,"on November 1,2004,and
amended October 21, 2005.
WHEREAS,the Agreement was for lobbyist services;
WHEREAS, both parties wish to extend the agreement for the second of four additional one-year
renewal periods as stipulated in Item 8, dated November 1, 2004, and amended October 21, 2005; and
WHEREAS,both parties agree to amend Item 3 of the agreement dated November 1,2004;-and-amended—
October
and-amendedOctober 21, 2005,to reflect compensation of Twenty-One Thousand Dollars($21,000.00)for the second
year's renewal.
NOW,THEREFORE,be it agreed by the parties that the agreement is hereby renewed for the second
of four renewal periods ending August 30,2007,and to increase compensation to Twenty-One Thousand
Dollars ($21,000.00).
