A RESOLUTION OF THE VILLAGE COUNCIL OF THE
VILLAGE OF KEY BISCAYNE, FLORIDA; APPROVING
AMENDMENT TO THE VILLAGE OF KEY BISCAYNE
AGREEMENT FOR PROFESSIONAL ARCHITECTURAL
SERVICES FOR RECREATION CENTER; PROVIDING FOR
AN EFFECTIVE DATE.
WHEREAS, Robert G. Currie Partnership Inc. (the "Consultant") has requested that the
October 11, 2000 Agreement for architectural services for the Recreation Center project (the
"Project") between the Village of Key Biscayne (the "Village") and the Consultant be amended as
described herein; and
WHEREAS, the requested amendment to the Agreement has been reviewed by Skyline
Management Services ("Skyline"), the Village's representative for the Project, and Skyline has
recommended that the Amendment to Agreement be approved, as provided herein.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE VILLAGE
OF KEY BISCAYNE, FLORIDA, AS FOLLOWS:
Section 1. Recitals Adopted. That each of the recitals stated above is hereby adopted
and confirmed.
Section 2. Amendment to Agreement Approved. That the Amendment to Village
of Key Biscayne Agreement for Professional Architectural Services for Recreation Center, in
substantially the form attached hereto, is hereby approved, and the Village Manager and Village
Clerk are hereby authorized, in their respective capacities, to execute the Amendment to
Agreement on behalf of the Village, once approved as to form and legal sufficiency by the
Village Attorney.
Section 3. Implementation. That the Village Manager is hereby authorized to take any
necessary action to implement the purposes of this resolution and the Amendment to Agreement.
Section 4. Effective Date. That this resolution shall be effective immediately upon
adoption hereof.

AMENDMENT TO VILLAGE OF KEY BISCAYNE
AGREEMENT FOR PROFESSIONAL ARCHITECTURAL
SERVICES FOR RECREATION CENTER
This Amendment to Agreement is made and entered into this 11th day of May, 2004, by
and between the Village of Key Biscayne (the "Village") and Robert G. Currie Partnership, Inc.,
professional architects (the "Consultant").
WHEREAS, the Village and Consultant have previously entered into an Agreement of
October 11, 2000, as revised by Agreement of August 27, 2002, concerning the Village of Key
Biscayne Recreation Center Project; and
WHEREAS, it is necessary to amend the duration and compensation for Phase V
"Construction Administration," of the Agreement, from the originally provided 270 days of
construction administration services to the October 15, 2004 anticipated date of completion of
construction of the Recreation Center, as described herein.
IN CONSIDERATION OF THE MUTUAL COVENANTS SET FORTH IN THIS
AMENDMENT TO AGREEMENT, THE PARTIES AGREE AS FOLLOWS:
1. Duration of Construction Administration Services Extended; Compensation
Provided. That certain Agreement of October 11, 2000, as previously revised by Amendment
to Agreement of August 27, 2002, is hereby further revised to provide for the Consultant to
continue to provide necessary construction administration services until the completion of the
construction of the Project, anticipated to be completed on October 15, 2004. For construction
administration services provided by Consultant to Village during the time period of March 15,
2004 to October 14, 2004, the Consultant shall be paid a monthly fee of $9,500.00 per month by
the Village for necessary construction administration services. This shall constitute a total fee
for additional construction administration services in an amount of up to $66,500.00, plus
authorized reimbursable expenses.
2. Continuation of Terms. That each of the provisions of the Agreement, as
previously revised, shall continue in full force and effect, except as further revised herein.
IN WITNESS WHEREOF, the parties hereto have accepted, made and executed this
Amendment to Agreement upon the terms and conditions above stated on the day and year first
above written.
