AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, APPROVING A NEIGHBORHOOD
PLAN FOR THE VICINITY OF THE MISSOURI STATE PENITENTIARY AND AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AGREEMENTS WITH PARSONS INFRASTRUCTURE
& TECHNOLOGY GROUP, INC., AND THE JEFFERSON CITY HOUSING AUTHORITY FOR THE
PROVISION OF PLANNING SERVICES
WHEREAS, the Jefferson City Correctional Center/Missouri State Penitentiary, located in the
center of the City will be decommissioned in 2004 and the State of Missouri has
engaged Parsons Infrastructure & Technology Group, Inc., (Parsons) of St. Louis,
Missouri to provide consulting services for the redevelopment of the site; and
WHEREAS, the Council acknowledges that redevelopment of the Missouri State Penitentiary site
will necessitate careful planning and coordination of systems for transportation,
infrastructure, land use and other development activities in the vicinity and may affect
areas previously designated as redevelopment areas by the Jefferson City Housing
Authority or other areas which may be eligible for such designation; and
WHEREAS, the City's '1996 Comprehensive Plan recommended, the Planning and Zoning
Commission endorsed, and the City Council supports preparation of and participation
in a neighborhood plan in conjunction with the Housing Authority of the City of
Jefferson to address local planning and redevelopment concerns in the neighborhood;
and
WHEREAS, Parsons was selected by the State of Missouri as the lead consultant for the
redevelopment of the Jefferson City Correctional Center/Missouri State Penitentiary
site in July 2000 through a comprehensive and competitive process which evaluated
planning approaches from 12 well-known planning,architectural and engineering firms;
and
WHEREAS, Parsons has accumulated a tremendous amount of data, knowledge and experience
with the Missouri State Penitentiary site and environs during three years' contract with
the State of Missouri; and
WHEREAS a Consultant Selection Committee for the City agreed that it would be in the hest
interest of the City to utilize Parsons to provide neighborhood planning services upon
review of the State's selection process, and
WHEREAS the Board of Commissioners of the Jefferson City Housing Authority has allocated
substantial funds for the study of redevelopment issues in this vicinity.
NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON,
MISSOURI, AS FOLLOWS:
SECTION 1. Parsons is hereby selected as the best qualified firm to provide professional
planning services and its proposal is hereby accepted.
SECTION 2. The Mayor and City Clerk are hereby authorized to execute agreements with the
Jefferson City Housing Authority and Parsons Infrastructure & Technology Group, Inc.

WHEREAS, the Housing Authority, in its capacity as a land clearance firr redevelopment
authority, has determined it to be appropriate to conchrct a study ol'the 111001•s which would need to
be considered in determining whether all or any part of*that area would be an appropriate land
clearance or urban renewal project area under § 99.430, RSMo; and
WHEREAS, the i 11,61- atiorl to be provided by Parsons under its proposed Contract with the
City, a copy of which is marked Exhibit A, attached hereto, and incorporated hcrcin by reler•ence,
would substantially serve the purposes of both the City and the I lousing, Authority.

3. The City and the Flouring Authority shall jointly determine whether additional services
should be requested from Parsons, whether the Consultant has fiiiied to peribrnl, and whether any
actions or remedies should he taken for breach or alleged breach of the Contract between the City
and Parsons.

CONTRACT FOR PROFESSIONAL SERVICES
THIS AGREEMENT, made and entered into this 29`" day of September, 2003, by
and between the City of Jefferson, Missouri, a municipal corporation, hereinafter
referred to as the "City° with offices at 320 East McCarty, Jefferson City, Missouri,
65101, and Parsons Infrastructure & Technology Group Inc., Consultant, a sole
proprietorship, hereinafter referred to as the "Consultant".
WITNESSETH:
THAT, WHEREAS, the City desires to engage the Consultant to render certain
technical and professional planning services hereafter described in Attachment A.
WHEREAS, the Consultant made certain representations and statements to the
City with respect to the provision of such services and the City has accepted said
proposal to enter into a contract with the Consultant for the performances of services by
the Consultant.
NOW, THEREFORE, for the considerations herein expressed, it is agreed by and
between the City and the Consultant as follows:
1 . Scope of Services. The City agrees to engage the services of the Consultant to
perform the services hereinafter set forth in connection with the project described In
Attachment A.
2. Additional Services,The City may add to consultant services or delete therefrom
activities of a similar nature to those set forth in Attachment A, provided that the total
cost of such work does not exceed the total cost allowance as specified in paragraph 6
hereof. The consultant shall undertake such changed activities only upon the direction
of the City. All such directives and changes shall be In written form and approved by
the Director of Community Development and shall be accepted and countersigned by
the Consultant or Its agreed representatives.
3. Existino Data. All information, data and reports as are existing, available
and necessary for the carrying out of the work, shall be furnished to the Consultant
without charge by the City, and the City shall cooperate with the Consultant In every
reasonable way in carrying out the scope of services, The Consultant shall not be liable
for the accuracy of the information furnished by the City.
4. Personnel to be Provided. The Consultant represents that Consultant has or will
secure at its expense all personnel required to perform the services called for under this
contract by the Consultant. Such personnel shall not be employees of or have any
contractual relationship with the City except as employees of the Consultant. All of the
services required hereunder will be performed by the Consultant or under the
Consultant's direct supervision and all personnel engaged in the work shall be fully
qualified and shall be authorized under state and local law to perform such services.

None of the work or services covered by this contract shall be subcontracted except as
provided in Attachment A without the written approval of the City.
5. N tp lcg to PMgeecL The services of the Consultant shall commence as directed
in the Notice to Proceed and shall be undertaken and completed in accordance with the
schedule contained in Attachment A.
8. ConnDgn—sat,LOn The City agrees to pay the Consultant in accordance with
the terms set forth In Attachment A, which shall constitute complete compensation for all
services to be rendered under this contract. The final payment will be subject to receipt
of a requisition for payment and a statement of services rendered certifying that the
Consultant fully performed all work to be paid for in such progress payments in
conformance with the contract. It is expressly understood that in no event will the total
compensation and reimbursement to be paid to the Consultant under the terms of this
contract exceed the sum of One Hundred Nineteen Thousand Three Hundred Forty
Dollars ($119,340.00) for all services required unless specifically and mutually agreed to
In writing by both the City and Consultant. Such compensation will be paid in progress
payments, as specified in Attachment A, except ten percent (10%) shall be withheld
from each phase until it is satisfactorily completed and the finished product for that
phase delivered to the City. No change in compensation shall be made unless there is
a substantial and significant difference between the worts originally contemplated by this
agreement and the work actually required.
7. Failure to Perform, Cancellation. If, through any cause, the Consultant shall fail
to fulfill in timely and proper manner its obligations under this contract, or if the
Consultant shall violate any of the covenants, agreements, or stipulations of this
contract, the City shall thereupon have the right to terminate this contract by giving
written notice to the Consultant of such termination and specifying the effective date
thereof, at least five (5) days before the effective day of such termination. The
Consultant may without cause terminate this contract upon 30 days prior written notice.
In either such event all finished or unfinished documents, data, studies, surveys,
drawings, maps, models, photographs, and reports or other materials prepared by the
Consultant under this contract shall, at the option of the City, become its property, and
the compensation for any satisfactory work completed on such documents and other
materials shall be determined. Notwithstanding the above, the Consultant shall not be
relieved of liability to the City for damages sustained by the City by virtue of any such
breach of contract by the Consultant.
8. Assi nmen . The Consultant shall not assign any interest in this contract, and
shall not transfer any interest in the same (whether by assignment or novation), without
prior written consent of the City thereto. Any such assignment is expressly subject to all
rights and remedies of the City under this agreement, including the right to change or
delete activities from the contract or to terminate the same as provided herein, and no
such assignment shall require the City to give any notice to any such assignee of any
actions which the City may take under this agreement, though City will attempt to so
notify any such assignee.

9. C�nfldentia'IN, Any reports, data or similar information given to or prepared
or assembled by the Consultant under this contract which the City requests to be kept
as confidential shall not be made available to any individual or organization by the
Consultant without prior written approval of the City.

not to discriminate on the grounds or because of race, creed, color, national origin or
ancestry, sex, religion, handicap, age or political affiliation, against any employee of
consultant or applicant for employment and shall include a similar provision in all
subcontracts let or awarded hereunder,
11. Irk„ egendent Con r ctor. The Consultant is an independent contractor and
nothing herein shall constitute or designate the Consultant or designate the Consultant
or any of its employees as agents or employees of the City.
12. Benefits not Available. The Consultant shall not be entitled to any of the
benefits established for the employees of the City not be covered by the Workmen's
Compensation Program of the City.
13. Liability. The parties mutually agree to the following:
a. In no event shall the City be liable to the Consultant for special, indirect, or
consequential damages, except those directly or approximately caused by
the City arising out of or in any way connected with this contract.
b. The Consultant shall defend, indemnify, and hold the City harmless from
and against all claims, losses, and liabilities arising out of personal
injuries, Including death, and damage to property (collectively referred to
as "losses") arising from any negligent act or omission of Consultant in the
performance of work and service pursuant to this agreement; provided
however, that the Consultant shall not be required to indemnify or save the
City harmless in an amount or percentage greater than the Consultant's
proportionate share of responsibility or fault for the losses.
14. Insurance. Consultant shall place and maintain with responsible insurance
carriers the following insurance. At City's request, Consultant shall deliver to City
certificates of insurance, which shall provide thirty days' notice to be given to City in the
event of a cancellation.
A. Workers' Compensation and Employer's Liability insurance
Workers' Compensation in compliance with the applicable laws.
Employer's Liability. Limit $1,000,000
B. Comprehensive General Liability Insurance Including Blanket Contractual,
XCU* Hazards, Broad Form Property Damage, Complicated Operations
and Independent Contractor's Liability all applicable to Personal Injury,
® Bodily Injury and Property Damage to a combined single limit of

$1,000,000 each occurrence subject to $2,000,000 annual aggregate for
Completed Operations and Personal Injury other than Bodily Injury.
"Explosion, Collapse and Underground
C. Comorehensive Automobile Liability lassuLance including owned, hired and
nonowned automobiles, Bodily Injury and Property Damage to a combined
single limit of$1,000,000 each occurrence.
D. 6rchitects & E_ nginsers Professional Liability Insurance affording,
professional liability, if any, to a combined single limit of $1,000,000 each
occurrence/claim, subject to $2,000,000 annual aggregate.
15. Documents. That reproducible of tracings and maps prepared or obtained under
the terms of this Contract shall be delivered upon request to and become the property of
the City upon termination or, completion of work. Copies of basic survey notes and
sketches, charts, computations and other data prepared or obtained under this Contract
shall be made available, upon request, to the City without restrictions or limitations on
their use. When such copies are requested, the City agrees to pay the Consultant its
cost, of copying and delivering same.
16. Nonsolicitation. The Consultant warrants that he had not employed or
retained any company or person, other than a bona fide employee working solely for the
Consultant, to solicit or secure this Contract, and that he has not paid or agreed to pay
any company or person, other than a bona fide employee working solely for the
Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other
consideration, contingent upon or resulting from the award or making of this Contract.
For breach or violation of this warranty, the City shall have the right to annul this
Contract without liability, or, in Its discretion, to deduct from the Contract price or
consideration , or otherwise recover the full amount of such fee, commission,
percentage, brokerage fee, gifts, or contingent fee.
17. Books and Records. The Consultant and all his subcontractors shall
maintain all books, documents, papers, accounting records and other evidence
pertaining to costs incurred in connection with this Contract, and shall make such
materials available at their respective offices at all reasonable times during the Contract
and for a period of three (3) years following completion of the Contract.
18. Delays. That the Consultant shall not be liable for delays resulting from
causes beyond the reasonable control of the Consultant; that the Consultant has made
no warranties, expressed or implied, which are not expressly set forth in this Contract;
and that under no circumstances will the Consultant be liable for indirect or
consequential damages.
19. Notices. All notices required or permitted hereinunder and required to be in
writing may be given by first class mail addressed to the Director of Community
Development, 320 East McCarty, Jefferson City, Missouri, 65101, and the Consultant,

shell be the date falling on the second full day after the day of Its mailing.

Attachment A — Scope of Services
Redevelopment Concept& Vision Plan
OBJECTiVE
The objective of the professional services to be provided by Parsons to the City of Jefferson,
hereinafter referred to as the Client, will be the professional services associated with the
preparation of a Redevelopment Concept & Vision Plan (Plan) for the East High Street
Neighborhood Redevelopment Area (Project) located In Jefferson City, Missouri.
A. Scope of Services
in order to achieve the above stated objective for basic services, Parsons will provide
the following tasks:
Phase 1 —Project Start-up, Inventory, Analysis, Opportunities & Constraints
e� Phase 2 — Preliminary Redevelopment Concept& Vision Plan
f' Phase 3 — Final Redevelopment Concept & Vision Plan
The Project is located approximately from Adams Street (west) to Grant Street (east);
and from the MSP property (north) to the Expressway (south). The Primary Study Area
within this overall project area is from Adams Street (west) to Benton (east); and from
the MSP property (north) to the Expressway(south). The area outside the Primary Study
Area is referred to as the Secondary Study Area.
Phase 9 — Project Start-up, inventory, Analysis, Opportunities & Constraints (Primary Study
Area)
During Phase 1, Parsons will coordinate with the Client and other agencies and
representatives to gather and analyze relevant project data and previous planning
efforts. Parsons will meet with and solicit input from community, business and
governmental leaders and representatives to better understand their needs and
requirements as they relate to the planning phase of the project. Items included in this
phase are:
1. Kick-off meeting with Client (Client #1) representatives and other agency
representatives to review scope, schedule and project goals.
2. Prepare a neighborhood Framework Plan to identify a complete schedule of
anticipated plans, studies or Inventories; and approximate cost (not included in
this scope of services) that may be necessary to prepare a complete
implementation strategy for the project area. The purpose of this information will
be to provide the Client direction in developing a work program acid budget for
2003-2004 and beyond, This Framework Plan will be updated in Phase 3.
3. In conjunction with client representatives, Parsons will prepare a vision
statement, project goals and planning principles to be applied to the project.
4. Conduct a site visit, collect existing data and prepare an analysis of the project's:

.f Site topography
Existing vegetation space definition and quality
Architectural/historic character
e� Age and general condition of existing structures (block-face via windsheld
survey)

Pedestrian and vehicular circulation patterns
.f Existing and adjacent land use patterns
Mass void analysis
Existing visual qualities within and outside of the project area
5. Conduct a site visit, collect existing data and prepare an analysis of the project's:
Pedestrian and Vehicular Circulation patterns - record peak period traffic
volumes at up to 6 major intersections within study area.
,' Review existing and proposed street connections to area transportation
network.
Determine street system operations based upon projected traffic volumes
and expected roadway system utilizing the City-wide Transportation
Model.
, 0 Model up to 4 different land use scenarios within the study area using the
Citywide Transportation Model and report the resulting access and
circulation issues to design team.
6. Prepare economic development strengths, weaknesses, opportunities and
threats(SWOT) analysis for the project.
7. Collect socio-economic data, existing business inventory data, and prepare a
technical memorandum defining the study's area's role in the regional and city
economy and how this role might be enhanced.
8. Meet with stakeholders including state, county & city representatives and
neighborhood residents & business owners within and adjacent to the project
area. Parsons will conduct approximately 20 meetings as scheduled by the
Client, to occur over a period of 2 days. Parsons, in conjunction with client
representatives will develop a program based on concerns, desires and other
issues expressed by the stakeholders.
9. A public workshop (Public #1) will be held to gain input from concerned citizens,
neighborhood organizations and businesses within and surrounding the project
area. The ideas and suggestions presented at the public workshop will be refined
and incorporated into a concept diagram land use plan.
10. Develop and refine a concept diagram land use plan, which will address program
elements; site opportunities & constraints; stakeholder input; issues and desires
resulting from the public workshop.
11. The concept diagram land use plan will address economic development
opportunities and constraints.
12. Conclude Phase 1 with a presentation to the Client (Client#2).
Phase 2-Preliminary Redevelopment Concept & Vision Plan (Primary Study Area)
During Phase 2, Parsons will build on the information gained and direction established during
the Phase 1 efforts. This phase will focus on the exploration of design ideas and conceptual
development of alternatives for the Preliminary Redevelopment Concept & Vision Plan. Items
included in this phase include:
1. Development of conceptual plan alternatives. Site analysis factors, including
physical characteristics, identified design opportunities and/or constraints,
developed program and stakeholder issues, will be incorporated in the evaluation
of the alternative plans solutions.

2. Formulate land use policies for reside ntlal/nonresidential uses. Explore
Preservat'on / Conservation / Redevelopment policies in such a format that they
may be formulated into a preliminary zoning plan for the area.
3. Formulate transportation and access policies for the project area,
4. The preliminary plan will be presented In an open House public forum (Public #2).
Parsons will gather Input from neighborhood organizations, businesses and
state, county & city representatives to gain a better understanding of the needs
and desires of the community and modify the conceptual plans Into the final plan.
5. The preliminary plan will be developed and refined and presented to the Client
(Client #3) representatives and other agency representatives to obtain input,
direction and recommendations to be Incorporated in the final plan, Phase 3,
Phase 3 -Final Redevelopment Concept & Vision Plan (Primary Study Area)
During Phase 3 Parsons will prepare the Final Redevelopment Concept & Vision Plan based on
the direction received at the conclusion of Phase 2. Items In this phase include:
1. Based on the public Input from the Phase 2 open house / public forum and
direction from the Client representatives and other agency representatives,
Parsons will develop the final plan for the project.
2. Develop a graphic and narrative plan that clearly illustrates and describes the
following components:
s° Land Use Plan showing areas of preservation or conservation of existing
housing and commercial areas. Redevelopment areas will be identified by
b/pe and intensity of land use. The Land Use Plan will consider general
layout, development strategies, greenway extensions, open space I
recreation areas and streetscape enhancements.
je Transportation and Street Plan addressing vehicular circulation, access
issues, remote parking and transit connections. Explore pedestrian and
greenway connections to the project area. Examine alternative
transportation corridors; expressway access; street hierarchy; and access
considerations. A statement of estimated benefits and costs of alternative
corridor options,
Architectural and Historic Resources assessment where new transportation
corridors may impact existing structures.
s° Implementation Plan to include a capital improvements program and cost
estimates; and an updated framework plan (as described in Phase 1, item
1).
3. Prepare generalized planning level construction cost estimates for public
enhancement projects within the public right-of-ways.
4. Identify potential revenue sources (if any) that may emerge as a result of the
Redevelopment Concept & Vision Plan.
5. Present the final plan and cost estimate to the Client (Client #4) representatives
and other agency representatives.
6. Present the plan and associated cost estimates at an open house / public forum
(Public#3).
Secondary Study Area
The Secondary Study Area will be evaluated in an overview approach to determine what future
recommendations should be considered. Land use opportunities for key sub-areas will be

noted; transportation links will noted; and areas of Influence on the Primary Study Area will be
summarized. Future studies and actions will be Identified for the Secondary Study Area and will
not be evaluated or planned to the same level of detail as the Primary Study Area; The
Secondary Study Area will be included on an overview basis only.
B. Deliverables
At the completion of the project the deliverables will include twenty (20) copies of the
Redevelopment Concept & Vision Plan document, including background data and
analysis boards, concept land use bubble diagram, plan alternatives, a graphic
Illustration of the final neighborhood visioning plan and a probable cost of development.
At the completion of the project the deliverables will include both hard copies and digital
forms. One master reproducible copy of the final Redevelopment Concept & Vision Plan
shall be provided. Digital formats shall include:

C. Schedule
1. Parsons will commence performance of the services immediately upon
authorization, to do so and, barring circumstances beyond Parsons control,
complete the project within the time periods given below.
2. Phase 1 — will be completed within ninety (90) calendar days following Notice To
Proceed by the Client.
3. Phase 2 - will be completed within sixty (60) calendar days following the approval
of Phase 1 and Notice To Proceed by the Client.
4. Phase 3 - will be completed within sixty (60) calendar days following the
completion of Phase 2 and Notice To Proceed by the Client.
D. Compensation
1. The professional services fee to complete the Redevelopment Concept &Vision
Plan is $ 72,900.00 base cost, plus
The additional Optional Cost Items:
Economic Impact Analysis $ 13,660.00, plus
J Architectural and Historic Resources assessment $ 7,890.00, plus
Traffic Planning/Transportation and Street Plan $ 21,890.00, plus
Estimate of Reimbursable Costs $ 3,000.00
2. The total lump sum fees stated abode ($ 119,340.00) represents labor, overhead,
profit and reimbursable costs.
3. Payment for other direct costs such as lodging, meals, postage, mileage,
copying, check sets, etc., and other costs shall be reimbursed at actual cost of
printing / binding; postage or express mail / courier delivery of documents;
automobile expense shall be reimbursed at 36.5¢/mile for travel and actual cost
of any additional items approved and requested in writing by Client.

4. Payment shall be made monthly upon submission of a proper invoice In an
amount equal to the percent of services completed in the preceding month and
reimbursable expenses Incurred. All invoices shall be due and payable within
thirty (30) calendar days.
5. Additional Services and Hourly Rates: Professional services not specifically
Identified are not Included as part of the Scope of Services or fee. Should
the need for additional professional services be identified, Parsons and
the Client will determine a mutually agreeable scope of work and fee prior
to completing any additional services. Other direct costs will be considered
reimbursable.
6. The hourly rates by classification shown below for Parsons include labor,
overhead and profit:

E. Coordination with Housing Authority of Jefferson City
Parsons will specifically coordinate with the Housing Authority of Jefferson City to
provide the Housing Authority the information it may need to determine whether to
recommend to the Client that all or any part of the Study Areas should be designated as
a land clearance or urban renewal project under the provisions of Section 99.430,
RSMo. 2000.

G. To be provided by the Client
1. All necessary base maps in ArcView format.
2. Existing land use documentation in the project area.
3. Review and confirmation of infrastructure recommendations based on the client's
knowledge and familiarity of the existing infrastructure systems and capacity.
4. All arrangements for meetings, open houses, presentations and interviews.
5. An individual client representative to provide instruction and coordination with the
Parsons team.
6. All available data concerning the project area.

SECTION 3. The agreements shall be substantially the same in form and content as the
agreements attached hereto as Attachment A.
SECTION 4. This ordinance shall be in full force and effect from and after its passage and
approval.
