BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized and directed to execute an Amendment to the Agreement with Burns & McDonnell for Professional Engineering Services to update the City's Stormwater Management Plan - Phase III. Section 2. The Amendment shall be substantially the same in form and content as that Amendment attached hereto as Exhibit A. Section 3.There is hereby supplementally appropriated within the Capital Sales Tax A Fund Account $490,542 as indicated on Exhibit B, attached hereto. ® Section 4. This Ordinance shall be in full force and effect from and after the date of its passage and approval. WHEREAS, the parties wish to amend 'lie Contract dated March 7, 200 1. and an)ended April 7, 2003,to include Phase Ili which are the Gray's Creck area and the Moreau River South areas; WHEREAS, the parties wish to extend the contract period fi►r completion ol*the project. NOW, THEREFORE, be it agreed as follows: A. B. Paragraph 5,entitled"Notice to Proceed,"to the Contract of'March 7,2001,and anlemled April 7, 2003, is hereby amended to read as follows: 5. Notice to Proceed. Paragraph 6, entitled "Compensation," to the Contract of March 7, 2001, is hereby amended to read as follows: 6. Compensation. The City agrees to pay the Engineer in accordance with the rates set forth herein as shown in Exhibit 13,which shall constitute full and complete contpensation lllr the Engineer services hereunder. Such contpensation will be paid in progress payments, as established by the City and the Engineer. The final payment will be subiect to receipt of a requisition for payment and a statement of services rendered from the Engineer that the T:ngineer lirlly perfornied the services to be paid fitr in such progress payments in conforniance with the contract. No change shall be made unless there is a substantial and significant difference between the services originally contemplated by this agreement and the services actually required. For the services covered by this Contract the City agrees to pay the Engineer as follows: For the services outlined in paragraph 1 —SCOPE OF SERVICES,the City agrees to pay the Engineer a fee computed on the basis of(1)hourly rates that include base salary cost,direct payroll additives, general and administrative overhead and profit,and(2)reimbursable direct expenses. The term"base salary cost" shall be the actual amounts paid employees of the Engineer, prior to deductions or withholding,based on each employee's hourly rate. Base salary cost does not include direct payroll additives, general and administrative overhead or profit. The term"direct payroll additives" shall include payroll tax, retirement, health and accident insurance, vacation pay,holiday pay,sick leave pay and incentive pay. The tern"general and administrative overhead"shall include such indirect costs as clerical,telephone,dues and subscriptions,accounting services,office supplies,maintenance, depreciation, general insurance, rent, general taxes, nonprofit salary cost and nonprofit general expense. The maximum compensation encumbered under this Agreement shall be as outlined in paragraph 6 above. ® Reimbursable direct expenses chargeable to the project,which arc included in the maximum fee billing above,are as follows: Travel,subsistence,and incidental costs. Use of motor vehicles on a mileage or rental basis. Telephone and telegraph costs. Reproduction of project documents. Postage and shipping charges for project-related materials. Rental charges for use of equipment, including equipment owned by the Engineer, not included in overhead costs. Subcontracted services including surveys and geotechnical investigations. Partial periodic monthly payments shall be made to the Engineer by the City as follows: The Engineer shall render an itemized monthly statement to the City for services performed and costs incurred during the preceding month. The monthly installments and current total billings shrill not be disproportionate to service progress as reported by the Engineer. Unless specifically outlined above,all compensation and billings will be at the rates and requirements outlined in Exhibit B,attached hereto and incorporated by reference. D.
