MINUTES OF THE SELECT BOARD EXECUTIVE SESSION MINUTES
DATE : November 19, 2020
TIME : 9 : 00 AM
PLACE : Remote Teleconference
ALL PARTICIPANTS ARE PARTICIPATING REMOTELY : Chair Chaffee, Selectperson deRuyter, Selectperson
Whitney, Selectperson Chatelain , Selectperson Bingham , Town Administrator Peter Lombardi , Assistant
Town Administrator Donna Kalinick and Executive Assistant to the Town Administrator Robin Young,
Call to Order & Declaration of a Quorum, Meeting Participation Statement and Recording Statement
Chair Chaffee called the meeting to order at 9 : 01am, conducted a roll call vote of attendance, declared a
quorum present, and read the meeting participation and recording statements . Chair Chaffee stated that the
Board would be going into executive session to discuss strategy with respect to consider the purchase,
exchange, taking, lease, or value of real property if such discussion may have a detrimental effect on the
negotiating position of the governmental body, and would not be returning to open session .
Executive Session * To consider the purchase, exchange , lease or value of real property if the chair declares
that an open meeting may have a detrimental effect on the negotiating position of the public body.
Selectperson Whitney moved that the Board go into executive session at 9 : 03 am to consider the purchase,
exchange, taking, lease, or value of real property if such discussion may have a detrimental effect on the
negotiating position of the governmental body, and would not be returning to open session . Selectperson
deRuyter second . Selectperson Whitney-yes, Selectperson Bingham -yes, Selectperson deRuyter-yes,
Selectperson Chatelain , Chair Chaffee-yes . The Board vote was 5 -yes, 0- No and every party present declared
that no other person is present and /or able to hear the discussion at the remote location .
Mr . Lombardi had a discussion with Jim Fleet of the Brewster Sea Camps . It was expressed that they are very
early on in the selling process . He is delaying the logistics of the sale of the property and is focusing on the
winding down of the operation . They will be a disposition of the properties, and there is no plan for the real
estate at this time . He used terminology of taking a measured approach with no rush to the process . They
plan on a deliberate process and will include the Town for collaboration . He is an independent party, who
will remain candidly . If it came to a point where interests were not aligned , he would openly convey that to
the Town . He anticipates not having further discussions until the end of January 2021 regarding the sale of
the property . Selectperson Whitney feels this is the best possible news, that there is no rush and there is
time to plan accordingly . Mr. Fleet also conveyed to Mr. Lombardi that speed is not a determining factor in
the transaction . Selectperson Chatelain connected Mr . Lombardi with Brian Crowell at the YMCA, and an

initial discussion will be had soon . Selectperson Chatelain had kept the conversation general with Mr.
Crowell, and pointed him to Mr. Lombardi as a point of contact . It seems at this time the YMCA has taken on
other endeavors on the Lower Cape . Selectperson deRuyter has a degree of skepticism that the Board of
Directors and the family of the Sea Camps being so early on in a thought process . With such a significant
public announcement it seems that they would have a more solid plan with the disposition of the access .
Selectperson deRuyter will be working with the non - profit coalition that is pursuing the property . Chair
Chaffee asked if the two parcels could be separated . Mr . Fleet was non- committal to the idea . Mr . Lombardi
referenced the Robinson property sale logistics, and that the BCT had interest in a collaboration . With the
Bay property getting the most attention there is interest in the Long Pond property . Chair Chaffee is also
slightly suspicious of the appearance by Mr. Fleet that this is a casual sale . She would like to proceed with a
methodical approach in the event the property came on the market . In the event media contacts the Town a
short prepared statement should be devised . Mr. Lombardi feels a statement should be issued even without
the media contacting Mr. Lombardi first . This will be reviewed in executive session next week . Meetings with
potential partners and legislative delegates should be held over the next month . Chair Chaffee asked about
the Eddy Sister Foundation ' s interest for funding . Selectperson Chatelain asked about forming a
subcommittee to engage all of the possible stakeholders . Mr . Lombardi is concerned about open meeting
law rules . Mr. Lombardi has received emails regarding the sale of the property, with information on
processes for the Town to acquire the land . Town council will be invited to a future meeting to explain to the
Board their options . Chair Chaffee would like Mr . Lombardi to handle meetings with potential stake holders
and compile the information as a single source . She would like to include Ryan Bennett, the Town Planner, in
for a discussion . Selectperson deRuyter had a conversation with John Idman , Chief Regulatory Officer at the
Cape Cod Commission , that the process for a private contractor to purchase and divide the land is
challenging and potentially not profitable . The CCC is a discretionary organization . They can decide on a
proposal if it will be detrimental to a region . Selectperson Chatelain is more concerned with a condo style,
high density situation . There was a similar situation in Sandwich that occurred . It would have to be a 40B
situation due to the zoning, and Brewster does not allow multi -family . A formal discussion will be had with
Mr . and the Cape Cod Commission . Selectperson Bingham asked if they had a desire to keep it as a camp . It
did not seem the case, they are looking to dispose of the property . "Cape Cod Sea Camps will never open
again . " was a quote given to an associate of Selectperson Deruyter . The next steps include a series of
information gathering meetings, an Executive Session with Ryan Bennett, and Town Council , and further
brainstorming on potential donors or means of aid , assistance, or partnerships, including Sarah Peake and
State Legislation , Mark Robinson sent over a funding diagram on how they utilize different groups for
property purchases . Chair Chaffee would like to plan additional executive sessions to any regularly scheduled
meeting, and at least one week . Next meeting is 11am, November 23rd . Tuesday mornings at 9am will be a
standing executive session meeting time . December 1 , 81 15, 22nd will be placeholders for now . Selectperson
Chatelain feels that he is more apprehensive on what happens to the bayside parcel due to the frontage in
town, as there is a past precedence for the neighboring Long Pond parcel . He would also like to hear from
the Ethics commission if Selectperson deRuyter is going to participate in both the Select Board sessions and

the non - profit group . Donna Kalinick is interested in looking at the Long Pond parcel for different reasons
than the one on 6A, and feels it is obtainable with in - house finances . She feels outside resources will need to
be brought in in the future . Mr . Lombardi does think they will decide who will take the lead on this, perhaps
a hired professional . Mark Robinson should be engaged and under contract after it is decided what role he
will have in the process . Selectperson deRuyter expressed that the non - profit could be a lead in the process,
if they develop properly . Chair Chaffee is supportive of engaging Mark Robinson under contract .
Selectperson deRuyter would like to know what the contract would be for specifically . Chair Chaffee thinks
that he could be tasked with a strategic plan for acquiring the Long Pond parcel . Mr. Robinson will be invited
to an executive session for a discussion on steps of action and cost consideration . There is a need to look at
the budget to find funding for his services . Meetings with potential stakeholders will be had , before looking
to any particular entity for funding . Mr . Lombardi and Chair Chaffee will draft the media statement for the
Board to review at the next meeting .

Selectperson Bingham moved to adjourn at 10 : 06 am , Selectperson deRuyter second . A roll call vote was
taken . Selectperson Whitney-yes, Selectperson Chatelain -yes, Selectperson deRuyter-yes, Selectperson
Bingham -yes, Chair Chaffee -yes . The Board vote was 5 -yes, 0- No .
