MINUTES OF THE SELECT BOARD EXECUTIVE SESSION MINUTES
DATE : November 23, 2020
TIME : 11 : 00 AM
PLACE : Remote Teleconference
ALL PARTICIPANTS ARE PARTICIPATING REMOTELY : Chair Chaffee, Selectperson deRuyter, Selectperson
Whitney, Selectperson Chatelain , Selectperson Bingham , Town Administrator Peter Lombardi, Assistant
Town Administrators Susan Broderick and Donna Kalinick and Executive Assistant to the Town Administrator

Call to Order
Chair Chaffee called the meeting to order at 11 : 01 am, conducted a roll call vote of attendance, declared a
quorum present, and read the meeting participation and recording statements .
Executive Session : To consider the purchase, exchange, lease or value of real property if the chair declares
that an open meeting may have a detrimental effect on the negotiating position of the public body.
Chair Chaffee stated that the Board would be going into executive session to discuss strategy with respect to
consider the purchase, exchange, taking, lease, or value of real property if such discussion may have a
detrimental effect on the negotiating position of the governmental body, and would not be returning to
open session .
Selectperson Bingham moved that the Board go into executive session at 11 : 03 am to consider the purchase,
exchange, taking, lease, or value of real property if such discussion may have a detrimental effect on the
negotiating position of the governmental body, and would not be returning to open session . Selectperson
Chatelain second . Selectperson Whitney-yes, Selectperson Bingham -yes, Selectperson deRuyter-yes,
Selectperson Chatelain , Chair Chaffee-yes . The Board vote was 5 -yes, 0- No and every party present declared
that no other person is present and /or able to hear the discussion at the remote location .
Mr . Lombardi updated the Select Board that he will be having a discussion with Town Counsel on eminent
domain and other available legal recourses . Counsel will be available to attend Executive Session next
Tuesday . Donna and Peter are meeting with Town Planner Ryan Bennett to discuss zoning at the location .
She will provide the Board with a brief. Mr . Lombardi will also meet with Cape Cod Commission, the
Trustees, the YMCA, and BCT. Brewster State Representative Sarah Peake is setting up meeting with the DCR
staff and the Lieutenant Governor' s office . She has spoken to the Lieutenant Governor, who does have
interest in the situation . The DCR Commissioner is also involved . The draft media statement was sent to the

Board for review . There is a couple options on the last sentence . The two options are to either remain vague,
or be more concise . Mr . Lombardi told Lower Cape TV that a statement would be issued this week . Chair
Chaffee feels this statement has a tone that has a balance of reassuring the residents that the Town is aware
of the property sale, but not overly eager . Selectperson Bingham likes the more direct closing statement .
Selectperson Chatelain agrees . Selectperson Whitney prefers the language change of " hope" to " intend to"
or "committed . " Selectperson deRuyter agrees with the changes . Both Susan and Donna like the change of
wording . The language of the last sentence was revised . This will be posted on the website and sent to the
local media . Selectperson deRuyter has spoken to the State Ethics Board . They have reviewed it as an
"appearance" of a conflict of issue . There is no conflict directly . Selectperson deRuyter will file a 23B
disclosure with the Town Clerk, and will no longer meet with the group forming a non - profit to attempt to
acquire the property . The Board was unanimous in having Selectperson deRuyter continue to work with the
Board on this matter . Tuesday Executive Sessions will be scheduled for 9am on Tuesdays .

Selectperson Bingham moved to adjourn at 11 : 24 am, Selectperson Chatelain second . A roll call vote was
taken . Selectperson Whitney-yes, Selectperson Chatelain -yes, Selectperson deRuyter-yes, Selectperson
Bingham -yes, Chair Chaffee-yes . The Board vote was 5 -yes, 0- No .
