MINUTES OF THE SELECT BOARD EXECUTIVE SESSION MINUTES
DATE . May 4, 2021
TIME : 3 : 00 PM
PLACE : Remote Participation
ALL PARTICIPANTS ARE PARTICIPATING REMOTELY : Chair Chaffee, Selectperson Bingham ,
Selectperson deRuyter, Selectperson Whitney, Selectperson Chatelain, Town Administrator Peter
Lombardi, Assistant Town Administrator Susan Broderick, Assistant Town Administrator Donna

Call to Order, Declaration of Quorum, Meeting Participation Statement and Recording Statement
Chair Chaffee called the meeting to order at 3 : 00pm . All Select Board members present were announced
and a quorum was declared . Chair Chaffee read the meeting participation and recording statements .
Matters Not Reasonably Anticipated by the Chair.
None
Executive Session : To consider the purchase, exchange, lease or value of real property if the chair
declares that an open meeting may have a detrimental effect on the negotiating position of the
public body, Approval of January 6, 2020, January 21, 2020, February 3, 2020 and April 27, 2020

Selectperson Bingham moved that the Board dissolve open session at 102pm and go into executive
session and not return to open session . Selectperson Whitney second . A roll call vote was taken .
Selectperson deRuyter- yes, Selectperson Bingham -yes, Selectperson Whitney-yes, Selectperson
Chatelain -yes, Chair Chaffee -yes . The Board vote was 5 -Yes, 0- No .
Each party present stated , " No other person is present or able to hear the discussion at this remote
location . "
To consider the purchase, exchange, lease or value of real property if the chair declares that an open
meeting may have a detrimental effect on the negotiating position of the public body.
Mr. Lombardi shared the Mr . Fleet' s company has partnered with Keen Summit for the sale of the
Sea Camps property and there was a flyer developed that was emailed to some private parties, but
not to the Town . Mr. Fleet stated to Mr . Lombardi that the Sea Camps has not conducted their own
appraisal , as they feel there are no comparable properties in the area . They will not be setting an
asking price for the properties . Mr . Fleet is still insistent that the Town sign a Non - Disclosure
Agreement ( NDA) . Mr. Lombardi noted that there is an issue with the NDA, and the fact that the
Town wants to partner with several organizations to purchase these properties, which would mean

communication with these organizations . There needs to be language in the NDA that recognizes
that the Town is a public entity and beholding to certain laws and regulations that may become part
of the negotiations or purchase . Mr . Lombardi acknowledged that the Brewster Conservation Trust
( BCT) Board has an upcoming meeting and are interested in an update on the status of the sale of
the property .
John O' Reilly will be working on a plan for the highest and best use of the two properties for the
Town . He has copies of the draft appraisal reports and some background information from the
Town .
Mr. Lombardi stated that he had a phone call with Ocean Edge who divulged that Ocean Edge was
going to sign the NDA .
Mr. Lombardi feels that the Town is in a good position, as he believes that the Sea Camps had an
appraisal and was not happy with the results and has not seen the interest in the property that they
had hoped . They have hired an additional company to drum up interest in the property . He feels it
is important to change the interest in partners to help defray the purchase price to the Town and
ultimately the taxpayers . Selectperson Whitney asked if there was any value in seeing if the MA
Department of Conservation and Recreation would be interested in partnering with the Town . Mr .
Lombardi does not feel that DCR could be a major player in the acquisition , but that it would be
appropriate to reach out to our local and state representatives to see what part state grants and
other state partnerships could play .
The Board agreed that the Town is in a good position and should continue to move forward . The
Town will continue to work on an updated appraisal , Mr . Lombardi will have a discussion with BCT
on the potential of partnering on the purchase of the properties and will reach out to Keen Summit
Capital Partners .
There was also a brief discussion on Dr. Eaton' s call to the Assessor' s office to understand the
process to take his property out of Chapter 61A and 61B status . This property abuts the Sea Camps
property . Chapter 61 gives landowners the opportunity to reduce their property taxes in exchange
for providing public benefits, such as clean water, wildlife habitat, outdoor recreation, etc . The
Town would have right of first refusal for five years on this property if it were to come out of
Chapter 61 .

Whitney second . A roll call vote was taken . Selectperson deRuyter- yes, Selectperson Bingham -yes,
Selectperson-Whitney-yes, Selectperson Chatelain -ABS, Chair Chaffee-yes . The Board vote was 4-Yes,
0- No, 1-ABS
