MINUTES OF THE SELECT BOARD EXECUTIVE SESSION MINUTES
DATE : May 14, 2021
TIME : 2 * 00pm
PLACE : Remote Teleconference
ALL PARTICIPANTS ARE PARTICIPATING REMOTELY : Chair Chaffee, Selectperson deRuyter,
Selectperson Bingham , Selectperson Whitney, Selectperson Chatelain , Town Administrator

Call to Order, Declaration of Quorum , Meeting Participation Statement and Recording
Statement
Chair Chaffee called the meeting to order at 2 : 01pm . All Select Board members present were
announced , and a quorum was declared . Chair Chaffee read the meeting participation and
recording statements .
_Matters Not Reasonably Anticipated by the Chair
None
Executive Sessions To consider the purchase, exchange, lease or value of real property if the
chair declares that an open meeting may have a detrimental effect on the negotiating
position of the public body.
Selectperson deRuyter moved to enter executive session at 2 : 02pm and not to return to open
session . Selectperson Whitney second . A roll call vote was taken . Selectperson deRuyter-yes,
Selectperson Bingham -yes, Selectperson Whitney-yes, Selectperson Chatelain -yes, Chair
Chaffee-yes . The Board vote was 5 -Yes, 0- No
Each participate made the following statement : " No other person is present or able to hear this
discussion at this remote location " .
Mr . Lombardi confirmed that the Kennedys are not the private party that is purchasing the
Bonnie Doone Cartway parcel . The Town looked into this parcel over a year ago, at that time it
was determined that if the Town wanted to do anything significant with the property, we would
be overburden the easement, so we walked away from it at the time . The Planning, Building
and Conservation departments had a conversation with attorney Ben Zender preliminary plans

for a four-structure residential development on the parcel, there has been no follow up since
and no applications pending at this time .
Mr . Lombardi shared that Brewster Conservation Trust has submitted their non -disclosure
agreement a couple of days ago but has not heard anything in response .
Mr . Lombardi shared that he met with John O' Reilly today to go over the best and most likely
use for the parcel and Mr . O' Reilly will be meeting with Mark Robinson next week . The final
appraisal should be completed by June 1s1 . This then gives the Town two weeks to look at
submitting a proposal before the June 15th deadline . There is tentatively another executive
session meeting scheduled for next Tuesday, the 1811 at 3pm . Mr . Lombardi noted that Town
counsel , Shirin Everett will be available to attend the meeting .
Selectperson Bingham expressed concern on having to make the decision to purchase 55 acres
of land for $ 30M without voters being able to weigh in . Mr. Lombardi stated that he feels it is
important for the Town to submit a bid on both parcels, based on what the appraisal report
say . He also feels the Town should continue to work with the Kennedys on a possible
partnership . The purchases would then go to Town meeting . Noting that the Town would need
to complete the NDA in order to bid for the parcels .
There was discussion on the Town giving up eminent domain on the bay parcel in exchange for
the Kennedy' s giving the Town the east side of the parcel . The Board was in agreement that
they should place a bid on both parcels . Selectperson Whitney questioned who would control
the parcel while or if it was being litigated due to an eminent domain taking . Mr. Lombardi
believe the Town would control the property if the eminent domain taking is approved by Town
Meeting . Mr. Lombardi did learn that the Town does have a right to take a portion of the
parcel by eminent domain . Selectperson Chatelain proposed that the Town submit bids on both
parcels and make that information public after the date of the June 15th deadline and call a
Town meeting . Adding that the Town should negotiate with the winning bidder of the bay
parcel for beach access . If the sale of the Bonnie Doone Cartway falls through , the Town may
want to look at eminent domain on that parcel .
The Board agreed that the messaging on the announcement that the Town has submitted bids
on the Sea Camps parcels must be carefully worded . The Board' s next step will be to submit the
non - disclosure agreement, determine what to bid on both parcels after the appraisals are
received . There will be no further negotiating with the Kennedy' s at this point . The Chair will
work on crafting public outreach messages on the possible purchases . Mr. Lombardi also stated
that the Town should continue to work with BCT, Audubon , and the Water Commissioners on
the Long Pond Parcel as this will most likely be a quicker turn around in terms of a purchase .

Donna Kalinick stated that if the Town were to bid above either of the appraised values, it
would preclude the Town from using CPC funds .

Selectperson Whitney moved to adjourn at 3 : 17pm . Selectperson Bingham second .
