MINUTES OF THE SELECT BOARD EXECUTIVE SESSION MINUTES
DATE : May 24, 2021
TIME : 9 : 00am
PLACE : Remote Teleconference
ALL PARTICIPANTS ARE PARTICIPATING REMOTELY : Chair Chaffee, Selectperson deRuyter,
Selectperson Bingham , Selectperson Whitney, Selectperson Chatelain , Town Administrator
Peter Lombardi , Assistant Town Administrator Donna Kalinick, and Assistant Town
Administrator Susan Broderick
Call to Order, Declaration of a Quorum , and Meeting Participation and Recording Statement
Chair Chaffee called the meeting to order at 9 : OOam, announced all Select Board members
present and declared a quorum . Chair Chaffee read both the meeting participation statement
and recording statement .
Review and Vote on Acceptance of Mortgage by Brewster Woods Preservation Associates
Limited Partnerships to Secure Community Preservation Act Loan on Property Located at 141
Brewster Road
Ms . Kalinick reviewed that the Affordable Housing project at Brewster Woods will be 30 units of
mixed rental income, for 30 - 60% of the median income . This will be a lottery, which will most
likely take place in late fall or early winter . There will be 70% local preference .
Selectperson Chatelain moved to accept the 40-year mortgage as presented . Selectperson
Bingham second . A roll call vote was taken . Selectperson Bingham — Yes, Selectperson Whitney
— Yes, Selectperson deRuyter — yes, Selectperson Chatelain — Yes, Chair Chaffee — yes . The
Board vote was 5 -Yes, 0- No ,

Selectperson Bingham moved that the Board dissolve open session and go into executive
session at 9 : 09am . Selectperson Whitney second . A roll call vote was taken . Selectperson
Bingham — Yes, Selectperson Whitney — Yes, Selectperson deRuyter — yes, Selectperson
Chatelain — Yes, Chair Chaffee — yes . The Board vote was 5 -Yes, 0- No .
Each person stated : "There is no other person present or able to hear the discussion at this
remote location . "

Executive Session : To consider the purchase, exchange , lease or value of real property if the
chair declares that an open meeting may have a detrimental effect on the negotiating
position of the public body.
Mr . Lombardi noted that he has had two meetings with John O' Reilly and Mark Robinson , and
they also met with Mark Reenstierna , the appraiser . Mr . O' Reilly went over several
development scenarios for the parcels and will send his final report on Tuesday, May 25tH
Mark Robinson will take that information and have his report by Wednesday, June 2 "d . In
speaking with Hal Minis of the BCT, it appears that BCT will not be putting a bid in for the Long
Pond parcel but are still willing to work with the Town in terms of a financial contribution on
the parcel . There will also be a conversation with MA Audubon . Mr . Lombardi also spoke with
Paul Anderson regarding the Water Commissioners also contributing to the purchase of the
Long Pond parcel . Mr . Lombardi spoke with Jim Fleet briefly and they have a call scheduled for
Tuesday, May 25th in the morning . Mr . Lombardi has a list of questions that he will asking Mr .
Fleet, including if the Town needs to complete the NDA to submit a bid . He will also get clarity
on if the parcels are being sold/bid on as one or as two .
Selectperson deRuyter stated that he would like the Town to submit a bid on both parcels , not
to exceed the appraised values of the parcels . If the Town is not the wining bidder on the Long
Pond parcel , he would like to call a special Town meeting to take the parcel by eminent domain .
He would like to follow this same process for the Bay parcel and have them be two separate
articles on the Town meeting warrant .
( At 9 : 44am Selectperson Whitney was having technical issue and it became difficult to hear
him . He lost the audio to the meeting . Selectperson Whitney' s technical issued were resolved
at 9 : 49am ) .
The Board discussed the memo produced by Selectperson deRuyter regarding the process the
Board will take going forward regarding the Sea Camps parcels . A good portion of this
document can be used as a press release when the Board is able to go public with this process .
Unfortunately, the timeline of the sale and the process of the sale of these properties is still
secondhand knowledge . There has been no direct communication from the management
company on how or when these properties are going to be sold . There is also the possibility
that, if there are bids due on June 15th, they could all be rejected by the seller and the
properties could remain on the market for quite some time . Mr . Lombardi stated that
regardless of how the seller structures the sale of the properties, the Town should submit two
bids, as that is how they will be presented to Town meeting . There was also a discussion on
the NDA . The Board feels that if the Town ' s bids will be accepted and considered without
signing the NDA, the Town should not sign the NDA.
Selectperson deRuyter moved that the Select Board , on behalf of the Town of Brewster, submit
a bid to acquire the Cape Cod Sea Camps property known as the " Long Pond parcel , " for an

a bid to acquire the Cape Cod Sea Camps property known as the " Bay parcel ," for an amount
not to exceed the value established by the appraisal ; and furthermore , that the Board adopt
the process defined in the memo dated Sunday, May 23 , 2021 , by member Benjamin deRuyter,
and edited during the meeting of the Select Board on Monday, May 24, 2021 , in pursuit of such
acquisition , Selectperson Bingham second . There was a roll call votes Selectperson Bingham —

Chair Chaffee — Yes . The Board vote was 5 -Yes, 0 - No .
The Board tentatively scheduled the next executive session meeting for Tuesday, June 8th at
1 : 30pm .
Selectperson Bingham moved to adjourn at 10 : 24am , Selectperson Chatelain second . There
was a roll call vote; Selectperson Bingham — Yes, Selectperson Whitney — Yes , Selectperson
deRuyter — yes, Selectperson Chatelain — Yes, Chair Chaffee — Yes . The Board vote was, 5 -Yes,
0- No .
