' I MINUTES OF THE SELECT BOARD EXECUTIVE SESSION MINUTES DATE . June 8, 2021 TIME : 1 : 30 PM PLACE . Remote Teleconference ALL PARTICIPANTS ARE PARTICIPATING REMOTELY : Chair Bingham , Selectperson Whitney, Selectperson Chatelain , Selectperson Chaffee , Selectperson Hoffmann , Town Administrator Peter Lombardi, Assistant Town Administrator Donna Kalinick, Assistant Town Administrator Susan Broderick, SINN Everett (joined at 2s00pm ) , Mark Robinson , Mark Reenstierna , John O ' Reilly Call to Order & Declaration of a Quorum , Meeting Participation Statement and Recording Statement Chair Bingham called the meeting to order at 1 : 34pm , conducted a roll call vote of attendance, declared a quorum present, and read the meeting participation and recording statements . Matters Not Reasonably Anticipated by the Chair : None Executive Session : To consider the purchase , exchange, lease or value of real property if the chair declares that an open meeting may have a detrimental effect on negotiating position of the public body. Selectperson Whitney moved to dissolve open session and enter executive session at 1 : 37pm , not to return to open session . Selectperson Chatelain second . A roll call vote was taken . Selectperson Whitney- yes, Selectperson Chatelain - yes, Selectperson Chaffee - yes, Selectperson Hoffmann -yes , Chair Bingham -yes . The Board vote was 5 -Yes, 0- No . The Select Board entered executive session . All members present recited the following statement " No other person is present or able to hear the discussion at this remote location . " Mr . Lombardi provided background information on the status of where the Board is in terms of the two Sea Camps parcels for the benefit of the newest board member . John O' Reilly went over his work up of the two parcels . His information was based on being a developer . In terms of the Long Pond parcel , the Town is dealing with a split zone lot and Natural Resources Protection District ( NRPD ) , 66 acres, which 6 of the acres are wetlands . There are 36 acres in the NRPD . This leaves 24 acres for development . Mr. O' Reilly added that this lot would require the Cape Cod Commission to review and approve . The Cape Cod Commission looks at a 2 to 1 ratio of open space versus developable space . Using these metrics, Mr . O' Reilly estimates 25 developable lots . The Route 6A parcel is not in a NRPD and could come as a residential subdivision . He did use the NRPD format, as it is similar to what the Cape Cod Commission would use . It does have a coastal wetland and a historic component . A developer would do a standard grid to come up with an estimate number of lots . Mr . O' Reilly suggests that the Cape Cod Commission would want to use the ratio of open space to developable space of 3 to 1 on this parcel and it would most likely start at 28 lots and then would be paired down by the Commission . This is one thing that will be important to a developer. There would be 50 plus lots coming on the market, they would not sell quickly and would saturate the market . Mr . Reenstierna feels that developers may not be interested in these lots as it is cost prohibitive . Adding that it could take 2 to 3 years to sell parcels on the Route 6A side . Mr . Reenstierna stated that he feels that the appraisals stand due to the number of lots that could be developed , the time it would take to develop, the Cape Cod Commission process, and the recent cost per acreage in Brewster . Selectperson Chaffee asked for a clarification on the acreage of the Bay parcel . Mr . Reenstierna stated that he used the information from the deeds and plans recorded at Barnstable County Registry of Deeds . There is 57 . 7 acres for the pond parcel and 66 acres for the bay parcel . There was some confusion on if the parcel to the right was included in the sale , it is not included in the disposition of the property, this is a private residence . Mr . Lombardi stated that John O' Reilly' s analysis and information would not be mentioned in the Town ' s appraisal report . Selectperson Hoffmann asked if any adjacent properties have rights of way . There is one for the Long Pond property . It was unclear on the Bay parcel . This winter there was a title search which lists the rights of way on the two properties . Mr . Reenstierna does not believe that the rights of way will impact the appraisal to any great degree . At 2 : 20pm John O' Reilly, Mark Robinson , and Mark Reenstierna left the meeting . Town Counsel Shirin Everett advised that if the Town is looking at eminent domain , she suggests obtaining a second appraisal . Unfortunately, that is not likely to occur due to the time constraints of purchasing these properties . A second appraisal would have to be done prior to the actual action of the taking . Selectperson Chatelain asked if the draft offers have any stipulations on having the owners continue to maintain the property . Ms . Everett responded that this type of provision is usually put in a purchase and sale agreement, not in an offer . The offer letter for the purchase of the Long Pond property has a condition on the passage of a debt exclusion . Mr . Lombardi has worked with the Brewster Conservation Trust ( BCT) and the Mass Audubon Society on securing funds for the Long Pond Parcel . Mass Audubon would have some rights for use on a small portion of the property to run programing . There would be a Conservation Restriction held on the property as well . Neither entity is objecting to having affordable housing on the property . The Water Commissioners will also most likely be willing to contribute to the purchase of the Long Pond property . Mr . Lombardi noted that BCT and Mass Audubon were looking to contribute in segments and not all at once . The Board began discussions on the bid amounts that they would like to place . The Board was in agreement that they would use the appraised value for the Bay parcel . There was a question on bidding below the appraisal for the Long Pond parcel as there does not appear to be any other interested parties . Mr. Lombardi stated that in a conversation with Jim Fleet, Mr .
