MINUTES OF THE SELECT BOARD EXECUTIVE SESSION MINUTES
DATE : June 15, 2021
TIME : 2 : 00 PM
PLACE : Brewster Town Hall - 2198 Main Street
PARTICIPANTS : Chair Bingham , Selectperson Whitney, Selectperson Chatelain , Selectperson Chaffee,
Selectperson Hoffmann , Town Administrator Peter Lombardi

Call to Order & Declaration of a Quorum, Meeting Participation Statement and Recording Statement
Chair Bingham called the meeting to order at 2 : 02pm, conducted a roll call vote of attendance, declared a
quorum present, and read the meeting participation and recording statements .
Matters Not Reasonably Anticipated by the Chair :

Selectperson Whitney moved to enter executive session . Selectperson Chaffee second . A roll call vote was
taken . Selectperson Whitney- yes, Selectperson Chatelain - yes, Selectperson Chaffee - yes, Selectperson
Hoffmann -yes, Chair Bingham -yes . The Board vote was 5 -Yes, 0- No .
All remote members recited the following statement " No other person is present or able to hear the
discussion at this remote location . "
Executive Session • To consider the purchase, exchange, lease or value of real property if the chair declares
that an open meeting may have a detrimental effect on negotiating position of the public body .
Mr . Lombardi stated that we now have the final appraisal reports, the appraisal on the Long Pond parcel did
not change and there was an increase to the Bay parcel . Mark Reenstierna reviewed that after evaluating
some comparable properties, he concluded that the values for Bay front single family lots in excess of 10
acres were on the low side . The appraisal amount is now $ 18 . 6M . The acreage per lot for the Bay parcel is
slightly less than the Bonnie Doone acreage . Mr . Reenstierna feels this is a defensible appraisal and it has
been edited very carefully .
There was clarification about lot 46, this lot is included in the $ 18 . 6M appraisal . If this lot were to be
removed from the sale, the Town would reduce their bid amount . Mr . Reenstierna can have an updated
valuation based on just lot 45 by next Tuesday, the Board then could meet to finalize the bid amount by the
23rd and submit the offer by the deadline . Mr . Lombardi confirmed that the exclusion of lot 46 was
confirmed to him by one of our partners who signed the NDA with language that allows them to have

conversation with partners . The acreage is 54 . 92 just for lot 45 . Mr. Reenstierna announced that it would
make an enormous difference in the developability of the property as far as approval not required lots . Lot
46 is listed as 286ft of frontage, this will reduce the availability of at least one lot and may reduce to 5 lots,
he will need to review in more detail . If it is reduced to 5 lots, then these would be larger lots and the price
per lot changes, and the time to sell out the subdivision changes . Mr. Reenstierna will need to review all the
numbers again and look at the analysis for the frontage on both lots .
There will be an additional agreement for the work that Mr. Reenstierna will be completing, the updated
appraisal will be completed by the end of business day on the 22nd . Mr . Reenstierna left the meeting at
2 : 19pm .
Shirin Everett noted that the appraisal is not a public document and that KP Law has an eminent domain
litigation group that can review the appraisal , the Board liked this idea . Ms . Everett recommended that if the
Town is not the successful party, that we move forward with the eminent domain taking sooner rather than
later as it is possible that the Town may owe third - party damages .
The Town has 14 days to call a special Town meeting but would want to have a public information campaign
in the lead up to Town Meeting . Mr . Lombardi noted that we must decide how long we are comfortable
waiting to get a response back from the sellers , this will determine when we move to the next phase and
when to communicate to the public .
The Board discussed the strategy for their public outreach campaign and timeline . Selectpersons Chaffee
and Chatelain will work on a draft strategy including all communication venues, products that need to be
created , including a webpage and support from advocates . Selectperson Chaffee noted that this needs to be
presented to the voters to show the work that has been completed to preserve their rights to make a
decision about the properties . Mr . Lombardi shared that the Board previously had agreed that as long as we
are at the table, we will not be going public, if we do it turns quickly from a negotiated deal to eminent
domain . Adding that once the Town is not in the running, the next day we could make a public
announcement . The Board is concerned that they will not hear back from the sellers in a timely manner .
Mr . Lombardi stated that he is inclined to ask Keen Summit when we can reasonably expect to hear back,
noting that the Town did not sign the NDA, but it is important to us when we can expect to hear back .
Selectperson Chaffee offered 30 days as a reasonable waiting period since they have been so vague on what
the process is . Selectperson Whitney feels that the longer we wait the more risk there is of information
getting out to the public, adding that going public earlier may drive away other bidders .
Mr . Lombardi shared that the Brewster Conservation Trust ( BCT) Trustees have signed the NDA and are now
interested in both parcels . They are not submitting their own bids, but very interested in potentially working
with the Town . We would have to sort out the partnerships as we have a verbal agreement with Mass
Audubon for $ 1M that gives them programming rights , something BCT would also be interested in . Mr .

Lombardi also noted that in speaking with a partner who had spoken directly with Keen Summit, the family is
not a united front and have different interests . The future planned uses or community benefits that the
Town ' s bid offers may be viewed favorably .
The Board continued to discuss their timeline to develop public outreach .
There was discussion with Ms . Everett regarding the offer letter, the Purchase and Sales Agreement and
possible closing date .
It was shared that the Water Commissioners have committed to a minimum of $ 250K and up tc $ 350K for
the Long Pond acquisition . These payments would be spread out over 5 years .
Shirin Everett left the meeting at 3 : 13pm .
The Board will meet next in executive session on Wednesday at 11am and reviewed all upcoming Select
Board meetings .
