BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized and directed to execute an agreement with Cole County, Missouri for provision of communications services. Section 2. The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3. E' ' , ,� � � �',r:'_ Approved: "Im" 411')ZaAZ_� / n Presi ing Officer Mayor ATTEST: APPROVED AS TO FORM: City Clerk City Counselor 3 el 7 a CITY OF JEFFERSON AGREEMENT TO FURNISH JOINT COMMUNICATIONS SERVICES TO COLE COUNTY FOR THE PERIOD JANUARY 1, 2003 THROUGH DECEMBER 31, 2007 THIS AGREEMENT is made by and between the City of Jefferson,Missouri,a Missouri municipal corporation, hereinafter referred to as the "City" and Cole County, hereinafter referred to as the"County." 1. Purpose. The purpose of this document is to establish a mutual understanding of the services to be provided by the City to the County. This agreement is entered into with the approval of the Commission of the County,and the City Council of the City. The services included shall be twenty-four (24) hour per day dispatch for the Sheriff's department and fire departments and districts which are members of the County which are listed In Exhibit A including the answering of calls,radio and tone dispatching,emergency contact information,data processing associated with Computer Aided Dispatching (CAD), and associated communications services. 2. Hiring of Personnel for Services. The County and City mutually agree to the following regarding personnel: A. The City will provide to the County information concerning the names,salaries, and benefits of all employees in the Communications Division upon request. B. The City will station at least two (2) employees of the Communications Console at all times, who will give priority to communications functions while on duty. All decisions concerning individuals employed in the Communications Section shall be the sole responsibility of the City. 3. Training The City shall be responsible for training all employees referenced above. the Joint Communications Operations Advisory Committee set forth in paragraph 10 may recommend contents for inclusion in employee training programs. All costs of the training program shall be paid by the City. 4. Site of Services. All services provided by the City under this agreement shall be deliverad at 401 Monroe,Jefferson City,Missouri by the Jefferson City Police Department. Training may be provided off-site as deemed necessary by the City, 5. Purchase of Eguipment. A. The City through its Purchasing Agent shall facilitate the purchasing, storing, and distribution of all supplies and materials under tine provisions of this agreement. Maintenance of equipment shall be the respomibifily of the title holder except Ihol all items of equipment physically located at 401 Monroe Street shall be maintained by the City with the costs shared according to the formula set out in paragraph 14. 7. Commencement of Services, Basic communications services to be provided under this agreement by employees referenced in paragraph 2A above, shall commence or continue on a county-wide basis as of the date of this ogroernent. 8. Data Ownership All dala entered into the City's Computer Aided h)ispatch (CAD) system for all County member departments will remain the property of the County, the County agrees to poy lhe: City all reasonable costs for the data entries, Upon termination of this agreernesnl, or any extension of this agreement, City agrees to provide file tapes to County at County's cost. City shall have the right to moinfain and keep duplicate copies of all data. 9. Joint Communications Operations Advisory_Committee. A. Purpose, A Joint Communicalions Operations Advisory Cornrriiltee will be formed from representatives of the several County members, including the City of Jefferson, The Joint Communications Operations Advisory Committee will advise the Jefferson City Police Department on call answering and communications procedures for law enforcement and fire communications throughout Cole County, Including response to mutual aid calls into other counties. B. Members_, The Joint Communications Operations Advisory Committee shall consist of the following voting members:a member from the Jefferson City Fire Deparlrrlent, a member of the Jefferson City Police Department, the commander of the Jefferson City Police Department Communications Section, a representative of the Cale County Sheriff's Departn)enl, Iwo(2)representatives of other agencies who agree to terms of the Joint Communications Agreement, one (1) mernber of the legislative body of the City, and one (1) member of the legislative body of Me Coumy: and one (1) ex officio member: the Emergency Management Director. C. Terms and Meetings• The Joint Communications Operations Adviscry Cornmitlee shall meet at least quarterly and its members shall have two (2) year terms which way be renewed by the appointing authority. D. Attendance at Me,Ptin s Required. All persons appointed to the Joint Cornmunicalions Advisory Committee shall attend at least two-thirds (2/3) of the regularly scheduled meetings of the Joint Communications Advisory Committee. Should any member of the Joint Communications Advisory Commission fail to attend two-thirds (2/3) of the meetings occurring in any one (1) year rneasurecl frorn Ihe:time of their appointment,their position on the Joint Communications Advisory Commission shall be deemed vacant and a replacement shall be named as provided. Monitor Performances. The City agrees to make reasonable efforts to follow the Joint Communications Operations Advisory Committee recommendations. 10. Term. A. This agreement shall begin on the 1 st day of,January, 2003,and terminate sixty(60) months thereafter, on December 31,2007, The amount to be paid shall be calculated on an annual basis after the initial twelve (12) months of the term,on a twelve (12) month basis as set out herein. The twelve (12) months basis shall be a January 1 through December 31 period. The County shall, six (6) months prior to the date of termination of this agreement, notify the City, in writing, of its desire to continue joint communications with the City. Should the County holdover beyond the termination date, this agreement shall continue on a month-to-month basis,at a reasonable consideration as determined by the City. During the holdover period, all the terms of the agreemont, except the amount of consideration, shall remain in full force and effect. In ne event shall the holdover period extend beyond twelve (12) months. B. This agreement shall be contingent upon receipt of sufficient tax revenues and appropriations by both the City and the County to cover all the expenses and payments referenced in this agreement. C. Should any amounts due the City for compensation from the County under this agreement remain unpaid for more than sixty (60) days after receipt by the County of appropriate documentation from the City, the City may terminate this contract by giving the County thirty (30) days notice of its intent to terminate. 11. Applicable law. The Laws of the State of Missouri shall govern the validity, performance, and enforcement of this agreement, 12. Addition of Member Departments to .Joint 'Communications. 0 The consideration for services provided to the County by the City may be adjusted,if additional departments or districts contract for communications with the City.Changes in consideration shall be mutually agreed upon by the County and City, at such time as additional communications services are requested. Prior to commencement of any communications services,all necessary information concerning boundaries,covered units, covered incidents, protocols and ofher items needed for operations must be provided the City. 13. Consideration and Payment Schedule. A. In consideration for providing the services enumerated in this agreement,the County shall pay the City its share of the fixed and variable costs as determined by the appiication of a rate of twenty-five percent (25%) applied to the finalized annual budget for the 911 center as set forth in the City's final budget for the each fiscal year. That share for January 1,2003 through December 31, 2003,shall be Two Hundred Sixty Thousand Seven Hundred For!y-Two Dollars and Fifty Cents ($260,742.50) payable in equal monthly installments. C. Both parties agree that future increases may occur which cause the budget to increase. For each year this agreement is in force the amount that may be charged to the County shall not exceed the base amount, Two Hundred Sixty Thousand Seven Hundred Forty-Two Dollars and Fifty Cents ($260,742.50) ,plus a three and one-half percent (3,5%) increase for each year the agreement is extended after December 31, 2003. D. the County shall pay the City upon presentation of appropriate documentation and statements by the City. The County shall pay the City within thirty (30) days after the receipt of the statement and appropriate documentation. All notices required or permit led hereunder and required to be in writing may be given by first class mail. If to City, notice shall be sent to the Police Chief at 401 Monroe, Jefferson City, Missouri 65101 and to the City Counselor at 320 East McCarty,Jefferson City,Missouri 65101. If to the County,notice shall be sent to the Cole County Commission at the Cale County Courthouse, Jefferson City, Missouri 65101, and to the Cole County Prosecutor at the Cole County Courthouse, Jefferson City, Missouri 65101. The date of delivery of any notice shall by the date falling on the second full day after the day of its mailing. 15. Agreement Binding. This agreement is to be binding on the successors and assigns of the parties hereto and Is not to be assigned by either party without first obtaining the written consent of the other. 16. Termination. This Agreement may be terminated by either party upon one hundred and eighty (100) days written notice to the other by certified U.S. mail, return receipt requested.
