(hereinafter"Company"). a W ITN ES SETH: p WHEREAS, the City has applied to the Missouri Highway and Transportation Commission (hereinafter "Commission") �Y•JA irf�rr}n�}f��:{��t;i,;..il for grant of funds made available to Commission under Section 5311 Operating Assistance sr11 �FT``ryj;i: I'; Grant Program as amended, and the Commission has awarded funds available pursuant to said Act to the1 City's application for Section 5311 assistance. WHEREAS,Company has indicated a willingness to operate an inter-city bus set-vice on a route from Columbia to Springfield, and WHEREAS, the City is desirous of maintaining bus service for its citizens and the surrounding area t ,kx St51 and believes that such service is vital to continued economic viability of the City and important to growth factors. yttt°" (` A V�✓. lA NOW THEREFORE, in consideration of the mutual covenants,promises, and.representative herein, ;n the parties hereto agree as follows: k °'K�tt r Y Qrr ttrrQ,. iY�flnff; t�t,':,�Nf'. 1. Purpose and Source of Fund: The purpose of this agreement is to assist the Company in financing operating losses which are eligible for financial assistance. a %j ( r' ' .: 2. Scope of Work and Budget: The Company will provide inter-city bus service between Springfield, Missouri and Columbia, Missouri, The schedule will consist of at least one bus in the �::•� morning and one bus in the evening stopping at cities along the route including the City of Jefferson. It is anticipated 11,000 annual one-way trips will be provided during the project period. In return for such inter- r ?i l� city services the City will lease(by separate agreement)the Jefferson City Bus Station to the Company and the rent will be waived($1,000.00 per month)and used as soft match to the Section 5311 grant for the project period. 3. Audit of Records: The City will notify the Company if an audit will be required. 'The � ,. ....�,.� ?} Company must maintain all records relating to this contract, including but not limited to invoices, payrolls, etc. These records must be available at no charge at all reasonable times to the City and/or its designees during the contract period and any extension thereof, and for three(3) years from the date of final payment. rY `e�intt:��a�F`ti}`•• ' 4. Project Time Period: The project period shall be from November 1, 2001 to October ? ; ' : ;, t 31, 2002. r „ 5. Loss Reimbursement_The City shall reimburse Company on a monthly basis for 50%of any actual cash losses up to the annual rent amount ($12,000.00) of the Jefferson City Bus Station incurred in providing inter-city bus service as set out herein subject to the terms and conditions of this contract. The i"} Company shall present monthly cash flow reports during the project period on a form to be prescribed by City which clearly states any requests for loss reimbursement. Amendments: Any change in the agreement,whether by modification and/or supplementation, must be accomplished by a formal amendment signed and approved by the duly authorized representatives of the Company and the City. 7• Indemnificatloll: The Company shall be responsible for any and all injury or damages as a ` ) result of any services and/or goods tendered under the terms and conditions of the agreement. In addition to the liability imposed upon the Company on the account of personal injury,bodily injury(including death)or property damaged suffered as a result of the Company's perf ormance under the Agreement, the Company '^,,;.^l,t , •:? assumes the obligation to save the City, including its agents, employees and assigns, harmless and to indemnify the City, including it's agents, employees and assitms from every expense, liability or payment arising out of such negligent act. The Company also agrees to hold the City including,its agents, employeest^' �r �?s ' and assigns, harmless from any negligent act or omission committed by any subcontractor other than. the x'MF {� ,.!' - '- person employed by or under the supervision of the Company for the terms of the agreement. �," r;'• 8. Cancellation_ The City may cancel the contract at any time for a material breach of r'J tL,^'t• ntractual obligations by providing the Company with a written notice of such cancellation. Should the City co i< 7�7t exercise its right to cancel the contract for such reasons, cancellation will become effective upon the date specified in the notice of cancellation sent to the Company. 9. Dis utes: Any dispute of facts regarding the Company's carrying out of the project, ', •J`. ,;.�•r, A't •, or the City's financial participation, which might arise as a result of this a Bement shall be decided U the City. 10.
