HIS CONTRACT, made and entered into this of January, 2002, by and between the City of
Jefferson,a municipal corporation of the State of Missouri,with offices at 320 E.McCarty Street,Jefferson
City, Missouri, 65101, hereinafter referred to as the "City", and Sanborn d/b/a Walker& Associates, Inc.,

THAT WHEREAS,the City desires to engage the Consultant to provide Aerial photography and mapping
update professional services; and

set forth in connection with the project described in Exhibit A.

4. Compensation_ { �}

The City agrees to pay the Consultant in accordance with the terms set forth in Exhibit A
which shall constitute complete compensation for all services to be rendered under this
Contract. The final payment will be subject to receipt of a requisition for payment and a ra t Y
statement of services rendered certifying that the Consultant fully performed all work to be � t
paid for in such progress payments in conformance with the Contract. It is expressly :tt _,.;':.:,
understood that in no event will the total compensation and reimbursement to be paid the
Consultant under the terms of this Contract exceed the sum of one hundred ninety-five ��t,M;ra

specifically and mutually agreed to in writing by both the City and the Consultant. Such

5. Failure to Perform, Cancellation.
f If, through any cause, the Consultant shall fail to fulfill in a timely and proper mamier its
obligations under this Contract, or if the Consultant shall violate any of the covenants,
agreements, or stipulations of this Contract, the City shall thereupon have the right to
terminate this Contract by giving written notice to the Consultant of such termination and 'i{f
specifying the effective date thereof, at least five (5) days before the effective day of suchx,.:,. �-.'-
termination. The Consultant or the City may terminate this Contract upon thirty(30) days ,+ {,
prior written notice.

The Consultant shall not assign any interest in this Contract and shall not transfer any
interest in the same. (whether by assignment or novation), without prior written consent of
the City thereto. Any such assignment is expressly subject to all rights and remedies of the
City under this Contract, including the right to change or delete activities from the Contract
or to terminate the same as provided herein, and no such assignment shall require the City
to give any notice to any such assignee of any actions which the City may take under this
' ., Contract, though the City will attempt to so notify any such assignee.

3.) )Fee-Upon the execution of this Agreement,Sanborn agrees to credit to City
ten dollars ($10.00) per acre when said digital mapping data has been sold to a third
party. All other fees charged to a third party for the job initiation, copy, translation,
handling, shipping or other value added services will belon g exclusively to Sanborn,
A current copy of any fee schedule utilized by Sanborn will be maintained at the City.
Each sale/transaction will be documented and transmitted to City via fax and written
authorization to distribute said Digital Mapping Data will be transmitted back to

be credited to the City. Sanborn will generate an annual report on the anniversary date
of this agreement and any money owing to either party shall be paid within thirty(30)

4.) Limitation of Liability- In no event shall Sanborn be liable to City or other
third party for loss of profit or other economic loss, direct, special, consequential or
other similar damages, arising out of any breach of this Agreement, or any obligations

Sanborn has been advised of the probability of such claim. Sanborn shall not be liable
for any damages caused by delay in delivery of or furnishing of the Digital Mapping
Data under this Agreement nor shall Sanborn be liable for any damages caused by or
arising out of data translations or misuse by the City or other third parties. If Sanborn
should incur any liability under this Agreement relating to any of the Digital Mapping

7.) Sunshine Law - The parties acknowledge that software and procedures
associated with the Digital Mapping Data provided by Sanborn to City relate to
scientific and technological innovations in which Sanborn has a proprietary interest. ;;;,:;
