CITY OF JEFFERSON ;f AMENDMENT TO SERVICE AGREEMENT WHEREAS, the City of Jefferson, Missouri, a municipal corporation, hereinafter designated "City,” with offices : at 320 East McCarty Street,Jefferson City, Missouri, 65101, entered into an Agreement with Cannon Cochran Management Services, Inc., a Delaware corporation,with offices in Missouri at 133 South Eleventh Street,Suite 430,St.Louis,Missouri,63102,hereinafter referred to as”CCMSI,"on June 19,2001,and amended June 19,2002. WHEREAS,the Agreement was forappointment of CCMSI as the Third Party Administrator of the City's workers' compensation self-insurance program; and WHEREAS, both parties wish to renew the Agreement for a one (1) year period. NOW,THEREFORE, be it agreed as follows: ? ;' A. Paragraph H(1) of the Agreement executed June 19, 2001 is hereby amended to read as follows: 1. Term of Agreement. Unless earlier terminated as provided hereunder, this Agreement shall be for a term of one (1) year beginning on July 1,966?2003, and terminating on June 30, 9663 2004, and will automatically renew for successive one (1) year terms for a total of five (5) one year renewal terms. The parties agree to negotiate in good faith the service fee schedule on an annual ' rl•n t} i basis. Services Following Termination of A reernent. Should this Agreement be ten-ninatcd or non-renewed for any reason other than bankruptcy/insolvency of the Client,CCMSI will cease providing services,turn over to the Client all Client files, which shall include loss control records, reports, surveys, and correspondence,underwriting surveys and premium calculations,reinsurance and excess insurance files, all active and closed claim files, Client files, and readable form copies of all regulatory filings. Upon the Client's request and subject to agreement by CCMSI, CCMSI will be paid a reasonable negotiated fee to: '®r", ��i (a) Provide continued administration of the open claim files; (b) Cooperate with any successor administrator in the orderly transfer of all functions; (c) Provide magnetic media transfer of data, if such is feasible. R) In the event of bankruptcy/insolvency of the Client, or cessation of the self- :1 w insured authority, CCMSI will continue to handle all claims to conclusion and agree to cooperate with the Missouri Self-insurers Guaranty fund, as requested, for a reasonably negotiated fee. Termination Fee. If the Client terminates this Agreement at any time prior to the end of any one (1) year terni for any reason other than those set forth g 1211�'11��1", in Section 14.2.,the Client will pay CCMSI a single termination fee equal to ten percent(10%)of CCMSI's projected annual fee. In such event,payment of the termination fee will be within thirty(30) days after termination. R. 6�, 1. SERVICE FEE PAYMENTS. The Client shall pay to CCMSI a service fee as 32 outlined in the Fee and Payment Schedule, attached hereto as Exhibit D. J. RELATIONSHIP OF PARTIES.
