agreement with Parsons& Brinckerhoff for Professional Services for improvements to thei

Section 2. The agreement shall be substantially the same in form and content

THIS CONTRACT, made and entered into this c�ay of Qe,e-ite__, 2001, by and between t.11e City of
Jefferson,a municipal corporation of the State of Missouri,with o es at 320 East McCarty Street,Jefferson,City,
Missouri, 651.01, hereinafter referred to as the "City," and Parsons, Brinckerhoff, Quade & Douglas, Inc.,
"Consultant", with offices at 1831 Chestnut Street, St. Louis, Missouri, 63103-2225, hereinafter referred to as
"Consultant."

conditions, and production of a design plan for the Central Business District Improvements; and
THAT WHEREAS,Consultant has matte certain representations and statements to the City with respect to the
provision of such services and the City has accepted said proposal to enter into a contract with the Consultant for

j the performance of services by the Consultant.
NOW THEREFORE, for the considerations herein expressed, it is agreed by and between the City and the
Consultant as follows:

The City agrees to engrage the services of the Consultant to perform the services hereinafter set forth in connection
with the project described in Exhibit A.
2. Additions or el tion

The City nray add to consultant services or delete therefrom activities of a similar nature to those set out above,
provided that the total cost of such work does not exceed the total cost allowance as specified in paragraph 4 hereof.
For any adjustment for services or activities all equitable adjustment shall he made.'Phe Consultant shall undertake
such changed activities only upon the direction of the City. All such directives and changes shall be in written formt�asl
and approver]by the City Administrator and shall be accepted and countersigned by the Consultant or its agreed

The Consultant will perform any additional work requested by the City which is not specifically covered in the scope
of work as defined herein at a reasonable fee or compensation to be agreed to between the City and the Consultant �,,•,i r'i :>;a`:T'

3. Term of Contract.
This Contract shall remain in force from the date of execution until at work is completed or October 31, 2002,
whichever is later. {i
4. Compensation.
The City agrees to pay the Consultant in accordance with the terms set forth in Exhibit A which shall constitute complete
compensation for all services to be rendered under this contract. The final payment will be subject to receipt of a requisition � ,�� :'
for payment and a statement of services rendered certifying that the Consultant fully performed all work to be paid for in such
progress payments in conformance with the contract. It is expressly understood that in no event will the total compensation and
reimbursement to be paid to the Consultant under the terms of this contract exceed the sum of Two Hundred Twenty-Three
Thousand Six Hundred Fort Six Dollars $223,646.00)for all services required unless specifically and mutually agreed to in :t' �� t�,7
writing by both the City and Consultant. Such compensation will be paid in progress payments,as specified in Exhibit A,except
* ten percent(10`:x)shall be withheld from each phase until it is satisfactorily completed and the finished product for that phase

5. Failure to Perform Cancellation.
If, through any cause, the Consultant shall fail to fulfill in timely and proper manner its oblifaitions under this
Contract,or if the Consultant shall violate fitly of the covenants,agr•eenuents,or stipulations of this Contr£ut,the City

The Consultant shall not assign tiny interest.in this Contract,find shall not transfer any interest in the same(whether
by assigliment or novation), without prior written consent of the City thereto. Any such assignment is cxpl•essly
subject to all righl.s and renledles of the City under this Contract,ineludingthe right to change or delete activities front
the Contractor to terminate the same as provided herein,and no such assignment shall require lilt City to rive,ally

8. Nondiscrimination,
The Consultant agrees in the performance of the Contract not to discriminate on the grounds or because of race,
creed,color,national origin or ancestry, sex, religion,handicap,age or political affiliation.

t� The Consultant is an independent contractor and nothing contained herein shall constitute or designate the

pay tiny company or person,other than a bona fide employee working solely for the Consultant,any fee commission
percentage,brokertigc,ice,,gifts,or any other consideration,contingent upon or resulting from the award or making
of this Contract. For breach or violation of this warranty,the City shall have the rig)lt to annul this Contract without
liability,or,in its discretion,to deduct from the Contract price or consideration,or otherwise recover the full amount

The City desires to renovate the streetscape within the High Street right of way between Jefferson Street and Adams
Street and within the Madison Street right of way between High Street and Capitol Avenue. The renovation of these

would to go beyond the right of way line of High or Madison Streets. Renovation to the sidewalk will wherever possible
provide for ADA accessibility to the edge of the public right of way.

The Consultant will conduct an analysis of the existing site including the condition of the pedestrian surfaces principally

Bidding documents for final approval by the City,
The Consultant will also provide assistance at the pre-bid meeting and provide assistance in the preparation of addenda or
