1. Scope of Services.
The City agrees to engage the services of the Contractor to perform the services set
( out below in connection with the provision of two compost operation and yar dwaste ,.;rr,,,;:;;}z:,,; f
drop-off sites. The Contractor shall operate two drop-off sites located at 2606 West

Edgewood Drive and 2229 Christy Drive, Jefferson City, Missouri, as shown on
Attachment A and shall be solely responsible for the operation of said site and the
proper disposal of all materials brought to said site.
2. Additional Services.

r, The City may add to services activities of a similar nature. The Contractor shall
undertake such changed activities only upon the direction of the City. All such
directives and changes shall be in written form and approved by the Director of

Contractor or its agreed representatives.

This contract shall be for the period beginning on or about November 1, 2001, and
terminating on or about October 31 2006 provided that the City shall have the right

employed by them, as Contractor is for the acts and omissions of persons it directly
employs. Contractor shall cause appropriate provisions to be inserted in all

this contract shall create any contractual relations between any subcontractor and the

6. Termination for Cause.
The City reserves the right to terminate this contract by giving at least five (5) days
prior written notice to the Contractor, without prejudice to any other rights or
remedies of the City should the Contractor be adjudged a bankrupt, or if Contractor
should make a general assignment for the benefit of its creditors, or if a receiver
should be appointed for Contractor or for any of its property, or if Contractor should
persistently or repeatedly refuse or fail to supply enough properly skilled workmen or
proper material, oi-if Contractor should refuse or fail to make prompt payment to any
' person supplying labor or materials for the work under the contract, or persistently
disregard instructions of the City or fail to observe or perform an provisions of the '<

Compost sites are to be located at 2606 West Edgewood Drive and 2229 Christy Drive,

13. Waste Guarantee and Acceptable Waste.
Acceptable waste includes tree limbs 8 in diameter and smaller, cut into four foot
lengths, grass clippings, leaves and wood chips. Contractor shall accept flocked
Christmas trees at no additional charge. Contractor shall accept 25 dump truck loads :.t!ffi N�f,4:

14. Unusual Weather Event Or Storm Clause.

20. Cancellation Due to Unavailability of Funds In Succeeding Fiscal Periods.
When funds are not appropriated by the City Council or otherwise made available to

operation in all respects and will determine the method, means and manner of

The Contractor shall not assign any interest in this contract,and shall not transfer any

CITY OF JEFFERSON
EXTENSION OF
COMPOST OPERA TION AND SERVICE CONTRACT
WHEREAS,the City of Jefferson,Missouri,a municipal corporation,hereinafter designated"City,"entered into a
Contract with Twehous Excavating Company,Inc.,hereinafter referred to as"Contractor,"on August 9,2001;
WHEREAS,the Contract was for compost operations;and
WHEREAS,the parties wish to extend the Contract for a six (6)month period.
NOW, THEREFORE,be it agreed as follows:
A. Paragraph 3 of the Contract dated August 9,2001,is amended as follows:
3. Term
This contract shall be for the period beginning on or about November 1,2001,and terminating on
or about October 31,2006,March 15,2007,provided that the City shall have the right to cancel at
any time upon given one hundred twenty(120)days notice.
B. Paragraph 10 of the Contract dated August 9,2001,is amended as follows:
10. Compensation
The City agrees to pay the Contractor for services rendered under this contract:
1"Year - $100,000.00
2"d Year - $104,000.00
3rd Year - $108,000.00
4''Year - $112,000.00
5"'Year - $117,000.00
November 12006-March 15,2007 - $ 46,068.75
Said monthly charge to cover unlimited amounts of material per month with no annual maximum. Payment
shall be made on a monthly basis in arrears following submission of an invoice by Contractor.
C. Paragraph 11 of the Contract dated August 9,2001,is amended as follows:
11. Charges to Users.
Contractor shall charge all-non-residents of the City and commercial operators regardless of their
location the following fees:
