MISSOURI, TO CONDUCT THE BUSINESS OF INSTALLING, MAINTAINING, MANAGING
AND OPERATING A COMMUNICATIONS SYSTEM WITH ALL NECESSARY POLES, WIRE,
CABLES, CONDUIT, FIXTURES AND APPARATUS. ;
The United Telephone Company OfMissuuri d/b/a Sprint("Grantee"),a corporation organized '
under the laws of the State of Missouri and authorized to do business in the State of Missouri, its
successors and assigns, is hereby granted the right, in operating a telephone system, to construct and
maintain all the necessary poles, wires, cables, pole and wire fixtures, communications plant and
apparatus whatsoever nature, for the purpose of conducting such business, to erect and maintain such
poles, and string the same with wire and cable along the streets avenues,boulevards alleys and other
public places of the City of Jefferson ("City"), and to construct or lay and maintain such conduits as
Grantee,its successors and assigns,may require,under the streets avenues,boulevards alleys and other t, ' G �}4`,•

4. The poles of the Grantee, its successors and assigns, shall be placed and erected in such a
manner as not unreasonably to interfere with the orderly conduct of the business and the rights of any ';
other public service corporation having a right or franchise to operate its business in the City.

installed or erected pursuant to this agreement shall be so located on streets, alleys, avenues, bridges
and other public places under such supervision as said City may from time to time provide so as not toM�
unnecessarily damage any pavements,sidewalks,drains,sewers,or other like improvements. If damage
occurs,Grantee shall restore the damaged pavements,sidewalks,drains,sewers,waterpipes,and other
public places to the same condition prior to the disruption. All necessary work shall be done with due
and reasonable dispatch and with the least practicable interference with the rights of the public. The
City may refill,repave,and restore said streets,alleys,and public ways in case of neglect of the Grantee. µ;Vi
The cost thereof, including the costs of inspection and supervision, shall be borne by the Grantee.
6. When any street, avenue, alley,bridge, or public place,upon which and in which any poles,
services,or other equipment of Grantee have been placed,shall be graded,curbed,paved,or otherwise
changed so as to make the resetting or reconstruction of such poles or the relocation of such services
' necessary,the Grantee,its successors and assigns,shall make such necessary change in construction at 4
;., the Grantee's cost;provided,that before Grantee installs an plant or other equipment hereunder,it shall

first apply to the City Council for the establishment of permanent grades,curb lines and sidewalk lines

install such poles, services and other equipment in accordance with such permanent grades and lines 4 ,�7,��s, ,;4
upon such application, which shall not be changed except upon reasonable and substantial need.
Grantee shall not be required to install permanent fixtures,poles,and other equipment until such gr ades

7. All work of locating and erecting poles or placing,underground conduit under and by virtue
of this agreement shall be done in cooperation with the Mayor, or some other authorized City official.

8. The Grantee shall hold the City free and harmless from all damages arising by reason of any
abuse or negligence in this occupancy, for the °a ent of which the Cis ma have become liable to ��� ;
,;.• any person, persons or corporations, by reason of the granting of this agreement or by reason of the
1 construction or operation of Grantee's communications system, or reason of the Grantee failing to

conform or comply with any of the provisions or requirements of this agreement.

`<<r. 9. During the term of the franchise right permission, and authority granted by this agreement,
Grantee shall cooperate with the City and other utilities in an effort to conform to the City's goal of
;.; undergrounding all utility facilities in the downtown area. For the purposes of this section, the .M
definition of downtown area shall be that area bounded on the north by the Missouri River,on the east
by Jackson Street,on the south by the Rex M.Whitton Expressway,and on the west by Mulberry Street. n
Grantee shall file with City within six months its plans for construction activity in the downtown area

for the next five years and shall file annual updates to such plans.

10. The Grantee shall remove, raise or adjust its aerial plant after forty-eight(48)hours notice
by the Mayor of the City,or another properly authorized City official,for the purpose of permitting the
moving of houses,or other structures,along the streets of said City;however,the person or persons for
.4' whose benefit such communications plant is removed, raised or adjusted, shall first secure proper
permission from said City for the moving and agree to pay the Grantee for its related costs and damages. {'
' If desired, an advance deposit by the mover may be required by the Grantee. ; ' '
11. Permission is hereby granted to the Grantee to trim trees upon and overhanging streets, hot alleys, sidewalks, and public places ofthe City so as to prevent the branches of such trees from coming
in contact with the wires and cables of the Grantee, all such trimming to be done with the approval of
<< any City official to whom said duties have been or may be delegated and according to ANSI-300.
12. Inconsideration for the continuation of the right,,,and privileges herein granted,the Grantee"

' ? shall pay the City according to the provisions set out in Article XI Chapter 17, of the Code of the City

of Jefferson,effective September 1,2001. Grantee shall also be bound by any other license fee required
b City ordinance for Grantee's type of operation. For purposes of this agreement, "local service f}�'`*n4'
..:. .j revenues shall include all revenues received by Grantee for the provision of basic local exchange
telecommunications service, including those services which expand the basic local calling scope of the
customer or subscriber, but shall not include charges for special services, long distance calls access
charges or services not considered basic local exchange telecommunications service. The City further
>, agrees that to the extent allowed by Missouri law, the Grantee may pass through and collect this r ,1 nt•.< 3,
payment arnount from its customers.
13. Grantee shall notify the City at least annually of any entities,which as a result of contracts ''

14. Beginning two years after the date of this grant, and at the close of each second year of the
agreement, the City shall review the percent of local service revenues and establish the percent to be
collected for the following two-year period. City agrees that it will notify Grantee at least sixty(60)

F 18. Grantee shall be subject to all ordinances passed by the City.

19. City retains the right to regulate public rights-of-way and Grantee shall be bound by all
