BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to execute

3.0 1COORDINATION OF WORK
3.1 Representative of Midstatc. The Manager of Midstate Waste is hereby designated as
being, the principal and representative of Midstate authorized to act in its behalf with respect to the work and
services specified herein and make all decisions in connection therewith. :',
3.2 Contract Officer. The City Administrator is hereby designated as being the �5 !t '`'':;d
' representative the City authorized to act in its behalf with respect to the work and services specified herein and
t„ make all decisions in connection therewith("Contract Officer"). The City Administrator shall have the right to
designate another Contract Officer by providing written notice to Midstate.
3.3 Prohibition Against Subcoutractuig_orAssigmment. Midstate shall not contract with any
f entity to perform in whole or in part the work or services required hereunder without the express written approval
of the City. Neither this Agreement nor any interest .herein may be assigned or transferred, voluntarily or by
operation of law,without the prior written approval of City. Any such prohibited assignment or transfer shalt be

required herein, except as otherwise set forth. Midstate shall perform all services required herein as an
independent contractor of City and shall remain under only such obligations as are consistent with that role.

Midstate shall not at any time or in any manner represent that it or any of its agents or employees are agents or
employees of City. ;
3.5 Indemnification. To the fullest extent permitted by law,the Midstate shall indemnify,
t defend and hold harmless the City,its elected and appointed officials,employees,and agents, from and against

all claims,damages,and expenses, including but not limited to attorneys' fees arising out or resulting from the ` �,k�,ice'" ;;.;�'„�
performance of the Work,provided that any such claim, damage, loss or expense attributable to bodily injury, n4�4
sickness,disease or death or to injury to or destruction of tangible property(other than the Work itself)including
the loss of use resulting therefrom and is caused in whole or in part by any negligent act or omission of the
Midstate,any Subcontractor,anyone directly or indirectly employed by any of them or anyone for those acts any
of them may be liable,regardless of whether or not it is caused in part by a party indemnified hereunder. Such ti
obligation shall not be construed to negate, abridge, or otherwise reduce any other right or obligation of
indennnit f which would otherwise exist as to an art or person described in this Paragraph.

4.1 Tenn. This contract shall be in effect from September 1, 2001, through August 31,
i 2002. With the consent of both parties,the contract may be extended on an annual basis for five (5)additional
one(1)year periods.
4.2 Termination Prior to Expiration of Term. Either party may terminate this Agreement
`} at any time,with or without cause,upon thirty(30)days'written notice to the other party. Upon receipt of the
notice of termination, the Midstate shall immediately cease all work or services hereunder except as may be
specifically approved b the Contract Officer. In the event of termination b the City,Midstate shall be entitled

h to compensation for all services rendered prior to the effectiveness of the notice of termination and for such
additional services specifically authorized by the Contract Officer and City shall be entitled to reimbursement for
any compensation paid in excess of the services rendered. ,

5.0 MISCELLANEOUS

5.1 Non-liability of Cit Ofiicers and Enmloyccs. No officer or employee of the City shall
be personally liable to Midstatc,or any successor in interest, in the event of any default or breach by the City or 1,

5,2 Conflict of Interest. No officer or employee of the City shall have any financial interest,
