FOLLOWS:
Section '1. The Mayor and City Clerk are hereby authorized and directed to execute
an agreement with Sho-Me Coach Lines, Inc. for Inter-City Bus Route.
Section 2. The agreement shall be substantially the same in form and content as
that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date
of its passage and approval.

WHEREAS, the City has applied to the Missouri Highway and 'Transportation Commission (hereinafter
Commission ) for grant of funds made,available to Commission under Section 5311 Oper ating Assistance t;�,> I'
Grant Program as amended, and the Commission has awarded funds available pursuant to said Act to the
7 City's application for Section 5311 assistance.
WHEREAS,Company has indicated a willingness to operate an inter-city bus service on a route from
Columbia to Springfield; and `;=`'i'�`t �'

urpose of this agreement is to assist the Company
1. Purpose and Source of Fund: The p ,
in financing operating, losses which are eligible for fi nancial assistance.
><°<• 2. Scope of Work and Budget: The Company will provide inter-city bus service„ r

between Springfield, Missouri and Columbia, Missouri. The schedule will consist of at least one bus in the

morning and one bus in the evening stopping at cities along the route including the City of Jefferson. It is
anticipated 11,000 annual one-way trips will be provided during the project period. In return for such inter- ;;;;,

city services, the City will lease(by separate ag,�reement) the Jefferson City Bus Station to the Company and �e, ;
the rent will be waived(S 1,000.00 per month)and used as soft match to the Section 5311 grant for the projectiT'

3. Audit of Records: The City will notify the Company if an audit will be required. The

Company must maintain all records relating to this contract, including but not limited to invoices, payrolls,
etc. These records must be available at no charge at all reasonable times to the City and/or its designees

during the contract peri od and any extension thereof, and for three (3) years from the date of final payment. ,.,;A4r fy, 4. Protect Time Period: The project period shall be from November 1, 2000 to October

5. Loss Reimbursement: The City shall reimburse Company on a monthly basis for 50%of any x '

6. Amendments: Any change in the agreement,whether by modification and/or supplementation,
must be accomplished by a fonnal amendment signed and approved by the duly authorized representatives '
of the Company and the City.
7> Indemnification: The Company shall be responsible for any and all injury or damages as a .. .

t' result of any services and/or goods rendered under the terns and conditions of the agreement. In addition to
the liability impaled upon the Company on the account of personal injury,bodily injury(including death)or ���_•,�'G;4�Y� r.d

assumes the obligation to save the City, including its agents, employees and assigns, harmless and to >y '
indemnify the City, including its agents, employees and assigns from every expense, liability or paymentYra,s
arising out of such negligent act. The Company also agrees to hold the City including, its agents,employees "I
; k and assigns, harmless from any negligent act or omission committed by any subcontractor other than the
person employed by or under the supervision of the Company for the terms of the agreement.

kA;y 8. Cancellation: The City may cancel the contract at any time for a material breach of ', i^
contractual obligations by providing the Company with a written notice of such cancellation. Should the City
exercise its right to cancel the contract for such reasons, cancellation will become effective upon the date 3.•.x'';:

9. Disputes: Any dispute of facts regarding the Company's carrying out of the project,
or the City's financial participation, which might arise as a result of this agreement shall be decided by the

10. Nondiscrimination Assurance: Regarding work under this agreement, the ���-• �; ;t

tr• A. Civil Rights Statutes: The Company shall comply with all state and federal statutes

relating to nondiscrimination,including but not limited to Title VI and Title VII of the 4 '
''r> Civil Rights Act of 1964, as amended (42 U.S.C. 2000 d,e).
B. State Nondiscrimination Clause: The Company shall comply with the provisions of
? ' Executive Order No. 82-27. This order prohibits discriminatory employment practices
by Company or its subcontractors based on race color,religion,creed national origin,

ancestry, sex, or veteran or handicap status.

the U.S. Department of Transportation relative to nondiscrimination in federally-

lr E. Solicitations for Subcontractors, Including Procurement of Material and Equipment:
These assurances concerning nondiscrimination also apply to subcontractors and
suppliers of the Company. ,
In all solicitations either by competitive bidding or negotiation made by the Company
for work to be performed under a subcontract including procurement of materials aril
equipment, each potential subcontractor or supplier shall be notified by the Company ,;
of the requirements of this agreement relative to nondiscrimination on grounds of then

F. Information and Reports: The Company shall provide all information and reports

required by the contract or orders and instructions issued pursuant thereto and will
pennit access to its books, records, accounts, other sources of information, and its
facilities as may be detennined by the City or the U.S. Department of Transportation,
to be pertinent to ascertain compliance with other contracts, orders and instructions.

nondiscrimination provisions of this contract, the City shall impose such contract �

limited to: 1 withholding of payments to the Company under the contract until the

in whole or in part.

Commission pursuant thereto. The Company will take such action with respect to any

enforcing such provisions,including sanctions for noncompliance;provided,however,

' with a subcontractor or supplier as a result of such direction,the Company may requesti
the City to intervene in such litigation to protect the interests of the City, and in
