BE IT ENACTED BY THE COUNCIL. OF THE CITY OF JEFFERSON, MISSOURI, AS
Section 1. The Mayor and City Clerk are hereby authorized and directed to execute

Contract Program. The document include a Cast sharing Agreement with the FAA,

Section 2_ The agreements shall be substantially the same in form and content

Section 3. This Ordinance shall be in full force and effect from and after the date
of its passage and approval. :

between Jefferson City Memorial Airport (Airport Authority) and the Federal Aviation
Administration (FAA).

The Airport Authority wishes to participate in the FAA's Federal Contract Tower ; :.-' ;
Cost Sharing Program (the "Program"), and
The FAA has performed a benefit/cost study relating to the feasibility of placing
air traffic control services at Jefferson City Memorial Airport. (JEF) an airport operated try
`.� and Controlled by the Airport Authority, and
The FAA and the Airport Authority have agreed that, as a result of the outcome of =1
the benefit/cost study, the Airport Authority is eligible to participate in the Program and
The Airport Authority has entered into a agreement (the Service Agreement)with
Midwest Air Traffic Services,Inc. (Contractor), whereby among other things, the Airport
Authority agreed to pay the Contractor$1494.00 per month for air traffic services at said '�a??:j :`
airport, all as more fully described in the said agreement.

Pursuant to the authority granted in 49 U.S.C. 106(1) and the Department of ; ,'14•�r,. y'`-
Transportation Appropriations Act for Fiscal Year 1999, and in consideration of the
terms conditions and covenants set forth herein,it is mutually agreed as follows; ;t::;rhra s,,, f...<:•..`�
a) The Airport Authority shall promptly and timely satisfy its obligations v rri y, tr1;'
under the Service Agreement, including the payments described above. The 'u
parties further agree the terms and conditions of the parties' cost sharin g
allocations and payments are effective 1" day of Oc ober.
f•' b) Upon notification, by any means, that the Airport Authority is in arrears
on its payments to the Contractor, the FAA will begin to remove all air traffic
control services at the subject airport. Upon such removal, the Airport Authority
` will not be eligible for further participation in the Program. The continued
operation of air traffic control services by the Contractor at the airport, after
notification of arreara a to the FAA, shall not be construed as a waiver by the
FAA of any of its rights under this agreement.
t> c) The Airport Authority shall reimburse the FAA, including interest
calculated as per FAAMS Clause 3.3.1-9 (April, 1996), for all sums paid by the

d) The parties agree that if the Federal Contract Tower benefit/cost analysis
demonstrates a change in the applicable benefit-to-cost ratio, the parties may
renegotiate this agreement.
e) Execution of this Agreement does not constitute a commitment by the
FAA to provide air traffic control services, via contract or otherwise, to said
airport. This Agreement is subject to the laws and regulations of the United
States, as are in force and effect now, or as may be in the future.

t THIS AGREEMENT made this 22"d day of November, 2002, by and between Jefferson City

_.r Memorial Airport (hereinafter referred to as "Airport") , Inc., a and Midwest ATC Service,
corporation with its principal place of business in Kansas and authorized to conduct business in
the State of Missouri (hereinafter referred to as "Company").
3 WHEREAS, Company will operate the control tower at the Jefferson City Memorial Airport under ti'•' t • t,'Y:` ;:

WHEREAS, Airport, in carrying out its agreement with the FAA to fund a portion of the air traffic Al��yriMf� tt

control services under the FAA's Cost Share Program, desires to enter into an agreement with
Company to ensure full funding of operations of the control tower at the Jefferson City Memorial
Airport; and
WHEREAS,Company is willing to enter into such an agreement; } y5F t'
• Now, Therefore, in the consideration of the terms, conditions and covenants set forth herein, it is1
mutually agreed as follows:
1. Term: The term of this agreement shall be from October 1, 2002 through September

30, 2003.
2. Services: Company shall provide air traffic control services at Jefferson City
Memorial Airport ass specified in its agreement with the FAA.
3. Payment: In accordance with its cost-sharing agreement with the FAA, Airport shall ;1� , z�6�i ,¢,,,•.,,
pay Company $1,494.00 per month. (This figure is based upon the airport's portion of
our FY 2003 monthly price of$24,896.00. The airport's portion has been based upon
j the most recent Benefit Cost information for the airport of .94, making the airports
r obligation 6%). This amount may be adjusted annually and from time to time, as
approved by the FAA, to cover increases or decreases in Company's approvedi,
operating costs including, but not limited to, its labor costs. The FCT Contract .,:I}�,,.,
contains a 3.3% wage escalation of the first year wage rate annually, or a revised
Wage Determination, whichever is the greater of the two. Company shall endeavor to
provide to the Airport as much advance notice as possible when adjustments to costs
are expected. Company shall invoice Airport on a monthly basis. Invoices shall bef� s ;;r;'{i ' u.

usiness in Kansas and authorized to conduct business in the State of Missouri (hereinafter referred to as
"Company„)
WHEREAS, Company currently operates the control tower at the Jefferson City Memorial Airport under contract
with the Federal Aviation Administration (FAA); and
WHEREAS Airport,

under the FAA's Cost Share Program desires to enter into an agreement with Company to ensure full funding of
operations of the control tower at the Jefferson City Memorial Airport; and ,.,,,,'-{.

NOW, Therefore, in the consideration of the terms, conditions and covenants set forth herein, it is mutually agreed
as follows:
1. Term: The Tenn of this agreement shall be from October 1, 2001 through September 30 2002.
2. Services: Company shall provide air traffic control services at Jefferson City Memorial Airport as
specified in its agreement with the FAA.

3. Payment: In accordance with its cost-sharing agreement with the FAA, Airport shall pay Company$1,441.00
per month. (This figure is based upon the airport's portion of our FY 2001 monthly price of$24,014.00. t :awt:,y{;�
The airport's portion has been based upon the most recent Benefit Cost information for the airport of.94,
making the airports obligation 6%). This amount may be adjusted annually and from time to time, as

not limited to,its labor costs. The FCT Contract contains a 3.3%wage escalation of the first year wage rate

to provide to the Airport as much advance notice as possible when adjustments to costs are expected.

In consideration of the traffic control (ATC) service being provided to the Airport Sponsor by the ��a���.t�{= �w��.•
Government at Jefferson City Memorial Airport, the Airport Sponsor agrees to the following
terms and conditions at no cost to the Government: ' rzf
1. The Airport Sponsor shall provide an airport traffic control tower(ATCT) structure
meeting all applicable state and local standards including, but not limited to, applicable building,
fire, safety, environmental, and security, codes and regulations. The Airport Sponsor further >� 't: .•'':
agrees to maintain the ATCT structure in good and tenantable condition throughout the term of
the agreement.
2. The Airport Sponsor shall also provide and maintain on a continuing basis, all utilities )

and services including heating, air conditioning, electrical water, gas sewer, janitorial (to
include washing tower cab windows and shades, interior and exterior, when necessa ry)

security services necessary for the ongoing operation of ATC service.
3. The Airport Sponsor shall provide and maintain all ATC operational equipment located

or presently installed in the ATCT to include, ATC and safety equipment, communications
equipment, runway lighting, equipment, weather reporting equipment, navigational equipment
and all wiring and control related to the equipment. Theequipment will be maintained in
accordance with applicable FAA standards and regulations.

4. The Airport Sponsor shall be responsible for the proper and continued functioning of all
equipment that the Government determines is necessary for ATC operations, but that cannot be ?r+ .; ,z.

lighting, windsock, obstruction lights, rotating beacon, VASI etc.

5. The Airport Sponsor agrees to enter into a letter of Agreement (LOA) with the
contractor's local representative specifically for the purpose of providing an airport point of

". contact and procedures to follow to ensure a timely response to requests concerning equipment or +
building problems. In accordance with FAA Order 7210.3, Section 3, other control of vehicular
traffic on airport movement areas, operation of airport lighting, and reporting airport conditions.
The Airport Sponsor and the contractors local representative assigned to the ATCT are

7. The Airport Sponsor agrees that notwithstanding any other provisions of this operating
agreement, the Government's ability to provide contract ATC service is contingent upon the
Et : appropriation of adequate funds from year to year that enable the Government to provide contract
ATC services to the public. If adequate annual appropriations are not provided, this operating
agreement may be terminated without penalty to the Government.
8. The sponsor is aware of current FAA procedure to recalculate benefit/cost ratios
annually to determine the percentage of funds for which the FAA and the airport are responsible.
FAA provides full funding for sites with a benefit/cost ratio of 1.0, or greater.

approved by the FAA, to cover increases or decreases in Company's approved
operating costs including, but not limited to, its labor costs. The FCT Contract
contains a 3.3% wage escalation of the first year wage rate annually, or a revised
Wage Determination, whichever is the greater of the two. Company shall endeavor to
provide to the Airport as much advance notice as possible when adjustments to costs
are expected. Company shall invoice Airport on a monthly basis. Invoices shall be
payable to Company within 30 days of receipt. Failure to pay any portion of any
invoice may result in an immediate termination of services.
