AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH AMEREN UE FOR

REVOCABLE LICENSE AGREEMENT '

This Agreement is between Union Electric Company, d/b/a/ AmerenUE, a Missouri
corporation, ("Licensor") and The City of Jefferson, a municipal corporation of the State of tte, {:r,,r,,?,

WHEREAS, on May 10, 2001 Licensor and Licensee entered into an Agreement for the Sale of
Real Estate and Relocation of Certain Facilities hereafter referred to as J.C. Plant Property. "ta°r',:,t '`e;;.•.-•
WHEREAS, prior to closing, Licensee desires to utilize a portion of the J.C. Plant Property as
shown hachured and labeled as License Area, on the attached Exhibit "A", for material storage
and assembly area.
NOW THEREFORE, the parties agree as follows: ra }�"€ >

SCOPE OF LICENSE.
Licensor hereby gives its permission for Licensee to use the License Area for material
storage and assembly area.
TERM.
' This License shall be in effect as of the date of the last to sign and is terminable at will
under the terms set forth in the termination paragraph of this agreement.
RESPONSIBILITIES OF LICENSEES. Licensees shall:

maintain the property to meet the desires of Licensee.

the exercise of the permission and consent given herein.
Licensee shall hold harmless, defend and indemnify Licensor, its officers, employees and

without limitation attorneys fees) for personal injury or death of any person and for
