WHEREAS,City desires to obtain professional insurance brokerage service on a contract basis; and

all work and services in accordance with the terms and conditions hereof. Broker is hereby appointed
as City's exclusive broker of Record for the period covered by this contract for all forms of services
related to employee benefits, including health insurance and bonds requested by the City and
described in Attachment A of this Agreement which is incorporated herein by reference.

B. After consultation with the City, Broker shall be prepared to market individual lines of
' coverages annually or as deemed necessary by the City. Whenever market conditions permit,

Broker shall obtain at least three (3) quotations on each separate insurance item or layer of
insurance. All quotations obtained by Broker shall be delivered to the City in summary
r format. Upon request by City,Broker shall make available detailed information concerning Y 1
any quote received by Broker.
C. Broker shall submit firm quotations to the City at least thirty (30) days prior to expiration of
existing insurance,provided, however,that the City may waive such thirty(30) day notice in

D. Broker shall make a good faith effort to give notice to the City of all favorable or unfavorable 44i 'rt:

sufficiently high ratings and financial positions to justify reliance on their quote with approval
of the City. For all insurance quotations,Broker will apprise the City of the company's ratings
and financial position. It is understood and agreed that Broker cannot warrant or guarantee
the solvency or ability to pay claims of any insurer.
