1, L.P. (the "Partnership,") and 'I'1-IE CITY OF JEFFERSON, STATE OF MISSOURI (the "City.")
WITNESSETH: �i t
WHEREAS, the City is the owner in fee simple ofa parking garage(the "Parking Garage ) located in the
City of Jefferson, State of Missouri, more particularly described in Exhibit. A annexed hereto and
incorporated herein by this rcference; and �t {
WHEREAS, the City entered into a Parking Lease dated January 29th, 1998 with the State of Missouri (the

"State,") whereby the State will lease one hundred fifty(150) parking spaces(the Parking Spaces")within ;. •;r �;;:;.;
the Parking Garage from the City, said Parking Spaces being more particularly described in Exhibit B
annexed hereto and incorporated herein by this reference; and '±lrs3
WHEREAS, the Partnership is the owner in fee simple of a commercial office building the "Building,")
located in the Cityof.lefferson, State of Missouri, more particularly described inExhibitC annexed hereto
and incorporated herein by this reference; and
WHEREAS, the Partnership entered into a Lease of Real Property dated,lanuary 19th, 1999 with the State *ky4y,
(the State Lease,")whereby the State will lease 82,139 square feet of office space within the Building; and
WHEREAS, upon the terms and conditions hereinafter set forth, the City (as the owner of the Parking
Garage)desires to grant unto the Partnership as the owner of the Building)the option to enter into a parking

ease agreement(the Option To Enter Into Lease ) with respect to the Parking Spaces. ;fit, � �• .<
NOW, THEREFORE, for and in consideration of the sum of TEN DOLLARS ($10.00) cash in hand and
other good and valuable considerations paid by the Partnership to the City, the receipt and sufficiency of
which the City hereby acknowledges,the parties hereto agree, as follows;

Grant of OPTION To Enter Into Lease.The City hereby gives,grants,extends and confers unto the

Partnership the rights set forth herein and the Option'ro Enter into Lease with respect to the Parking
Spaces, upon the terms and conditions hereinafter set forth; r•<x}§'f. '
(a)The Option To Enter Into Lease shall COMMENCE and become effective on the earlier to occur

of i termination of the State Lease prior to June 15,2005 and/or(ii)June 15 2015 and shall expire

r`.1ti'f ceases to occupy at least fifty-five percent (55%) of the rentable space in the Building under the

(c)Any parking agreement or lease resulting from the Option To Enter Into Lease shall include,but >4 .

2 The rental payments under ail resulting lease shall be the amount charged by the CityF ° E,`Yr
for other park ing spaces in the Parking Garage and shall be annually adjustable to reflect any

increases in the amount charged by the city for such comparable spaces;

(3)The Partnership shall be able to assign its rights under any resulting lease to any of the
tenants of the Building, for the benefit of such tenants invitees, licensees and employees; :; tit= . :},
(4)1 fthc Partnership is in default under any resulting parking lease,the City shall(i)provide
written notice of such default to both the mortgage lender on the Building at that time and

' to the Partnership, (ii) provide a period to cure an such default of not less than thirty
(30) days; and
S The City shall covenant and agree to do the Following under the terms of any resulting
lease:
(i)The City shall invoice the Partnership for the Parking Spaces on a monthly basis.

(ii)The City shall maintain the Parking Spaces in good repair.

(iii)"The City must direct and pay for removal of snow and ice from the sidewalks
'J and parking area by 7:00 a.m.of each working day, Or as required throughout tine

(iv)The City must stripe all of the Parking Spaces.

Parking Garage. '
(vi)The City shall provide a well-lighted parking area.
(vii) The City shall, so long as the Partnership fully complies with all terms and +;
conditions of any resulting lease, permit the Partnership to peaceably and quietly
have, hold and enjoy the premises for the term of this Lease.
(viii) The City shall indemnify and hold harmless from all liabilities, charges,
expenses and costs arising on account of or by reason of injuries, liabilities,claims, w.. ' •. ,1.

.� at the time of injury, unless said dangerous condition shall have been caused or
a created by, or have resulted from the negligent or wrongful act or omission of any
employee of the State within the course of employment.
(d) in order to exercise tine Option To Enter into Lease, the Partnership shall give the City written ' €k;
^ notice of exercise. Such notice of exercise shall contain the following:
l A copy of a parking lease executed by the Partnership containing the covenants and
agreements set forth in part c of this Paragraph 1, andt?
(2)A duly executed certificate and affidavit of the partnership's current,former or proposed
mortgage lender stating that the parking lease is a requirement and condition of such
mortgage lender.
2. Notices, Any and all notices given hereunder shall be in writing and shall be given by personal
