WHEREAS, MBI and Lowe's are each in the process of developing certain tracts of land

(a) Effective upon the Execution Date, Lowe's shall fully indemnify, save, and hold

1.7 Prevailing Wages To the extent that any Work to be performed by any Contractor .
retained by MBI or Lowe's is subject to prevailing wage law, MBI or Lowe's, as the case may be,

shall cause the Contractor to pay a wage of no less than the "prevailing hourly rate of wages" for >k
1' work of a similar character in this locality, as established by Department of Labor and Industrial
Relations of the State of Missouri, and as established by the Federal hourly rate of wages for this
r project. Contractor or MBI or Lowe's, as applicable, shall obtain the prevailing hourly rate of wages
from the contents of Annual Wage Order No. 6 in which the rate of wages is set forth. The record
shall show the actual wages paid to the workmen in coruiection with the work to be performed under

2.3 Insurance. MBI shall procure and maintain at its own expense during the life of this

(a) Workmen's Compensation Insurance for all of its employees to be engaged in work r,

(b) Contractor's Public Liability Insurance in an amount not less than $2,000,000 k �`
combined single limit for all claims arising out of a single accident or occurrence,

deliver to the City an Owner's Protective Liability Insurance Policy naming the City
of Jefferson as the insured, in an amount not less than $2,000,000 combined single
limit for all claims arising out of a single accident or occurrence, except for those '
claims governed by the provisions of the Missouri Workmen's Compensation Law,
Chapter 287,RSMo. No policy will be accepted which excludes liability for damage
to underground structures or by reason of blasting, explosion or collapse.

duly organized, validly existing, and in good standing under the laws of the State of North Carolina,
has all requisite power and authority to own, lease, and operate the Development and related facilities

3.2 Authorized Representative. Until such time as Lowe's shall appoint an alternative
representative or representatives, Zack Murray (phone 336-658-3812)shall be deemed an authorized
representative of LOWE'S with respect to this Development Agreement and City shall be entitled to
rely on the actions and communications of'said entity to be those of Lowe's.
3.3 Insurance. Lowe's shall procure and maintain at its own expense during the life of this
contract, as to any of the Work to be performed by or at the direction of Lowe's:
(a) Workmen's Compensation Insurance for all of its employees to be engaged in work
tinder this contract subject to subparagraph (e)of this Section 3.3•
(b) Contractor's Public Liability Insurance in an amount not less than $2,000,000
combined single limit for all claims arising out of a single accident or occurrence,

except for those claims governed by the provisions of the Missouri Workmen's
Compensation law, Chapter 287,RSMo., and Contractor's Property Damage Insurance
in an amount not less than $2,000,000 for all claims arising out of a single accident
or occurrence and $300,000 for any one person in a single accident or occurrence.
(c) Automobile Liability Insurance in an amount not less than$2,000,000 combined single
limit for all claims arising out of a single accident or occurrence.
(d) Owner's Protective Liability Insurance. Lowe's shall also obtain at its own expense
and deliver to the City an Owner's Protective Liability Insurance Policy naming the
City of Jefferson as the insured, in an amount not less than $2,000,000 combined
single limit for all claims arising out of a single accident or occurrence, except .for
those claims governed by the provisions of the Missouri Workmen's Compensation
Law, Chapter 287, RSMo. No policy will be accepted which excludes liability for
damage to underground structures or by reason of blasting, explosion or collapse.
(c) Subcontracts. In case any or all of this work is contracted or subcontracted, Lowe's
shall require the Contractor or Subcontractor to procure and maintain all insurance
required in Subparagraphs (a), (b), and (c) hereof and in like amounts.
(1) Single policy. In order to satisfy paragraphs (b), (c) and(d), Lowe's may secure a
package or combination policy which provides the required coverages.
(g) Scope of Insurance and Special Hazard, The insurance required under Sub paragraplis
(b) and (c) hereof shall provide adequate protection for the Lowe's and its
subcontractors,respectively, against damage claims which may arise from operations
under this contract, whether such operations be by the insured or by anyone directly

6.1 Subject to the terms and conditions of this Agreement, City shall not undertake to

The City shall contribute financially towards the expenses of the Work. The amount of the City s

financial delays, unanticipated or unusual site conditions, failure to obtain necessary permits of any
governmental agency following proper and timely a pp lication therefor, litigation challenging any
right of MBI or Lowe's, or each one's successors or assigns h.erewlder with respect to the Project, or

other inability upon the part of the MBI or Lowe's, as the case maybe, to obtain materials or labor �• � �a��
or to perform not growing out of its own fault, or for delays caused by city, state or federal
government, or any agency,commission,division, department or bureau thereof. Furthermore,upony
the application, before or after the expiration date of any time limit, by MBI or Lowe's to the City N
Council, the City Council shall have the absolute authority to extend or modify the time limits for
commencement completion of development, or for other performance obligations of MBI or >�

' Lowe's to a time certain upon good cause shown.
In the event MBI or Lowe's, or either one's successors or assigns, shall fail to meet any time,:=
limits, as extended, for commencement or completion of development, or performance of other „all a

and no third parties shall have any rights or claims with respect to such failure unless the City has

9.1 Modification of Agreement This Agreement shall not be modified or amended except
by a written instrument approved and signed by the parties hereto.
f9.2 Severability Any illegal or unenforceable provision of this Agreement will be severed
