Missouri, a municipal corporation of the state of Missouri, hereinafter referred to as "City." '' ;

THAT WHEREAS,the City is the owner of a site appropriate for communications facilities located in Jefferson City,
Missouri, hereinafter called "the premises" upon which Tenant desires to locate and operate a PCS communicationsry `1 +;�fl�}'a;i;„

The City leases to Tenant, the site described as follows: real property consisting of approximately Nine
Hundred square feet (900') of land within Cole County, Missouri, in the location(s) shown on Exhibit A
attached hereto,and further,illustrated by a site plan shown on Exhibit 13 attached hereto,together with a non-
exclusive casement for reasonable access thereto and to the appropriate,in the discretion of the Tenant,source
of electric and telephone facilities(collectively, the "Site"). 'The Site will be used by Tenant for the purpose

of installing, removing, replacing, modifying, maintaining and operating, at its expense, a personal
communications services stem faciIit "PCS" ,including,without limitation,related antennaequipment and
' I ixtures and specifical ly including a self-supporting antenna structure(one hundred eighty(180)feet tall unless
limited to a lower height by the FCC).
2. Term_
' The term n of this Agreement(the Initial Term") is five(5)years,commencing on the dale("Commencement
Date") Tenant signs this Agreement. This Agreement may be renewed for four(4)additional terms(each a t�5,;;'att;.f '` •

Term. Subsequent renewals shall be automatic, unless the City shall give at least one hundred eighty(180) fa��,w,<,
days notice of any intent not to renew or Tenant shall give at least ninety(90)days notice of its intent not to
renew. The third and fourth renewals may be cancelled by the City for municipal purposes,but the City shall

Rent will be paid annually in advance beginning on the Commencement Date and on each anniversary of it.
Until the date which is thirty 30 clays after the issuance of a building permit for installation of the PCS,the
rent will be One Hundred Dollars($100.00),receipt of which the City acknowledges. Thereafter,the rent shall
be One Thousand Dollars $1,000.00 per ear, partial years prorated. Rent due hereunder for each Renewal ' "' '''`'r:

If additional platforms or satellite dishes are placed on the tower, then additional rent shall be thirty percent
(30%)of rent received from third party or shall be increased thirty percent(30%) if the additional platforms
or satellite dishes are owned by Tenant.
4. Other Considerations.
A. Provide and install, at Tenant's expense,the following;
1. Collocation of various agencies radios (Planning & Code Enforcement, Parks &
Recreation, Parking, transit, Police, Public Works, Jefferson City

cooling to keep radios operational year round.
B. Tenant will take down/disassemble the existing antenna tower and cable at Station#4 and at
the Oak Hills golf course club house,
C. The electrical usage at the new site is to be the responsibility of each part for their own
equipment. It will be the responsibility of Omnipoint in its construction provision and the
-i relocation of electrical services to see that separate metering devices are installed. >°r�i=;'";'•:;'• -;;
D. If the Federal Aviation Administration(FAA)requires painting of the tower,this contract shall

continue only if Tenant agrees to lower the maximum height limit to such a height as will },

The City represents and agrees (a) that it is the Owner of the Site; (b) that it has the right to enter into this
Agreement;(c)that the people signing this Agreement have the authority to sign;(d)that Tenant is entitled to

access to the Site at all times and to the quiet possession of the Site throughout the Initial Term and each
Renewal Term so long as Tenant is not in default beyond the expiration of any cure period;and(e)that the City
will not have unsupervised access to the Site or to the PCS equipment.
C. Assignrnent/Sublettinr*_.
Tenant will not assign or transfer this Agreement or sublet all or any portion of the site or its right to mount

r, . permission to an assignment the City may consider the assets and reputation of the potential assignee and
whether the assignee can fulfill the conditions of this agreement and whether such an assignment would be ,n

assignment to any entity which purchases from VoiceStream PCS II, Corporation the Antenna Tower and
related improvements pursuant to a sale and lease-back of the Antenna Tower shall be subject to the prior
'Ika consent of the City with the same conditions as set out above. In the event of any assignment of this Lease,
the City shall provide VoiceStream PCS II,Corporation and if the holder of any security interest has identified
itself in writing to the City,the holder of a security interest written notice in the event of any default under the

7. Notices.
All notices must be in writing and are effective when deposited in the U.S.mail,certified and postage prepaid,
or when sent via overnight delivery,or as otherwise provided by law to the City of Jefferson,320 East McCarty
Street,Jefferson City, Missouri,65101,and VoiceStream PCS II Corporation, 2004 Westport Center Drive,
St.Louis,Missouri,63146(Attn:Legal Department)with a copy to VoiceStream Wireless,3650 1315'Avenue,

South East,Suite 200, Bellevue,Washington,98006(Attu: Legal Department),or to such other address as the
parties may have specified through proper notice.
8. Improvements.
Tenant may, at its expense, make such improvements on the Site as it deems necessary from time to time for
the operation of a PCS with prior notification of the City. No such improvements shall interfere with the
normal use of City property. Tenant shall be responsible,at its sole expense, For all maintenance of the Site. ,';-��:�•`;_�,:
The City agrees to cooperate with Tenant with respect to obtaining any required zoning approvals for the Site
and such improvements. Upon termination or ex iration of this Agreement,Tenant shall remove its equipment

Date,except for ordinary wear and tear and casualty loss,provided that at City's option,exercised at least thirty

9. Compliance with Laws.
The City represents that the City's property(including the Site),and all improvements located thereon,are in f fkr �r:

governmental authorities. Tenant will substantially comply with all applicable laws relating to its possession
and use of the Site.
10. Interference.

Tenant will resolve technical interference problems with other equipment located at the Site on the
r` Commencement Date or any equipment that becomes attached to the Site at any future date when Tenant
desires to add additional equipment to the Site. Likewise,the City will not permit the installation of any future
equipment which results in technical interference problems with Tenants then existing equipment.
IL, Utilities.
The City represents that utilities adequate for Tenant's use of the Site are available. Tenant will pay for all
utilities used by it at the Site. 'The City will cooperate with Tenant in Tenants efforts to obtain utilities from
any location provided by the City or the servicing utility. All utilities shall be installed underground to the Site
j", in conduit. No additional utility poles shall be installed on City property to accommodate Tenant's needs.

12. Termination.
Tenant may terminate this Agreement at any time by notice to the City without further liability if Tenant does
not obtain all permits or other approvals(collectively, "approval")required from any governmental authority
or any easements required from any third party to operate the PCS system,or if any such approval is canceled,
expires or is withdrawn or terminated, or if the City fails to have proper ownership of the Site or authority to a `'
enter into this Agreement, or if Tenant, for any other reason, in its sole discretion, determines that it will be
unable to use the Site for its intended purpose. Upon termination,all prepaid rent will be retained by the City.
13. Default.
If either party is in default under this Agreement fora period of a ten 10 days following recci t of notice
from the non-defaulting party with respect l to a default which may be cured solely by the payment of money,
or(b)thirty(30)days following receipt of notice from the non-defaulting party with respect to a default which tip'
may not be cured solely by the payment of money, then, in either event, the non-defaulting party may pursue
any remedies available to it against the defaulting party under applicable law, including,but not limited to,the
right to terminate this Agreement. If the non-monctary default may not reasonably be cured within a thirty(30) ,rt<F::,r•-.,'.
day period,this Agreement may not be terminated if the defaulting party commences action to cure the default
within such thirty(30)day period and proceeds with due diligence to fully cure the default,
14. Insurance and Waiver.
City shall maintain in full force and effect for and during the entire term of this Agreement and any extensions
or renewals thereof general liability insm•ance on an occurrence basis with Tenant as an additional insured with ,�•t ',..•;;

15. Indernnily.

occupancy of the Site by the indemnifying party. This indemnity does not apply to any claims arising from
the sole negligence or intentional misconduct of the indemnified party.

16. Taxes.
Tenant will be responsible for payment of all personal property taxes assessed directly upon and arising solely
from its use of the communications facility on the Site. The City will be responsible for payment of all real
