AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE
i MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT WITH SHO-ME COACH
LINES, INC. FOR INTER-CITY BUS ROUTE. 't{
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
fj Section 1. The Mayor and City Clerk are hereby authorized and directed to execute
an agreement with Sho-Me Coach Lines, Inc. for Inter-City Bus Route. }
I. Section 2. The agreement shall be substantially the same in form and content as 't "-,j
r that agreement attached hereto as Exhibit A.
Section 3. This Ordinance shall be in full force and effect from and after the date
of its passage and approval.

RURAL, TRANSIT ASSISTANCE PROGRAM AGREEMENT

THIS AGREEMENT is entered into by the City of Jefferson,Missouri(hereinafter"City”and Sho-Me

Coach .Lines, .Inc. (hereinafter"Company").

z, WHEREAS, the City has applied to the Missouri Highway and Transportation Commission (hereinafter
"Commission") for grant of funds made available to Commission under Section 5311 Operating Assistance
Grant Program as amended, and the Commission has awarded funds available pursuant to said Act to the
,E City's application for Section 5311 assistance.

WHEREAS,Company has indicated a willingness tooperate an inter-city bus service on a route fromi; ti }
Columbia to Springfield; and
WHEREAS,the City is desirous of maintaining 7 bus service for its citizens and the surrounding area 'r41x'(�"s4�y
and believes that such service is vital to continued economic viability of the City and important to growth
factors.
NOW THEREFORE, in consideration of the mutual covenants, promises, and representative herein,
the parties hereto agree as follows:
1. Purpose.and Source of Fund: The purpose of this agreement is to assist the Company
in financing operating losses which are eligible for financial assistance.
2D 2. Scope of Work and Budget: The Company will provide inter-city bus service
between Springfield, Missouri and Columbia,
,:; Missouri. The schedule will consist of at least one bus in the
morning and one bus in the evening stopping at cities along the route including the City of Jefferson. It is
anticipated 11,000 annual one-way trips will be provided during the project period. In return for such inter- at�7 ;
city services, the City will lease(by separate agreement) the Jefferson City Bus Station to the Company and
the rent will be waived($1,000.00 per month)and used as soft match to the Section 5311 ,rant for the project
period. ;

3. Audit of Records: The City will notify the Company if an audit will be required. they ,}> r
I', r Company must maintain all records relating to this contract, including but not limited to invoices, payrolls,
r. etc. These records must be available at no charge at all reasonable times to the City and/or its designees #`St
during the contract period and any extension thereof, and for three (3)years from the date of final payment.
f;>F 4. Project 'rime Period_ The project period shall be from November 1, 1999 to October

5. Loss Reimbursement: The City shall reimburse Company on a monthly basis for 50%of
actual cash losses up to the annual rent amount ($12,000.00) of the Jefferson City Bus Station incurred in
providing inter-city bus service as set out herein subject to the terms and conditions of this contract. The }

Company 4� shall present monthly cash flow reports during the project period on a form to be prescribed by City
which clearly states any requests for loss reimbursement. Any request for payment will only be considered ,
if it represents an actual out of pocket cash loss to the Company,exclusive of depreciation amounts and other
non-cash items. ;

6. Amendments: Any change in the agreement,whether by modification and/or supplementation,
must be accomplished by a formal amendment signed and approved by the duly authorized representatives
Of the Company and the City. 3

7. Indemnification: The Company shall be responsible for any and all injury or damages as a
result of any services and/or goods rendered under the terms and conditions of the agreement. In addition to
the liability imposed upon the Company on the account of personal injury, bodily injury(including death)or
property damaged suffered as a result of the Company's performance under the Agreement, the Com anY

assumes the obligation to save the City, including its agents, employees and assigns, harmless and to
indemnify the City, including it's agents, employees and assigns from every expense, liability or payment
arising out of such negligent act. The Company also agrees to hold the City includin g, its agents,employees
' and assigns, harmless from any negligent act or omission committed by any subcontractor other than the <
person employed by or under the supervision of the Company for the terms of the agreement. r ';

1 8. Cancellation: The City may cancel the contract at any time for a material breach of
contractual obligations by providing the Company with a written notice of such cancellation. Should the City

specified in the notice of cancellation sent to the Company.

10. Nondiscrimination Assurance: Regarding work under this agreement, the
Company agrees as follows:

relating to nondiscrimination, including but not limited to Title VI and Title VII of the Civil Rights Act of

G. Sanctions for Noncompliances_ In the event the Company fails to comply with the

issued by the City or the Commission pursuant thereto. The Company will take such action with respect to
any subcontract or procurement as the City or the Commission may direct as means of enforcing such

becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such
