CONTRACT FOR PROFESSIONAL SER ICES
THIS CONTRACT, made and entered into this jq�day of , 2 00 by and between the City of
,Jefferson, a municipal corporation of the State of Missouri,with offices at 320 East McCarty Street,Jefferson
City, Missouri 65101, hereinafter referred to as the "City," and Bucher, Willis & Ratliff Corporation (BWR),
a corporation of the State of Missouri,with offices at 7920 Ward Parkway, Kansas City,Missouri 64114-2021,
hereinafter referred to as the Consultant;"

WITNESSETII:
THAT WHEREAS,the City desires to engage the Consultant to render certain technical and consulting
services as to Extend taxiway approximately 300' to accommodate proposed hangar, as Phase I of an
ultimate 1,0001 extension and road relocation to than waste facility to provide industrial access, hereafter
described in Exhibit A; and
THAT WHEREAS, the Consultant has made certain representations and statements to the City with
respect to the provision of such services and the City has accepted said proposal to enter into a contract with the
Consultant for the performance of services by the Consultant.
NOW, THEREFORE,for the considerations herein expressed, it is agreed by and between the City and
the Consultant as follows:
1. Scope of Services.

The City agrees to engage the services of the Consultant to perform the services hereinafter set forth in
Exhibit A, attached hereto and incorporated herein by reference. 'E>u�'tj.' r,`.;;
2. Additions
or Deletions to Services.
The City may add to Consultant services or delete therefrom activities of similar nature to those set forth
in Exhibit A,provided that the total cost of such work does not exceed the total cost allowance as specified
in paragraph 8 hereof. The Consultant shall undertake such changed activities only upon the direction of
the City. All such directives and changes shall be in written forth and approved b the Director of Public '

Tile Consultant will perform any additional work requested by the City which is not specifically covered

3. Term of Contract.
This Contract shall remain in force from the date of execution until project completion, unless sooner
terminated under paragraph 9 hereof or unless extended by agreement of the parties.

4. Consultant's Responsibilities.
The Consultant shall perform for or furnish to the City engineering and related services in all phases of
the Project to which this Contract applies as hereto provided. The Consultant shall serve a�

to assist in the performance or furnishing of professional engineering and related services hereunder. The
Consultant shall not be required to employ any subconsultants which are unacceptable to the Consultant.

The standard of care for all professional engineering and related services erformed or furnished by the
Consultant under this Contract will be the care and skill ordinarily used by members of the Consultant's :.:rl,

profession,practicing under similar conditions at the same time and in the same locality. The Consultant '
makes no warranties, expressed or implied, under this Contract or otherwise, in connection with the

5. City's Responsibilities.
The City, as part of this Contract, shall provide the Consultant with the following:
Arrange for access to and make all provisions for the Consultant to enter upon public and private property
as required for the Consultant to perform his services.
Assist in approvals and permits from all governmental entities having jurisdiction over the project and
such approvals and consents from others as may be necessary for completion of the project.
Designate in writing a person to act as the City's representative with respect to the services to be rendered .,
under this Contract. Such person shall have complete authority to transmit instructions, receive '`y'ta-'r'
information, interpret and define the City's policies and decisions.
Give prompt written notice to the Consultant whenever the City observes or knows of any development
that affects the scope or timing of Consultant's services,or any defect in the work of contractor(s). � •;:!
Pay publishing cost for advertisements of notices, public hearings, request for bids, and other similar
items. The City shall pay for all permits and licenses that may be required by local,state or federal
authorities; and shall secure the necessary land, easements, and rights-of-way required for the
undary surveys and maps,original reproducible Airport(1) copy of existing Airport Plans, legal bo

the Consultant in every reasonable way in carrying out the scope of services.
6. Personnel to be Provided.

Consultant's direct supervision and al personnel engaged in the work shall be fully qualified and shall be

7. Notice to Proceed. a :

The services of the Consultant shall commence as directed in the Notice to Proceed and shall be
undertaken and completed in accordance with the schedule contained in Exhibit A.
8. Compensation.
The City agrees to pay the Consultant in accordance with the rates set forth in Exhibit A which shall

10. Assignment.
The Consultant shall not assign any interest in this Contract,and shall not transfer any interest in the same
(whether by assignment or novation), without prior written consent of the City thereto. Any such

pertaining
and other evidence to costs incurred in connection with this Contract, and shall make such
materials available at their respective offices at all reasonable times during the Contract and for a period

damages.

This Contract shall be governed by the laws of the State of Missouri as to both interpretation and +

: Sine the Consultant has no control over the cost of labor, materials, equipment or services furnished by
others, or over the Contractors methods of determining prices, or over competitive bidding or market
conditions,his opinions of probable Project Cost and Construction Cost provided for herein are to be made
xf on the basis of his experience and qualifications and represent his best judgment as an experienced and ' :j
qualified professional engineer,familiar with the construction industry;but the Consultanfi cannot and does . 7�i�s��se:^�•
not guarantee that proposals, bids or actual Project or Construction Cost will not vary from opinions of
probable cost prepared by him. However, the Consultant represents that he will use reasonable
engineering case and judgment commonly exercised by an engineer in the same or similar circumstances
t in making and transmitting such cost estimates to the City.
