This Agreement, entered into this 9" day of June, 1999, by and between the City of

general interest and welfare of the City of Jefferson according to its powers granted by law; and

2. Accounting'and Reporting. Chamber shall submit to the City a separate accounting of •

r economic development expenditures including the specific use of the City's contribution on a
monthly basis. The Chamber shall also submit quarterly report to the City and make itself available

,•" 7. Books and Records. Chamber shall keep its books and records open for inspection at 5, 5»�$'y

1{{1 reasonable tunes by the City or by any person:,or entities designated by the City to perform audits.
8. 'Termination. This contract may be terminated by either party with just cause, provided
that the terminating party shall give written notice to the other party at least sixty (60)days prior to
termination of this contract. In the event of termination, all moneys due and owing shall be
determined on a monthly prorata basis over the life of the contract until the effective date of
termination.
9. Contracts. All contacts from the Chamber with the City shall be directed to the City
Administrator's office unless otherwise directed and specified by the City Administrator. ��•�>�, ?� ,

10. Notices. All notices required to be in writing may be given by first class mail addressed
r r if to the City then to City Administrator, City of Jefferson, 320 East McCarty, Jefferson City,

11. IiJurisdiction. This Agreement shall be governed, in all respects by the laws of the State

Provide staff to the Main Street Action Council, and coordinate with other business associations,

Missouri Main Street Program. This designation will make the Capitol Main Street Program
eligible for all technical assistance, educational seminars, and publications of the Main Street

The Jefferson City Main Street Action Council strongly believes that it is imperative to find the
funding to contract with an experienced professional, for a minimum of twelve(12)months in
order to continue the current efforts and develop the essential organizational and financial ;w;a

period,the Main Street Action Council will be dissolved and Capital Main Street, Inc. will have ti's

successful in their efforts to secure approval of a Missouri Neighborhood Assistance funding and
