SERVICE CONTRACT

This Agreement, entered into this_day of e 1999, by and between the City
of Jefferson Missouri a munici pal corporation,ac ti ng by and through its Mayor,hereinafter referred
to as "City" and the Jefferson City Area Chamber of Commerce a corporation formed and existingt`+
under The General Not for Profit Corporation Act of Missouri' hereinafter referred to as the
4tvfF�l' "Chamber"
WITNESSETH:
WHEREAS, City desires to continue to promote the prosperity, economic betterment
general interest and welfare of the City of Jefferson according to its powers granted by law; and
WHEREAS, the Jefferson City Area Chamber of Commerce was informed for the purpose
of performing functions and services which include those required to give expression to the City's
said desire; and

WHEREAS, it is in the best interest of the City to utilize the services of the Chamber for .+, �����re�,�'
the performance of said functions and services, for which reason the City desires to engage the -"1� ..II
Chamber and the Chamber desires to be engaged,for the performance of said functions and services,

1. Scope of Services. The Chamber shall perform functions and services including,but not
limited to: '
a. Industrial and business development

I"ftl d. Grant applications related to specific economic development prospects. rr °
2. accounting and Rleporting. Chamber shall submit to the City separate accounting of ':,';

economic development expenditures including the specific use of the City's contribution on a
r� monthly basis. The Chamber shall also submit quarterly report to the City and make itself available '+. E° :
to meet with representatives of the City. t '
3. Tern. The services of the Chamber are to commence,u on the first day of November,

4. Payment. The City agrees to pay the Chamber for services to be rendered hereunder the
sure of One Hundred'Tliousand Dollars($100,000.00),to be paid in four equal payments on or about
January 1, April 1, July 1, and October 1.
.; 5. Audit. The Chamber agrees to furnish the City, at the end of each contract period, a
` complete financial audit report prepared by a Certified Public Accountant.
6. Independent Contractor Status. The execution of the contract by the Mayor and the
City of Jefferson and the approval thereof by the City Council of Jefferson City is not intended to
and does not in any manner make the Chamber an agent,agency, or servant of the City of Jefferson, t�hvgt}r. .;
Missouri,it being expressly understood that the Chamber is in all respects an independent contractor,

and the only liability of City created by the terms of this contract is the obligation to pay Chamber
for services rendered. 7
7. Books and Records. Chamber shall keep its books and records open.for inspection at 'v:'t«' ,'";;
reasonable times by the City or by any persons or entities designated by the City to perform audits.
8. Establishment of Special Fund.The city agrees to establish a special fund for economic
development purposes with an initial appropriation of One I Iundred'Twenty Five Thousand Dollars
''• {r.. {r}}}te.,,
($125,000). This fund shall be used to provide capital money needed for infrastructure
improvements related to economic development projects and to provide funds for necessary i
professional services associated with economic development projects,both specific and general. The
fund shall remain under the control and management of the City and shall be established in such a
way as to provide for requests to be made by the Chamber for expeiditures either on aw , `
reimbursement or an anticipation of expense basis. All requests for funds shall be in writing with
appropriate documentation provided and shall be directed to the City Administrator. Approval of
expenditures from the fund shall be made after general appropriation by the Mayor,Council Finance
t, Committee Chairman and the City Administrator.
s 9. Cost Benefit Analysis, On all requests for City funding and participation related to

specific economic development projects, the Chamber shall provide to the City a cost benefit ��',�,,�•r,�Y',
analysis reflecting the anticipated cost to the City and others in carrying out the project and the'

k=rit. potential for financial benefits to the City both as a community and as an entity. Such analysis will `!fhrr� ��'�'""?s-�
be necessary only on requests exceeding $20,000.00 of City funds. t f�
10. Termination. This contract may be terminated by either party with just cause provided �' F ,•x
that the terminating art shall give written notice to the other party at least sixty 60 days prior to
termination of this contract. In the event of termination, all moneys due and owing shall be
determined on a monthly prorata basis over the life of the contract until the effective date of
' termination. '
11. Contracts. All contacts from the Chamber with the City shall be directed to the City
Administrators office unless otherwise directed and specified by the City Administrator. '

EXI ENSION OF CONTRACT FOR
ECONOMIC DEVELOPIIIF.NT SERVICES '
IN CONJUNCTION WITH THE PARTNERSHIPS 2000 PROGRAM
WHEREAS,the City of Jefferson, Missouri, a municipal corporation hereinafter designated "City," �
entered into an Agreement with the Jefferson City Area Chamber of Commerce, a corporation formed
and existing under The General Not for Profit Corporation Act of Missouri, hereinafter referred to as the 3
"Chamber,”on the 9°1 day of June 1999;
WHEREAS,the Agreement was for services and functions of Chamber for the promotion of economic
development within the City of Jefferson; and
` WHEREAS,the parties having exercised the final renewal option,wish to extend the Contract for one
(1)additional twelve(12) month period which coincides with the City's fiscal year. ;.t�h�
NOW,THEREFORE,be it agreed as follows: r ;
1. The parties hereby agree to amend paragraph 3, entitled "Term" to read as follows:
