MAYOR AND CITY CLERK TO EXECUTE A DEVELOPMENT AGREEMENT WITH RON ,'n;'•

NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE CITY OF a �

Section 1. The Mayor and City Clerk are hereby authorized to execute a
development agreement with Ron Dawson and Don Welch concerning Westminster

Section 2. The development agreement shall be substantially the same in form and
content as that development agreement attached hereto as Exhibit A.

WHEREAS,Developer is in the process of developing a tract of land located in the vicinity of Country '
Club Estates and Foxboro Subdivisions, known as Westminister Estates Subdivision, County of Cole,
State of Missouri containing approximately eighteen 18 acres proposed for residential uses,according
to plat, which plat is, by reference, incorporated in and made a part of this agreement; and

r; A proposed street connection with two streets, Foxboro Drive and Fairway Drive.
WHEREAS,the proposed subdivision was submitted to the Planning&Zoning Commission with the
staff recommendation that all roads in the subdivision be connected or be made to be connectable to
existing or proposed streets

WHEREAS,the Planning and Zoning Commission voted in favor of the staff-recommended plan which 'Yx
had been submitted by the developer. :
WHEREAS,the staff proposes the city participate and take some responsibility for providing materials
-x for constructing the connection to Fairway and acquiring any needed right-of-way to complete the

NOW THEREFORE, in consideration of the mutual agreements and covenants set forth herein, the k,% t

Generally,the parties acknowledge and agree that Developer's agreement to perform and abide
by the covenants and obligations of Developer set forth herein is material consideration for
City's agreement to perform and abide by the covenants and obligations of City set forth herein.

A. Developer, its successors and assigns shall provide all labor and machinery necessary to
construct the street. '

A. The City shall provide the materials for extending Foxboro Drive to the developer's y.

4. OBLIGATIONS OF DEVELOPER-It'AIRWAY DRIVE CONNECTION
A. Developer, its successors and assigns shall provide all labor and machinery necessary to
construct the street.
B. Developer,its successors and assigns agrees to construct street improvements to the existin g
street in accordance with all City standards and specifications. :fit
5. OBLIGATIONS OF CITY- FAIRWAY DRIVE CONNECTION
A. The City shall acquire any needed right-of-way not within the developer's ownershipaG_�
between that property and Fairway Drive at City's expense. si '
6. CONTINGENT OBLIGATIONS OF DEVELOPER-FAIRWAY DRIVE CONNECTION
A. Developer,its successors and assigns shall not be obligated to build the last section of the
road until City determines it is appropriate to make the connection to Fairway Drive

B. in the event the City has not determined to have the connection to Fairway Drive made by N 4 `

7. CONTINGENT OBLIGATIONS OF CITY-FAIRWAY DRIVE CONNECTION

A. Upon the occurrence of the contingency described in paragraph 6(B),the City shall assume
all responsibility and obligation for the connection to Fairway Drive. 2 +, '
B. The City shall secure the right of way for the Nob Hill to Fairway connection as soon as

C. Construction of the final segment of the Nob Hill to Fairway connection shall be completed
by July 1, 2000, or sixty (60) days after acquisition of the needed right of way, whichever is Y

8. . CONTINUATION OF OBIL.IGATIONS. ,
Unless the assignees or successors of Developer shall expressly assume in writing the
obligations,or any part thereof,of this Agreement,the Developer herein shall remain personally
bound by the covenants herein even though Developer may no longer own any property j

9.
MODIFICATION OF AGREEMENT.
This Agreement shall not be modified or amended except by a written instrument
approved and signed by the parties hereto.
10. SEVERAB LITY.
Any illegal or unenforceable provision of this Agreement will be severed here refromandwill
not render invalid the remaining provisions of this Agreement.
11. LAW TO GOVERN.
This agreement shall be construed according to laws of the State of Missouri. The
Developer shall comply with all local,state,and federal laws and regulations relating to the
performance of the agreement.
